General Description of Duties. The Senior Executive’s initial hierarchal position and duties are more particularly described on exhibit 2.2 annexed hereto and made a part hereof (the “Position and Duties”), subject to modification, promotion, etc., as Puget, with the consent of Puget, deems appropriate.

General Description of Duties. The Employee shall perform the duties generally associated with overseeing the operations of the Company including but not limited to developing a business plan, investigating prospective acquisition candidates, oversee operations in each targeted company, recommend to the board a prospective budget, oversee human resource needs to the extent required to integrate various operating subsidiaries and such other matters as may reasonably be directed by the Board of Directors.

(B) Without limiting the generality of the foregoing, the Corporate Information Spokesperson shall: (1) Serve as the principal point of contact between AmeriNet and: (a) The media (print, electronic, voice and picture); (b) The investment community; (c) AmeriNet's security holders; (2) Be responsible for the collection and maintenance of all information concerning AmeriNet and for verification of the accuracy and completeness thereof; (3) Assist in the preparation and distribution of regular reports of the activities of AmeriNet to the investment community, the press, AmeriNet's securities holders and the general public; (4) Assist in development and implement all public relations programs required by AmeriNet; (5) Be responsible for securing prior written approval for the release of any information concerning AmeriNet from any regulatory authorities (e.g., the Securities and Exchange Commission [the "Commission") or self regulatory organizations (e.g., the National Association of Securities Dealers, Inc. [the "NASD"]) having jurisdiction over dissemination of such information; the boards of directors and chief executive officers of AmeriNet, and from AmeriNet's legal counsel; (6) Maintain orderly and easy to find records of all corporate information released by him. (a) Assist AmeriNet to develop and implement written procedures for dissemination of information in compliance with the restrictions on dissemination of material inside information contained in Commission Regulation FD, Sections 20 and 21A of the Exchange Act and in compliance with the requirements of Section 17(b) of the Securities Act; (b) Assist AmeriNet to acquaint its personnel with such procedures; and (c) Monitor compliance with such procedures by AmeriNet personnel with which the Corporate Information Spokesperson regularly deals in the performance of his obligations under this Agreement. (C) To fulfill these primary responsibilities, the Corporate Information Spokesperson will make himself available to consult with the board of directors, officers, employees and representatives and agents of AmeriNet at reasonable times, concerning matters pertaining to: (1) Dissemination of information pursuant to AmeriNet's obligations under the Exchange Act...

General Description of Duties. (A) The Employee shall serve as the President and Chief Operating Officer of Xstream. (B) The Employee shall oversee all operational issues related to the ongoing business needs of XStream. The Employee shall at all times be accountable to XStream's Board of Directors. The Employee is expected to work a minimum of 40 hours per week and devote his full time and attention to the operations of XStream. However, nothing shall prohibit the Employee from engaging in charitable and civic activities and managing his personal passive investments, provided that such passive investments are not in a company which competes in a business similar to that of XStream's business. (C) The Employee hereby represents and warrants to XStream that he is subject to no legal, self regulatory organization (e.g., National Association of Securities Dealers, Inc.'s bylaws) or regulatory impediments to the provision of the services called for by this Agreement, or to receipt of the compensation called for under this Agreement or any supplements thereto; and, the Employee hereby irrevocably covenants and agrees to immediately bring to the attention of XStream any facts required to make the foregoing representation and warranty continuingly accurate throughout the term of this Agreement, or any supplements or extensions thereof.

General Description of Duties. Section 1 The Employer and the Union will form a committee to discuss changes and updates in job descriptions for each job category. The responsibilities of each job and the qualifications necessary for each position shall be discussed by the committee. Each employee shall be furnished an updated copy of his/her job descrip- tion upon request. The Employer shall also post job descriptions on the District’s website. Section 2 Paraprofessionals’ duties are to assist certified and other staff and contribute to the educational program. Although qualified paraprofessionals may be required to engage in the instructional program with students, either individually or as a class and conduct classes from time to time, the certified staff members shall be responsible and accountable for the educational program including formulating lesson plans, supervi- sion of paraprofessionals and evaluation of students. Special Education paraprofessionals are included as “qualified” the same as Special Education Teacher paraprofessionals.

General Description of Duties. The Employee shall serve as the Vice-President & Director of Project Operations. The Employee shall also serve as a member of the Company's Board of Directors and shall at all times be accountable to the Board of Directors for any actions undertaken by the Employee. All work or products developed by the Employee shall be deemed work for hire and any intellectual property rights resulting from any of the Employee’s work shall be deemed owned by the Company.

General Description of Duties. (a) The CTO shall be employed as the chief technologies officer for Puget and shall perform the duties generally associated with the position of chief technologies officer thereof.
