HANDBACK ON TERMINATION. 24.1. Contracted 11 Sidhi Lawn and other assets to be handed back to the Authority a. The Authority shall retain at all times the title and ownership of 11 Sidhi Lawn provided by the Authority to Operator under this Agreement. Upon expiry of this Agreement or in case of any early termination of the Agreement for whatever reason, the Operator shall handover without payment of any monies and free from Encumbrances the peaceful possession of all 11 Sidhi Lawn and any other assets handed over or used by the Operator including without limitation any and all hardware, software, firmware, deliverables on board except the equipment, machinery and tools brought in by the Operator for the operation and maintenance of the Contracted Lawn, in sound condition, subject to normal wear and tear. b. On expiry/ termination of this contract any damages to the Lawn which should not be classified as normal wear and tear, in the view of the authority, shall be recognised as damages payable and amount of damages will be deducted from the security deposit provided under Clause 6.

HANDBACK ON TERMINATION. 36.1. The operator shall retain the title and ownership of Contracted Buses in relation to the Project under this Agreement during the Agreement Period. 36.2. After successful completion of agreement period, operator shall hand over all hardware, software, firmware, and deliverables on board installed by the Authority in sound condition. 36.3. In case of any early termination of the Agreement before its normal expiry with the efflux of time, for whatever reason, the Operator shall handover to the Authority free from Encumbrances the peaceful possession of all hardware, software, firmware, and deliverables on board installed by the Authority in sound condition. 36.4. In case of any early termination of the Agreement before its normal expiry with the efflux of time, for whatever reason, the Operator shall handover free from Encumbrances the peaceful possession of all awarded/allotted Bus Depots, Parking Spaces, Terminals, and any other assets installed or developed by Authority including without limitation any and all hardware, software, firmware, and deliverables in sound condition. 36.5. The Operator shall have no right to seek the transfer of the Bus Depot Area or any other Movable or immoveable asset that may be provided by the Authority to the Operator, and the Authority shall retain the title, and ownership in relation to such assets at all times. 36.6. Any immovable infrastructure, which may be constructed by the Operator shall be transferred by the Operator to the Authority.

In case of any early termination of this Agreement before its normal expiry with the efflux of time, for whatever reason, the Operator shall handover all transformers, Chargers, entire Electrical and civil infrastructure including Electrical and civil systems, its sub systems , its parts used for Project , hardware, software, firmware, and deliverables under the Project in sound and operating conditions condition to the Authority , besides any equipment’s, parts, installed by the Authority in sound condition. 39.4. In case of any early termination of this Agreement before its normal expiry with the efflux of time, for whatever reason, the Operator shall handover free from Encumbrances the peaceful possession of all awarded/allotted space within Bus Depots, Parking Spaces, Terminals, and any other assets installed or developed by Authority including without limitation any and all hardware, software, firmware, and deliverables in sound condition. 39.5. The Operator shall have no right to seek the transfer of the Bus Parking Spaces or any other Movable or immoveable asset that may be provided by the Authority to the Operator, and the Authority shall retain the title, and ownership in relation to such assets at all times. 39.6. Any immovable infrastructure, which may be constructed by the Operator shall be transferred by the Operator to the Authority in sound condition.

In case of any early termination of the Agreement before its normal expiry with the efflux of time, for whatever reason, the Operator shall handover to the Authority free from Encumbrances the peaceful possession of all hardware, software, firmware, and deliverables on board installed by the Authority in sound condition. 32.5.   • On Termination In the event this Agreement is terminated for any reason prior to the expiration of its original term or any renewal term, Owner shall indemnify, protect, defend, save and hold Manager and all of the other Indemnified Parties harmless from and against any and all claims, causes of action, demands, suits, proceedings, loss, judgments, damage, awards, liens, fines, costs, attorney's fees and expenses, of every kind and nature whatsoever (collectively, "Losses"), that may be imposed on or incurred by Manager by reason of the willful misconduct, gross negligence and/or unlawful acts (such unlawfulness having been adjudicated by a court of proper jurisdiction) of Owner.

  • Term; Termination; Rights on Termination The term of this Agreement shall begin on the date hereof and continue for three (3) years, and, unless terminated sooner as herein provided, shall continue thereafter on a year-to-year basis on the same terms and conditions contained herein in effect as of the time of renewal (such initial three year period and any extensions thereof being referred to herein as the "Term"). This Agreement and Employee's employment may be terminated in any one of the following ways:

  • Vacation Pay on Termination An employee whose employment is terminated shall receive vacation pay at the appropriate percentage of the wages or salary earned during the period of entitlement in accordance with the employee's years of service.

  • Annual Leave upon termination (a) On termination of employment, the value of any accrued but untaken annual leave shall be paid out to an Employee. (b) Leave loading will also apply to annual leave paid out upon termination.

  • Proportionate Leave on Termination Where an employee has given five working days or more continuous service, inclusive of any day off as prescribed by clauses 27 or 30 of this award (excluding overtime), and either leaves employment or the employee’s employment is terminated by the employer the employee shall be paid one-twelfth of an ordinary week’s wages in respect of each completed five working days of continuous service with the current employer for which leave has not been granted or paid for in accordance with this award.
