HOSTED MANAGEMENT CONSOLES. Customer may purchase the use of Hosted Management Consoles (as described in the Ops Manual) located at the SOC for centralized management of certain Devices receiving Service(s). Customer is responsible for obtaining any required license(s) from the technology vendor to allow applicable use of the Hosted Management Console.

The “Out-of-Band Management Solution” means a third-party hardware product which CA may provide, at its sole discretion, for Customer’s use to facilitate the remote configuration and management of Device(s) for a Customer who has purchased Management Service(s). Customer acknowledges and agrees that CA and/or its licensors are the owner(s) of any Out-of- Band Management Solution and only grants Customer the right to use the Out-of-Band Management Solution during the Term. In the event the Out-of-Band Management Solution fails due to a defect during the Term, CA will replace it subject to notification and reasonable cooperation from Customer. Customer acknowledges and agrees that CA is not responsible for any outages that may occur during the time that the Out-of-Band Management Solution is being replaced. Customer further acknowledges and agrees that Customer is responsible for the cost of replacing the Out- of-Band Management Solution if failure is due to misuse or negligence of Customer. • INCIDENT RESPONSE RETAINER SERVICES (BASE). To minimize the impact of security incidents and shortens the timeframe between incident identification and incident resolution, Incident Response Retainer Services (Base) is now part of MSS. Customer can activate the benefits of Incident Response Retainer Services (Base) by paying an additional fee.   • Traffic Management 6.5.1 Developer shall be responsible for the management of traffic on (a) the New Harbor Bridge from NTP2 through the Term, (b) the Existing Harbor Bridge from issuance of NTP3 until Substantial Completion of Phase 2, and (c) all other portions of the Project from issuance of NTP2 until the expiration or earlier termination of the O&M Period. Developer shall manage traffic so as to preserve and protect safety of traffic on the Project and Related Transportation Facilities and, to the maximum extent practicable, to avoid disruption, interruption or other adverse effects on traffic flow, throughput or level of service on the Project and Related Transportation Facilities. The Traffic Management Plan shall comply with the Technical Provisions concerning traffic management and traffic operations. Developer shall carry out all traffic management during the Term in accordance with the approved Traffic Management Plan. 6.5.3 Developer shall implement the Traffic Management Plan to promote safe and efficient operation of the Project and Related Transportation Facilities at all times during the course of any construction or operation of the Project by Developer and during the Utility Adjustment Work. 6.5.4 TxDOT shall have at all times, without obligation or liability to Developer, the right to (a) issue Directive Letters to Developer regarding traffic management and control (with which Developer shall comply), or directly assume traffic management and control, of the Project during any period that the Executive Director determines such action will be in the public interest as a result of an emergency or natural disaster; and (b) provide on the Project, via message signs or other means consistent with Good Industry Practice, traveler and driver information, and other public information (e.g., amber alerts).

  • Management System After Buyer approval the Security Management Plan and Information Security Management System will apply during the Term of this Call-Off Contract. Both plans will comply with the Buyer’s security policy and protect all aspects and processes associated with the delivery of the Services.

  • STATEWIDE CONTRACT MANAGEMENT SYSTEM If the maximum amount payable to Contractor under this Contract is $100,000 or greater, either on the Effective Date or at any time thereafter, this section shall apply.   • Configuration Management The Contractor shall maintain a configuration management program, which shall provide for the administrative and functional systems necessary for configuration identification, control, status accounting and reporting, to ensure configuration identity with the UCEU and associated cables produced by the Contractor.
