IBM'S RESPONSIBILITIES. IBM will make available and authorize Customer to use: a. the ILMT at no charge, when ordered by Customer or Customer’s IBM Reseller. IBM provides the ILMT to Customer for Customer’s compliance with these Sub-Capacity Licensing terms; and b. the information center included with the ILMT to aid Customer’s compliance with these Sub-Capacity Licensing terms. Customer may make copies of the ILMT and information center for Customer’s compliance with these Sub-Capacity Licensing terms.

Government Customer may make copies of the ILMT and information center for Government Customer’s compliance with these Sub-Capacity Licensing terms.
IBM'S RESPONSIBILITIES. IBM agrees to perform the following obligations under this SOW:
IBM'S RESPONSIBILITIES. 3.01 IBM will perform reviews and testing of the Licensed Works in accordance with the Attachment entitled "Acceptance Criteria." 3.02 IBM will perform beta test programs to ensure that the Products are ready for general availability. IBM will report problems found during the beta test programs to SHOWCASE. 3.03 IBM will make payments for SHOWCASE's porting activity in accordance with Section 5.0, "Payments." 3.04 IBM will pay royalties to SHOWCASE pursuant to Section 6.0, "Royalties."
IBM'S RESPONSIBILITIES. IBM's sole responsibilities regarding distribution and resale of the Approved Products are set forth in the IBM Business Partner Agreement.
IBM'S RESPONSIBILITIES. 5.1 MARKETING SUPPORT ACTIVITIES IBM will, at its sole cost, undertake the following market support activities for the Product(s): 5.1.1 provide to You the IBM Business Partner Program emblem as described in Section 11.3 "Advertising and Trademark Usage" of this Agreement; and 5.1.2 issue an announcement letter to its Marketing Force and customers that describes the Product(s), to include pricing, and announces that the Marketing Force may solicit and obtain orders for the Product(s) on Your behalf. This announcement letter may also be posted on the Internet; and 5.1.3 make available to You a registration process whereby You may accept or reject a Prospect; and 5.1.4 include Your Product(s) (identified as Software Vendor Marketing Programs offerings) in IBM National Solution Center database. 5.2 IBM may solicit and obtain orders from Prospects on the Order Form, obtain the Prospect's signature on an User Agreement, and forward or facilitate the forwarding of the same to You. 5.3 IBM may participate in joint sales calls with You. 5.4 IBM will, in its Marketing Activities, rely on the information supplied by You and contained in the Marketing Package, training, and instruction received from You, and information otherwise provided by You regarding the Product(s). 5.5 IBM may, in a manner and amount that it deems appropriate, compensate the Marketing Force based upon fees received by IBM from You under this Agreement. 5.6 Notwithstanding anything contained herein, IBM shall have full freedom and flexibility in its marketing effort for the Product(s), including whether to market or discontinue marketing. IBM makes no guarantee or commitment that the Product(s) will be marketed nor does IBM guarantee the financial or other success of any marketing effort engaged in.
IBM'S RESPONSIBILITIES. 4.1 For Packaged Programs, IBM will provide to you: a) Programs on dates to be mutually agreed to; b) if applicable, the IBM Technical Support Document and Administrative Guide; c) Related Licensed Materials; and d) service training as specified in the Transaction Document for your personnel at a location to be determined by Us. IBM is not responsible for your cost of said training or any associated expenses. 4.2 For Manufactured Programs and Embedded Programs, IBM will provide to you: a) one copy of master replication media of the Programs listed in the Transaction Document; b) installation Programs and/or instructions for the Programs, if applicable; c) one copy of the Programs with Maintenance Modifications, if any, released by IBM during the term of the Transaction Document; d) as applicable, one original copy of each Program License Agreement and the IBM Technical Support Document and Administrative Guide; e) Related Licensed Materials and, if applicable, specific instructions for its customization; and f) service training as specified in the Transaction Document of your personnel at a location to be determined by us. IBM is not responsible for your cost of said training or any associated expenses. 5.1 You will: a) ensure that all Value-Add Components listed in the Transaction Document work with the Programs before you ship your Offerings; b) ensure that trademarks, copyrights and other notices included in Embedded Programs continue to appear on the Program's first screen when the Customer runs the Program in the Offering; c) retain all references to IBM and other notices in Programs; d) include Programs with the Value-Add Components in the Offering; e) provide the Program code in the form provided by IBM (i.e., in object code) only as part of your Offering; f) obtain Customer agreement to the License Agreement; g) distribute a copy of the License Agreement, Related Licensed Materials and marketing materials identified in the Transaction Documents with your Offering; h) not internally use Programs other than a reasonable quantity (in no event more than 20 copies) necessary for you to perform your responsibilities under this Agreement; i) ensure that your employees comply with this Agreement and the License Agreement for Programs they are authorized to use internally; and j) incorporate Maintenance Modifications on all Embedded Programs in a commercially reasonable time period after receipt by you from IBM but in no event later than 90 days after such ...
