In-Flight Projects. (a) The Service Recipient shall participate in the In-Flight Projects. The Service Recipient shall pay a proportionate share of the actual costs associated with any relevant In-Flight Project, which, in each case, shall be calculated using the same methodology as has been used to estimate the budgeted cost for the Service Recipient of that In-Flight Project set out in Schedule 6 (In-Flight Projects).
(b) Any amounts paid or payable by any member of the Service Recipient Group under Clause 3.4(a) shall be invoiced, treated, and paid for, as if they were Service Charges and shall include a ▇▇▇▇-up of five per cent (5%).
In-Flight Projects. The effect of In-Flight Projects on transition timing, costs, savings and resources related to the Services and the manner in which the Parties will conduct themselves in respect of In-Flight Projects is set out, to the extent known at the time of the Service Agreement Effective Date, in a Schedule to the applicable Service Agreement. The Parties will use Change Control to document and agree upon other consequences from In-Flight Projects.
In-Flight Projects. Company shall, and shall procure that its Subsidiaries shall, participate in the projects set forth in Exhibit D (the “In-Flight Projects”). Company shall pay Lilly a proportionate share of the Costs incurred by the Lilly Group in implementing the In-Flight Projects, as set forth in Exhibit D (the “In-Flight Project Costs”) in accordance with Section 5.1.
In-Flight Projects. Supplier shall provide the services, functions and responsibilities necessary to complete and implement the in-flight projects described in Exhibit 9 (Current and Planned Projects). Such in-flight projects, including all activities associated with the management thereof, shall be performed by Supplier within the Base Charges.

1. CROSS-FUNCTIONAL SERVICES OVERVIEW AND OBJECTIVES
In-Flight Projects. As of the applicable Transition Completion Date, IBM shall provide the services, functions and responsibilities as set forth in Schedule A-1 or as otherwise directed by Federal-Mogul to implement the In-Flight Projects.
In-Flight Projects. Supplier will assess project schedules and budgets of In-Flight Projects in progress for completeness and viability within forty-five (45) days of the Migration start date and will adjust these accordingly, as agreed with Client.
a. Supplier will continue to perform In-Flight Projects based upon the existing prioritization until Client reassesses and/or reprioritizes such projects; and
b. Supplier will provide the original deliverables specified in the technical design in accordance with the revised schedules and budgets.
c. Supplier will complete In-Flight Projects on time and on budget.
In-Flight Projects. Supplier and Clearwire will jointly establish an agreed list of In-Flight Projects and a methodology to maintain accuracy of the list, prior to Service Commencement Date [*****] Confidential — Subject to Nondisclosure Obligations CLEARWIRE AND SUPPLIER CONFIDENTIAL (SCD). In-Flight Projects. As part of the Transformation/Transition, Provider will also assume responsibility for completing the Projects listed or described in a Statement of Work, which are in progress or planned as of the Effective Date and being performed by resources of Client or a prior service provider which are being replaced by Provider (the “In-Flight Projects”).
In-Flight Projects. As part of the Transition, Supplier will also assume responsibility for completing the projects listed or described in Schedule X (In-Flight and Accelerated Projects), which are in progress as of the SOW Effective Date or expected to commence promptly following the Effective Date (the “In-Flight and Accelerated Projects”).
