The Integration Team clause defines the establishment and responsibilities of a group tasked with coordinating and overseeing the integration of systems, processes, or teams between parties to an agreement. Typically, this clause outlines the composition of the team, the frequency of meetings, and the scope of their authority, such as resolving integration issues or ensuring milestones are met. Its core function is to provide a structured mechanism for collaboration and problem-solving during the integration phase, thereby reducing miscommunication and facilitating a smoother transition.
Integration Team. As soon as practicable after the date hereof, Parent and Company shall, subject to limitations imposed by applicable law, create an integration steering team with representatives appointed by the CEOs of Parent and the Company, and chaired by Parent. The integration steering team shall be responsible for facilitating the integration of the two companies as subsidiaries of Newco.
Integration Team. National Penn and TF Financial shall cooperate with each other in the selection of an integration team, which team shall plan and implement an orderly, cost-effective consolidation of TF Financial’s back room operations presently located in Newtown, Pennsylvania and elsewhere, into National Penn’s operations in Allentown, Wyomissing, Reading, Bethlehem or Boyertown, Pennsylvania or any other National Penn site. Consistent with TF Financial maintaining its independent status prior to the Effective Date, National Penn will provide sufficient resources and personnel to effectively guide the integration team.
Integration Team. Promptly after the date hereof, Parent will establish an integration team (the "Integration Team"). The Integration Team will be comprised of senior executive officers of Parent and the Company and, to the extent appropriate, other management members from both Parent and the Company. The Integration Team will review its recommendations with the Management Board of Parent. The Parent's chief executive officer will work closely with the Integration Team which is responsible for proposing alternatives and recommendations regarding the matters and issues arising in connection with the integration of the two companies and their respective businesses, assets and organizations. The Parent's chief executive officer ultimately has the responsibility for approving the recommendations and alternatives of the Integration Team.

CMTY and PRFS shall cooperate with each other in the selection of an integration team, which team shall plan and implement an orderly, cost-effective consolidation of the deposit and information technology operations of Community Banks into Blue Ball’s operations in Blue Ball, Pennsylvania.

As promptly as practicable after the Completion of the Contribution in Kind, the Gemalto Executive Chairman and Chief Executive Officer shall constitute an Integration Team to oversee the integration of the two companies’ operations. Consistent with HomeTowne maintaining its independent status prior to the Effective Date, NPB will provide sufficient resources and personnel to effectively guide the integration team.
