Lease Term Commencement Date. (a) The parties acknowledge and confirm that Landlord shall vacate and make available to Tenant portions of the Premises in accordance with the schedule described in Exhibit C annexed hereto and made a part hereof; prior to the Entire Premises Delivery Date, Landlord and Tenant shall share the use of Space D, as described on Exhibit C, and, accordingly, Tenant shall pay only one-half of the Phase-in Rents and all other costs and expenses associated with such Space D. (b) The Lease Term: (y) shall commence on the date (the "Term Commencement Date") on which the portions of the Premises designated as Space A and Space D on Exhibit C are delivered to Tenant in the condition required by this Lease, which date shall be no later than the day following the date of this Lease; and (z) shall end at noon on the last day of the Lease Term (the "Expiration Date"), unless sooner terminated as herein provided, in which event the Lease Term shall end on the date of such termination. After the Term Commencement Date, upon Landlord's request, Tenant shall promptly execute a Lease Commencement Letter in substantially the form annexed hereto as Exhibit D (the "Lease Commencement Letter"), which shall specify the calendar dates of the Term Commencement Date and the Expiration Date. The failure by Tenant to execute a Lease Commencement Letter when requested by Landlord shall not affect the occurrence of the Term Commencement Date or Expiration Date.

Lease Term Commencement Date. The "Lease Term" (a) shall ------------------------------ commence on the date (the "Commencement Date") that is (x) the earlier to occur of: (i) the Fixed Commencement Date, if any such date is specified in Section 1.1, or (ii) the date on which Tenant, or anyone claiming under or through Tenant, first occupies the Premises, with Landlord's consent and with the Port Authority's certification of occupancy, for the conduct of Tenant's Business, provided, however, that the installation and /or testing of equipment installed by or on behalf of Tenant within the Premises shall not constitute the conduct of Tenant's business for purposes of this Article, but (a) in no case prior to the date on which the Port Authority consents to this Lease pursuant to Section 17.6.1 if Landlord and Tenant elect, as set forth in Section 17.6.1, to condition commencement on such consent; and (b) shall end at noon on the last day of the Lease Term (the "Expiration Date") unless sooner terminated as hereinafter provided or pursuant to applicable law. After the Commencement Date, upon Tenant's or Landlord's request, Landlord and Tenant shall execute a Memorandum of Lease Commencement (the "Memorandum of Lease Commencement") which shall specify the calendar dates of the Commencement Date and the Expiration Date of the Lease Term. The failure by Landlord or Tenant to execute a Memorandum of Lease Commencement when requested by the other party shall not affect the occurrence of the Commencement Date or Expiration Date.

Lease Term Commencement Date. The Lease Term (a) shall commence on the later of (i) November 1, 2008 and (ii) the date on which a Lease Termination Agreement, in form and substance satisfactory to Landlord, has been concluded between Landlord and the current tenant of the 31st floor of the Building (the "Current Tenant") (the "Term Commencement Date") and (b) shall end at noon on December 31, 2018 (the "Expiration Date"), unless sooner terminated as herein provided, in which event the Lease Term shall end on the date of such termination. Landlord shall deliver possession of the Premises to Tenant on the Term Commencement Date in their "as is" condition, provided that, upon such delivery of possession, the Premises shall be free of tenancies and occupancies and broom clean with the Included Property (as hereinafter defined) in place, and Tenant shall accept such possession. If the Current Tenant's telephone switch equipment has not been removed from the Premises and the IDF closet cleaned out (the "Telephone/IDF Closet Work") by November 10, 2008, then Tenant may perform the Telephone/IDF Closet Work and may b▇▇▇ Landlord for the reasonable cost thereof. Landlord shall pay such statement within ten (10) Business Days after its receipt thereof. Landlord represents that, on the Term Commencement Date, the Building HVAC, plumbing and water systems which serve the 31st floor of the Building will be in proper working order. In the event that an equipment use permit (the "Equipment Permit") has not been obtained for the supplemental air conditioning unit presently located in the Premises, Tenant shall take all requisite measures to obtain the Equipment Permit, including without limitation, government filings and alterations necessary to satisfy applicable legal requirements in connection therewith. Landlord shall reimburse Tenant, within fifteen (15) days after its demand, for the reasonable out-of-pocket expenses incurred by Tenant in order to obtain the Equipment Permit, up to a maximum amount of $2,500.00. It is understood that the non-existence of the Equipment Permit shall not affect the Term Commencement Date or any of the obligations of Tenant under this Lease.
Lease Term Commencement Date. As evidenced by a commencement date certificate, (i) as to the Phase 1 Leased Premises (as hereinafter defined), the later to occur of (A) January 1, 2024 and (B) the date Landlord Substantially Completes all of Landlord’s Work as to the Phase 1 Leased Premises and (ii) as to the Phase 2 Leased Premises (as hereinafter defined), provided Tenant has delivered to Landlord the Phase 2 Work Letter by March 1, 2024, the later to occur of (A) September 1, 2024 and (B) the date Landlord Substantially Completes all of Landlord’s Work as to the Phase 2 Leased Premises. In the event that ▇▇▇▇▇▇ fails to deliver to Landlord the Phase 2 Work Letter by March 1, 2024, the Lease Term Commencement Date as to the Phase 2 Leased Premises shall be September 1, 2024.
