Maintenance Contracts. Company shall maintain contracts with respect to the maintenance of each Financed Aircraft sufficient to insure compliance with the Federal Aviation Act, in form and substance reasonably satisfactory to Administrative Agent.

Maintenance Contracts. To the extent any ERF Retained Clients are assigned to Schlumberger, as additional consideration for the exclusive rights granted herein, Schlumberger agrees to assume the maintenance obligations for such clients (the “Maintenance Contracts”), following confirmation through due diligence that the terms and conditions of the existing ERF contracts permit assignment to Schlumberger. Following the assignment of any agreed existing client agreements from ERF, Schlumberger shall be permitted to directly invoice and retain all maintenance fees associated with the Maintenance Contracts.
Maintenance Contracts. During the Sublease Term, Subtenant shall maintain, at its sole cost and expense, the HVAC Maintenance Contracts for the rooftop mounted HVAC units exclusively serving the Subleased Premises pursuant to the terms set forth in Section 14(a) of the Prime Lease. To the extent required by the Prime Lease, Subtenant shall obtain Prime Landlord’s consent prior to accessing the Building’s roof area for such maintenance. In addition, Subtenant shall maintain, at its sole cost and expense, maintenance and repair contracts with qualified contractors for any material equipment (i.e. hoods) in the Subleased Premises. Subtenant shall be responsible for the cost of any equipment it determines to replace during the Subleased Term.
Maintenance Contracts. At Tenant’s expense, Tenant shall enter into a maintenance agreement for the HVAC systems serving the Premises, with a licensed HVAC service company approved by Landlord, for the complete Term of this Lease, and if the Premises is served by overhead crane(s), private utility systems, private drainage or storm water control systems, and/or fire alarm or fire control or protection systems, whether installed by Landlord or Tenant, also a maintenance agreement with a service contractor acceptable to Landlord for the standard manufacturer suggested maintenance and repair of such systems during the entire Term of this Lease. Tenant will obtain and promptly provide to Landlord copies of the above-referenced maintenance contracts and an annual certificate of inspection with respect to any fire alarm or fire control/suppression system installed in or upon the Premises. Within five (5) business days after Landlord’s request, Tenant will provide evidence of the actual occurrence of maintenance of such systems by such contractors, in terms of certificates from the vendor showing dates of visits, services performed and work deferred or pending.
Maintenance Contracts. The Company will establish engine maintenance contracts designed, together with the partial pre-payment of eight near-term airframe D-checks, to meet the following objectives for the EETC Aircraft and Engines as of the end of each calendar month: (i) half-time (50%) "Aggregate Maintenance Condition" for all of the Aircraft and Engines, taken as a whole and not individually, in each EETC Series; and

Maintenance Contracts. Lessee need not compensate Lessor as contemplated in Paragraphs (d) or (e), as the case may be, if at the time of the return of the Aircraft to Lessor: (i) in the case of Paragraph (d), (A) both of the Engines are covered by a service and maintenance contract in form and substance satisfactory to Lessor which provides for the maintenance and/or overhaul of such property, 40 <PAGE> (B) either (x) adequate reserves for future required maintenance and/or overhaul shall have been provided for pursuant to such maintenance contract, or (y) all amounts due and payable pursuant to such maintenance contract shall have been paid in full through the date of return, and (C) the entity which provides the maintenance and/or overhaul services under such maintenance contract shall either (x) recognize the transfer by Lessee to Lessor of the rights and interests of Lessor (or its designee) under such maintenance contract, or (y) acknowledge the rights and interests of Lessor (or its designee) under such maintenance contract, and (ii) in the case of Paragraph (e), (A) the Airframe is covered by a service and maintenance contract in form and substance satisfactory to Lessor which provides for the maintenance and/or overhaul of such property, (B) either (x) adequate reserves for future required maintenance and/or overhaul shall have been provided for pursuant to such maintenance contract, or (y) all amounts due and payable pursuant to such maintenance contract shall have been paid in full through the date of return, and (C) the entity which provides the maintenance and/or overhaul services under such maintenance contract shall either (x) recognize the transfer by Lessee to Lessor of the rights and interests of Lessor (or its designee) under such maintenance contract, or (y) acknowledge the rights and interests of Lessor (or its designee) under such maintenance contract.
Maintenance Contracts. To enter into and continue from time to time contracts with suitably qualified and experienced persons of repute for the regular maintenance inspection care and servicing of any boilers, air-conditioning and central heating plant and apparatus hot and cold water system ventilation plant and all installations relating to each of them, fire alarm system, smoke detector system, security system and any other mechanical and electrical equipment from time to time in and exclusively serving the Demised Premises and to supply to the Landlord details of all such contracts upon written request being made by the Landlord.
