Measuring Devices. Owner shall equip the Vessel with ullage tables, gauges and devices for measuring temperature, level and pressure, and gauges and devices suitable for accurately measuring regasified LNG, which are acceptable to Governmental Authorities and the parties in the trade in which the Vessel is engaged and which are customarily maintained on board LNG vessels, including LNGRVs. Such tables, gauges and devices shall be accurate and reliable in their practical application and shall comply with the maximum permissible tolerances provided for in Schedule I. Compliance with the foregoing shall be certified by an internationally recognized independent marine surveyor chosen by Owner and approved by Charterer. From time to time as requested by Charterer (but not to exceed the period between the Vessel’s normal dry-dockings for items (i) and (ii) below), in a manner which avoids undue interference with normal operation of the Vessel, Owner shall arrange for: (i) testing the accuracy of the instrumentation described above; (ii) the recalibration of such instruments; and (iii) the recalibration and recertification of tank gauge tables. Such testing and recalibration shall be done using methods approved by Charterer and in compliance with appropriate regulatory requirements of any applicable Governmental Authorities. All costs incurred in relation to such testing and recalibration under (i), (ii) and (iii) above shall be for Owner’s account, unless such costs are incurred at Charterer’s request in order to enable the Vessel to be utilized to provide transportation between ports other than the Primary Terminals.

Data reflecting storage volume and flow rate at Homewood’s Point of Delivery from Chicago Heights, Homewood pumping stations and reservoirs shall be made available to East ▇▇▇▇▇ Crest to view but not to operate.

Measuring Devices. Vendor shall maintain, repair and replace the laboratory chromatograph and the positive displacement meters by performing such routine checks and inspections as are deemed advisable in conformance with standard industry practices. Vendor shall notify the Purchaser before making any calibration tests so that the Purchaser may have a representative present. Purchaser shall have the right at any and all reasonable times to check and inspect charts and other records or measurements applicable to such instruments.

Measuring Devices. All water furnished pursuant to this Agreement shall be measured by the Agency at mutually agreed upon points with equipment satisfactory to the Agency and the Purveyor. All such equipment shall be installed and maintained by the Agency at the expense of Purveyor. All new meters shall conform to American Water Works Association standards (or the standards of the successor organization) for meter design and accuracy and shall be equipped with a digital readout, which records flow in Million Gallons per Day (MGD) and totals in MG. All determinations relative to the measuring of water shall be made by the Agency, and upon request by the Purveyor, the accuracy of such measurements shall be investigated by the Agency. Any errors appearing thereon will be adjusted. The Purveyor may inspect such measuring equipment for the purpose of determining the accuracy thereof.

Measuring Devices a. City B agrees to provide, install, and maintain accurate sewerage metering devices at locations designated by City A engineer and in a manner which will insure the volume of all sewage flowing from City B to the WWTP is measured at the point where its sewage leaves City B and at the point where is connects to the City A’s WWTP. The measuring devices shall be equipped with an automatic flow measuring and recording device. In addition, City B shall install auto sampling devices which shall be capable of sampling according to set time intervals, time impulse, and/or proportionate to f low. b. The records and reports from such measuring devices, will be kept by City B and made available to City A for billing and analysis procedures. c. In the event of failure of such measuring devices for the purpose of determining rates pursuant to this Agreement, it will be assumed that during the period of in operation of the measuring device the flow will be the average daily volume during the same time period in the preceding year. d. City B shall provide for at least one annual inspection and calibration of its flow measuring devices by an independent testing company satisfactory to City A. A certified copy of the inspection and test results shall be provided to the City A promptly after completion. e. City A may inspect such measuring devices at any reasonable time and in the event such a device fails and is not repaired within a reasonable time by City B, then City A may repair the same and City B will pay City A its reasonable costs and expenses for said repair.

  • MEASURING EQUIPMENT 1. Seller will maintain and operate, at its own, expense and at the point of delivery of gas hereunder, a meter or meters and other necessary equipment by which the volume of gas delivered hereunder shall be measured. Such meters and equipment shall remain the property of the Seller. 2. ▇▇▇▇▇ agrees to furnish to Seller for operating Seller's meters, at not cost to Seller. 3. ▇▇▇▇▇ agrees to change the charts on meters at no cost to Seller and forward same to Seller. 4. Buyer may install, maintain and operate such check measuring equipment, including a recording gravitometer and calorimeter as it shall desire, provided that such equipment shall be so installed so as not to interfere with the operation of Seller's measuring equipment at or near the point of deliver. However, all ▇▇▇▇▇▇▇▇ to the Buyer shall be based on the metering of the Seller, subject only to the provisions of Paragraph 8 of this Article. 6. Each party shall have the right to be present at the time of any installing, reading, cleaning, changing, repairing, inspecting, testing, calibrating, or adjusting done in connection with the other's measuring equipment used in measuring deliveries hereunder and each party shall advise the other of any intended major maintenance operation sufficiently in advance in order that the other party may conveniently have its representative present. 7. All installation of measuring equipment, applying to or effecting deliveries hereunder, shall be made in such manner as to permit an accurate determination of the quantity of gas delivered and ready verification of the accuracy of measurement. Orifice meter installations, if used, shall conform to the recommendation for design and installation contained in the Gas Measurement Committee Report No. 3 to the American Gas Association published April, 1955, and any modifications and amendments thereof and shall include the use of flange connections. 8. Measurement on meter or meters shall be conclusive of both parties except where the meter is defective or fails to register, or if found in error, in either of which case Seller shall (a) By using the registration of any check meter if installed and accurately registering, or, in the absence of (a): (b) By correcting the error if the percentage of error by calibration, test or mathematical calculation, or, in the absence of both (a) and (b) then: (c) By estimating the quantity of delivery from deliveries during periods under similar conditions when the meter was registering accurately; and an appropriate billing adjustment shall be made in accordance wtth the current Rules and Regulations governing gas systems issued by the Commission. 9. Seller will maintain its meters in good order and to this end will make periodic tests of its meters pursuant to the current Rules and Regulations governing gas systems issued by the Commission, or at such shorter intervals as seem to Seller desirable. If ▇▇▇▇▇ is dissatisfied with the accuracy at any time, it may call upon Seller to have the meter tested ·in accordance with all regulations relating to such tests and results of such tests as found in the current Rules and Regulations governing gas systems issued by the Commission. 10. Each party shall preserve all records for a period of at least two (2) years.

  • Measurement Should the State terminate this contract as herein provided, no fees other than fees due and payable at the time of termination shall thereafter be paid to the Engineer. In determining the value of the work performed by the Engineer prior to termination, the State shall be the sole judge. Compensation for work at termination will be based on a percentage of the work completed at that time. Should the State terminate this contract under paragraph (4) or (5) above, the Engineer shall not incur costs during the thirty-day notice period in excess of the amount incurred during the preceding thirty days.
