Method of Implementation. The Merger will be implemented by a demerger of Hydro’s Petroleum Activities with Statoil as the assignee company pursuant to the rules set out in chapter 14 of the public limited companies act (the “PLCA”), whereupon Statoil will issue shares as demerger consideration to Hydro’s shareholders. The Merger is assumed to be executed with fiscal continuity.
