PURPOSE AND IMPLEMENTATION. This Umbrella Agreement (hereinafter referred to as the “Agreement” or “Umbrella Agreement”) shall be for the purpose of enabling collaboration between PWW and NASA in order to support PWW on public engagement and education projects that raise awareness of science, technology, engineering and mathematics activities (STEM). This agreement aligns with NASA’s goal to expand awareness of NASA’s missions, reaching new audiences and generating excitement about STEM and our shared future in space. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the “Annex”) concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. This Umbrella Agreement shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella Agreement. Nevertheless, Annexes may include an additional sentence to Article 8.C. (titled “Liability”), in standard approved form, which shall be applicable solely to the activities conducted under such Annex. Each Annex will detail the specific purpose of the proposed activity, responsibilities, schedule and milestones, and any personnel, property or facilities to be utilized under the task. This Umbrella Agreement takes precedence over any Annexes. In the event of a conflict between the Umbrella Agreement and any Annex concerning the meaning of its provisions, and the rights, obligations and remedies of the Parties, the Umbrella Agreement is controlling.

The Parties expect the results of these activities will promote public confidence in AAM safety and facilitate community-wide learning while capturing the public’s imagination. Specifics on the AAM demonstration, research and evaluation activities are outlined in the Annexes to which they apply. NASA KSC will make services available to Partner on an "as available, noninterference" basis with NASA requirements and previous NASA commitments or launch operations. NASA may provide services not specifically identified in the exhibit on reimbursable support services (Exhibit B). The Parties agree that any determination by NASA that a requested service is not available, that providing a service would preclude, discourage, or compete with United States commercial space activities, or that providing a service would interfere with NASA’s ongoing or projected launch operations will be conclusive and not subject to legal claim, judicial review, or other appeal. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the “Annex”) concurrently with this Umbrella Agreement. Through this partnership, the Founder Institute Space Tech Accelerator program will empower early-stage space entrepreneurs to build leading Space companies by providing expert mentorship. The program will be congruent to the Silicon Valley Founder Institute program, so that all participants receive the full benefits of the Founder Institute program in addition to added support through the vertical. Company founders will receive access to NASA ▇▇▇▇' resources, including technology licensing opportunities through NASA’s Technology Transfer office. Impact in the San Francisco Bay Area and State of California is expected by fostering a nascent space-based startup ecosystem, contributing to a dynamic startup community, creating both high quality and vocational jobs, attracting and retaining talent, and stimulating economic activity, among others. In parallel, NASA will engage a new innovation ecosystem and show concrete examples of economic benefits for its research activities. The Agency will also reach a large new community of entrepreneurs to create solutions to support space exploration. As the community grows, NASA will be able to share, through FI, our space exploration challenges that we are seeking solutions from innovation communities throughout the United States. The ultimate goal to increase the success rates of the startups that license NASA technology. This agreement will allow NASA to leverage the FI community in a manner that will effectively and efficiently determine viable transferees for NASA technology. Once a startup is in a position to license the technology and the startup is deemed an acceptable candidate by NASA, NASA will enter into a licensing agreement with the startup. Each license will be separately negotiated between NASA and the startup company. PURPOSE AND IMPLEMENTATION. This Umbrella Agreement (hereinafter referred to as the "Agreement" or "Umbrella Agreement") shall be for the purpose of providing Space Environmental Effects Testing at MSFC. The agreement will enable the partner to conduct research and survivability investigations into spacecraft materials and systems with emphasis on solar array power systems. Work under the umbrella agreement will make use of unique combined environmental effects testing capabilities at MSFC, such as illuminated electrostatic discharge testing on solar array coupons. Work under this agreement will utilize NASA facilities such as the High Intensity Solar Environment Test (HISET) laboratory. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. WSTF's Oxygen and Standard Testing core capability has evaluated materials for spacecraft safety for more than 30 years maintaining vast hazard evaluation experience. NASA WSTF possesses unique testing facilities, unique custom analysis and interpretation capabilities, as well as unique NASA Materials and Processing (M&P) certification. WSTF is the only oxygen, propellant, and NASA-STD-6001 materials and component test facility within NASA and is not available in the commercial marketplace. 2. Component processing capabilities: In the area of component processing (precision cleaning, refurbishment, modifications, machining, and calibration capabilities and related queries such as gas sampling) WSTF combines highly reliable precision cleaning up to a level 50A with a long performance history of effectively processing articles for safe use in hazardous oxygen, hydrogen, and propellant systems, resulting in a unique expertise that can help partners develop and operate high performance systems safely. WSTF is also unique in its capability to maintain clean during component processing (such as in calibration) and to safely handle and dispose of hazardous propellant fluids such as Hypergols that may be found in partner provided hardware for cleaning and refurbishment. WSTF is also the only known National Board Inspection Code (NBIC) certified facility in the world that can maintain clean on relief valves during the assembly and testing portion, resulting in a precision cleaned American Society of Mechanical Engineers (ASME) certified relief valve. 3. Flight / Sensitive System Specialized Training. NASA WSTF offers specialized courses in the areas of Oxygen Compatibility, NASA-STD-6001 Testing, Precision / Field Cleaning, Composite Overwrap Pressure Vessels, Hazardous Propellant Material Compatibility and Blast and Fragmentation (B&F). PURPOSE AND IMPLEMENTATION. The purpose of this Umbrella Agreement (hereinafter referred to as the "Agreement" or "Umbrella Agreement") shall be for NASA and Villanova University to pursue strategic collaborative opportunities to maintain, enhance, and/or develop key competencies and technologies required for future space exploration. The activities under this Agreement will provide NASA an opportunity to disseminate information about NASA's programs and activities, and will also advance mutual objectives towards improving U. S. education in the science, technology, engineering and math (STEM) disciplines. This Agreement also aligns with the 2022 NASA Strategic Plan, specifically Strategic Objective 2.3, "Develop capabilities and perform research to safeguard explorers." These goals will be pursued through activities involving individual research topics and hands-on projects. Areas of collaboration may include standard course subjects such as data science, machine learning, and image processing. Collaborative activities may also include larger capstone design projects involving more extensive design and development activities that are typically supported by teams of students over a two-semester period. These activities will involve significant, contextualized, real-world situations, while providing resources, guidance, and instruction to learners as they develop knowledge and problem-solving skills.
