Minister. The Minister is accountable: a. To Cabinet and the Legislative Assembly for the Agency’s fulfilment of its mandate and its compliance with government policies, and for reporting to the Legislative Assembly on the Agency’s affairs. b. For reporting and responding to Treasury Board/Management Board of Cabinet on the Agency’s performance and compliance with government’s applicable directives and operational policies. c. To the Cabinet for the performance of the Agency and its compliance with the government’s operational policies and broad policy directions.

Minister. The Minister’s representatives shall be the interpreter of the requirements of the Contract, consistent with the intent of the Contract. The Minister’s representatives may request the Consultant to make changes in the scope, and the Consultant shall advise the Minister of the effects of such changes on the Contract, including scope of services, Project schedule, compensation and other implications to the Project. The Minister’s representatives may suspend or terminate the Contract at any stage and terminate this Contract at the Minister’s sole and absolute discretion by giving written notice to the Consultant. During a period of suspension, the Consultant shall minimize all fees and expenses relating to the services on the Project that may occur during this period. The Minister shall pay the Consultant for those fees and expenses in accordance with the Contract that are substantiated as having been reasonably incurred during the suspension period. The effective date of termination of the Contract shall not be less than 7 (seven) days after receipt of such notice. Upon receipt of notice to terminate, the Consultant shall take steps to bring the Project to a close and not perform any further work after the termination date. The Minister shall pay the Consultant for the services provided and expenses incurred in accordance with this Contract up to the effective date, and for any substantiated close-out costs reasonably incurred after the date of termination. The Minister agrees to hold harmless the Consultant and the Consultant's employees and agents from any and all third party claims, demands, or actions for which the Minister is legally responsible, including those arising out of negligence or willful acts by the Minister or the Minister's employees or agents. The Minister agrees to hold harmless the Consultant against any claims by third parties for bodily injury or property damage to the extent that a Court of competent jurisdiction has determined that such injury or damage was caused or contributed to by deficient Project Requirements. This hold harmless shall survive this Contract. Project Requirements are defined as guidelines or specifications approved in writing by the Minister including but not limited, to “Engineering Consultant Guidelines for Highway, Bridge and Water Projects, Volume 1 - Design and Tender”, and “Engineering Consultant Guidelines for Highway, Bridge and Water Projects, Volume 2 - Construction Contract Administration”.

Reporting and responding to TB/MBC on the Agency’s performance and compliance with Applicable Government Directives, the Government’s operational policies and policy directions. c. Recommending to TB/MBC, where required, the merger, any change to the mandate or the dissolution of the Agency. d. Recommending to TB/MBC the powers to be given to, or revoked from, the Agency when a change to the Agency’s mandate is being proposed. e. Working with the Chair to develop appropriate measures and mechanisms related to the performance of the Agency. g. Making recommendations to Cabinet and the Lieutenant Governor in Council for appointments and reappointments to the Agency, pursuant to the process for Agency appointments established by ▇▇▇▇▇ and/or by MBC through the AAD. i. Recommending to the Lieutenant Governor in Council the appointment of a person as the Agency supervisor where the Lieutenant Governor in Council considers it in the public interest to do so after having provided at least 14 days’ notice to the Board. j. Issuing directions to the Agency supervisor with regard to any matter within the jurisdiction of the supervisor. k. Making every report of a supervisor of the Agency available to the public. l. Determining at any time the need for a review or audit of the Agency, directing the Chair to undertake reviews of the Agency on a periodic basis and recommending to TB/MBC any change(s) to the governance or administration of the Agency resulting from any such review or audit. m. When appropriate or necessary, taking action or directing that the Agency take corrective action with respect to the Agency’s administration or operations. n. Receiving the Agency’s Annual Report and approving the Annual Report within 60 calendar days of receiving it. o. Tabling the Annual Report within 30 calendar days of approving it. p. Ensuring that the Agency’s Annual Report is made available to the public after it is tabled and within 30 calendar days of approving it. q. Minister. The Minister is accountable to Cabinet and to the Legislative Assembly for: • recommending and obtaining the necessary authority from the Province, as may be required from time to time, to enable the ONTC to carry out its Mandate; • recommending the appointment and reappointment of individuals as Commissioners pursuant to the process for public appointments established by TB/MBC; • receiving the ONTC's Annual Report, tabling it in the Legislative Assembly and ensuring that the Annual Report is made available to the public after tabling it in the Legislative Assembly; • reporting and responding to the Legislative Assembly on the affairs of the ONTC; • attesting, reporting and responding to TB/MBC on the ONTC's performance in delivering its Mandate, and its compliance with applicable TB/MBC directives, the Province's operational policies and Directions; • informing the Chair of the Province’s priorities and policy directions for the ONTC, including providing the ONTC with Directions; • where required, recommending to TB/MBC any change to the ONTC's Mandate or dissolution of the ONTC, and the powers to be given to or revoked from the ONTC when a change in the Mandate is being proposed; • reviewing and approving annually the Business Plan and Capital Plan; • At a minimum of once every year, recommending to TB/MBC the approval of the Business Plan and Capital Plan; • when appropriate or necessary, issuing Directions, taking action or directing that action be taken in respect of the ONTC's interpretation of its Mandate or the ONTC’s operations or administration; • developing an MOU with the Chair, recommending approval to TB/MBC before it is signed by the parties, and signing it into effect after it has been signed by the Chair; • recommending to TB/MBC any provincial funding to be allocated to the ONTC; • determining at any time the need for a review or audit of the ONTC, and recommending to TB/MBC any changes to the governance or administration of the ONTC resulting from any such review or audit; and • directing the Chair to undertake periodic reviews of the ONTC and making subsequent recommendations to TB/MBC as may be required.
