Network Protection Sample Clauses
The Network Protection clause is designed to safeguard a party’s computer networks and systems from unauthorized access, breaches, or other security threats. Typically, this clause requires parties to implement reasonable security measures, such as firewalls, encryption, and regular monitoring, to prevent data leaks or cyberattacks. By establishing clear responsibilities for network security, the clause helps minimize the risk of data breaches and ensures that both parties are accountable for maintaining the integrity and confidentiality of shared information.

NH may, at its discretion, disconnect any Customer or make any change to any Service where it reasonably believes that the Customer’s connection or Service is prejudicial to the security, stability or operation of the NH Network, including protecting it from a Denial of Service Attack or an attempt to gain unauthorised access. NH will endeavor to re-connect the Customer or reconfigure the Service as soon as such a threat is over. If NH reasonably believes that the Customer’s continued use of the NH Service puts NH’s Network at significant risk, NH may terminate this Agreement without penalty and refund any fees paid in respect of future services, provided the Customer has not committed a material breach. NH shall not be responsible for any losses or consequential damage thereby caused.

In the event of an attack on the network by one or more third parties, the franchisor guarantees the franchisee that it will take the initiative and direction of any action for infringement, unfair competition or opportunistic parasitism. The franchisee also undertakes to bring to the attention of the franchisor any attack not known to it. The franchisor alone bears the costs relating to legal action except when the franchisee joins the franchisor's action. Where applicable, the legal costs are divided equally between the franchisor, the franchisee and the other members of the network joining the legal action.

Some of these actions may interrupt or prevent legitimate communications and usage. Such situations may arise: (a) if a device deployed on the Service is materially out of compliance with the technical requirements; (b) in case of actual or suspected fraudulent use; or (c) in case of disruptive or damaging operation.
