The Company has not, as of the date hereof, entered intoand the Company shall not, nor shall it, on or after the date hereofof this Agreement, enter into, into any agreement with respect to any of its securities that is inconsistent with the rights granted to the Holders herein holders of Restricted Registrable Securities in this Agreement or otherwise conflicts with the provisions hereof.

No Inconsistent Agreements. The Company has notnot entered, as of the date hereof, entered intoand shall not enter, nor shall it, on or after the date hereofof this Agreement, enter into, into any agreement with respect to any of its securities that is inconsistent with the rights granted to the Holders herein of Registrable Notes in this Agreement or otherwise conflicts with the provisions hereof. .

No Inconsistent Agreements. The Company has notnot entered, as of the date hereof, entered intoand the Company shall not enter, nor shall it, on or after the date hereofof this Agreement, enter into, into any agreement with respect to any of its securities that is inconsistent with the rights granted to the Eligible Holders herein of Registrable Shares in this Agreement or otherwise conflicts with the provisions hereof.

No Inconsistent Agreements. The Company has not, as of the date -------------------------- hereof, entered intoand shall not, nor shall it, on or after the date hereofof this Agreement, enter into, into any agreement with respect to its any of the Company's securities that is inconsistent with the rights granted to the Holders herein of Registrable Notes in this Agreement or otherwise conflicts with the provisions hereof. The rights granted to the Holders hereunder do not in any way conflict with and are not inconsistent with the rights granted to the holders of the Company's securities under any agreement in effect on the date hereof.

The Company has not, as of the date hereof, entered into, nor and shall itnot, on or after the date hereofof this Agreement, enter into, into any agreement with respect to its securities that which is inconsistent with the rights granted to the Holders herein holders of Registrable 38 Shares in this Agreement or otherwise conflicts with the provisions hereof.

No Inconsistent Agreements. The Company has not, as of the date hereof, entered into, nor shall it, on or after the date hereof, enter into, any agreement with respect to its securities that is inconsistent with the rights granted to the Holders herein or otherwise conflicts in any material respect with the provisions hereof.

The Company will take no action with respect to the Securities that would materially and adversely affect the ability of the Holders to consummate any Exchange Offer.
