Pass-Through Warranty Sample Clauses

Pass-Through Warranty. To the extent assignable by CyncHealth to Participant, CyncHealth assigns and passes through to Participant, and Participant shall have the benefit of, any and all third-party warranties and indemnities pertaining to the System. If such warranties and indemnities made to CyncHealth are not assignable to Participant, and if the vendor provides no applicable warranties or indemnities directly to Participant, then during the Term of this Agreement, CyncHealth shall use reasonable efforts to enforce, for the benefit of Participant, such applicable warranties and indemnities as are made by the vendor to CyncHealth. Participant understands and agrees that its sole remedy for the breach of any such warranty or indemnity shall be against the third-party vendor and not against CyncHealth, nor shall any such breach have any effect whatsoever on the rights and obligations of either Party with respect to this Agreement.

Pass-Through Warranty. HBOC may assign to HBOC Customers to whom it has granted Sublicenses, its rights in, to and under the warranties and infringement indemnification set forth in this Article 11, and upon such assignment, such HBOC Customers shall have the benefit of the warranties and be subject to the limitations thereon. 11.1.4

Pass-Through Warranty. Except as provided in Article 12.3 below, no warranty, express or implied, shall extend to the Product, except for any pass-through warranty provisions for components procured by QUALCOMM from a third party that are assignable to Customer. The warranty extended to the Product is as provided below.

Pass-Through Warranty. Should the Contractor elect to not administer warranty claims on certain components and wish to transfer this responsibility to the sub-Suppliers, or to others, the Contractor shall request this waiver. Contractor shall state in writing that the CITY’s warranty reimbursements shall not be impacted. The Contractor also shall state in writing any exceptions and reimbursement including all costs incurred in transport of vehicles and/or components. At any time during the warranty period, the Contractor may request approval from the CITY to assign its warranty obligations to others, but only on a case-by-case basis approved in writing by the CITY. Otherwise, the Contractor shall be solely responsible for the administration of the warranty as specified. Warranty administration by others does not eliminate the warranty liability and responsibility of the Contractor.

Pass-Through Warranty. Seller hereby transfers, conveys and assigns its rights under any warranties made to Seller on the components of the Product, but solely to the extent such warranties may be transferred, conveyed or assigned in accordance with their terms. The Parties will use good faith and commercially reasonable efforts to enforce their respective rights under any such pass-through warranties; provided, that, Buyer shall reimburse Seller for any out- of-pocket expenses incurred by Seller in connection with Buyer’s request for Seller’s cooperation or efforts in enforcing rights under any such pass-through warranties.

Pass-Through Warranty. If applicable, Contractor shall pass through to GCHP any product and third-party warranties and indemnities associated with the Software or Services. If Contractor is not permitted to pass-through such warranties, Contractor shall assert and enforce such warranties and indemnities on behalf of GCHP.

Pass-Through Warranty. If Nuix provides any Hardware covered by a third party warranty, Nuix shall: (a) provide Licensee with a copy of each such warranty; and (b) if such warranty does not, by its terms, pass through to the Licensee, then to the extent permitted by the third party, assign to Licensee or otherwise cause the third party to grant to Licensee all warranties provided by such third party. These are Licensee’s exclusive warranty remedies with respect to such Hardware. No additional terms or warranties are offered.

Pass-Through Warranty. 12.1 NorSun’s warranty claims against SunPower shall be limited in scope to the corresponding warranty claims brought by SunPower against the third party providers of the Polysilicon, provided that SunPower complies with the provisions of this Section 12 below. 12.2 SunPower shall, upon ▇▇▇▇▇▇’s reasonable and documented request, pursue any warranty claims against the third party Polysilicon providers. SunPower shall pursue such claims in accordance with ▇▇▇▇▇▇’s instructions and at ▇▇▇▇▇▇’s cost. SunPower may, at its option, obtain the consent from the applicable third party Polysilicon provider that the claim may be transferred to NorSun and pursued directly by ▇▇▇▇▇▇ against such third party; provided, however, that SunPower shall as part of any such transfer disclose to NorSun the terms of the transferred warranty. 12.3 SunPower shall identify to NorSun the third party manufacturer and, if there are several third party manufacturers, identify the origin of the Polysilicon at each delivery.

Pass-Through Warranty. To the extent the Contractor's suppliers normally provide a commercial or trade practices warranty, the Contractor shall pass the identical warranty to the Government. The Contractor shall be responsible for administering all pass-through warranties to the terms of the supplier warranty. Pass-through warranties will start at the time specified by the Contractor's suppliers. The Contractor shall provide copies of all Suppliers warranty information to the Government no later than 180 days after contract award.
