Payment and Recovery of Sums Due a. Payment for Contractor Deliverables will be made by electronic transfer and prior to submitting any claims for payment under clause 36.b the Contractor will be required to register their details (Supplier on-boarding) on the Contracting, Purchasing and Finance (CP&F) electronic procurement tool.
b. Where the Contractor submits an invoice to the Authority in accordance with clause 36.a, the Authority will consider and verify that invoice in a timely fashion.
c. The Authority shall pay the Contractor any sums due under such an invoice no later than a period of 30 days from the date on which the Authority has determined that the invoice is valid and undisputed.
d. Where the Authority fails to comply with clause 36.a and there is undue delay in considering and verifying the invoice, the invoice shall be regarded as valid and undisputed for the purpose of clause 36.c after a reasonable time has passed.
e. The approval for payment of a valid and undisputed invoice by the Authority shall not be construed as acceptance by the Authority of the performance of the Contractor’s obligations nor as a waiver of its rights and remedies under the Contract.
f. Without prejudice to any other right or remedy, the Authority reserves the right to set off any amount owing at any time from the Contractor to the Authority against any amount payable by the Authority to the Contractor under the Contract or under any other contract with the Authority, or with any other Government Department.
Payment and Recovery of Sums Due. The Charges for the Services shall be as set out in the Award Letter and shall be the full and exclusive remuneration of the Supplier in respect of the supply of the Services. Unless otherwise agreed in writing by the Customer, the Charges shall include every cost and expense of the Supplier directly or indirectly incurred in connection with the performance of the Services. All amounts stated are exclusive of VAT which shall be charged at the prevailing rate. The Customer shall, following the receipt of a valid VAT invoice, pay to the Supplier a sum equal to the VAT chargeable in respect of the Services. The Supplier shall invoice the Customer as specified in the Agreement. Each invoice shall include such supporting information required by the Customer to verify the accuracy of the invoice, including the relevant Purchase Order Number and a breakdown of the Services supplied in the invoice period. In consideration of the supply of the Services by the Supplier, the Customer shall pay the Supplier the invoiced amounts no later than 30 days after verifying that the invoice is valid and undisputed and includes a valid Purchase Order Number. The Customer may, without prejudice to any other rights and remedies under the Agreement, withhold or reduce payments in the event of unsatisfactory performance. If the Customer fails to consider and verify an invoice in a timely fashion the invoice shall be regarded as valid and undisputed for the purpose of paragraph 5.4 after a reasonable time has passed. If there is a dispute between the Parties as to the amount invoiced, the Customer shall pay the undisputed amount. The Supplier shall not suspend the supply of the Services unless the Supplier is entitled to terminate the Agreement for a failure to pay undisputed sums in accordance with clause 16.4. Any disputed amounts shall be resolved through the dispute resolution procedure detailed in clause 19.
Payment and Recovery of Sums Due. 2.1 The Supplier shall invoice the Authority as specified in the corresponding order form. Without prejudice to the generality of the invoicing procedure specified in the Agreement, the Supplier shall procure a Purchase Order Number from the Authority prior to the commencement of any Services and the Supplier acknowledges and agrees that should it commence Services without a Purchase Order Number:
2.1.1 the Supplier does so at its own risk; and
2.1.2 the Authority shall not be obliged to pay any invoice without a valid Purchase Order Number having been provided to the Supplier.
2.2 Each invoice and any Supporting Documentation required to be submitted in accordance with the invoicing procedure specified in the Agreement shall be submitted by the Supplier, as di- rected by the Authority from time to time via the Authority’s electronic transaction system.
2.3 If any sum of money is recoverable from or payable by the Supplier under the Agreement (in- cluding any sum which the Supplier is liable to pay to the Authority in respect of any breach of the Agreement), that sum may be deducted unilaterally by the Authority from any sum then due, or which may come due, to the Supplier under the Agreement or under any other agree- ment or contract with the Authority. The Supplier shall not be entitled to assert any credit, set- off or counterclaim against the Authority in order to justify withholding payment of any such amount in whole or in part.

With- out prejudice to the generality of the invoicing procedure specified in the Agreement, the Supplier shall procure a Purchase Order Number from the Authority prior to the commencement of any Services and the Supplier acknowledges and agrees that should it commence Services without a Purchase Order Number:

g. Invoices are to be submitted to ▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇@▇▇▇▇.▇▇▇.▇▇ in PDF format with the Contract number and Purchase Order number.
Payment and Recovery of Sums Due. 2.1 The Supplier shall invoice the Authority as specified in the clause name ‘Who and where to send invoices to’ of the Agreement. Without prejudice to the generality of the invoicing procedure specified in the Agreement, the Supplier shall procure a Purchase Order Number from the Au- thority prior to the commencement of any Services and the Supplier acknowledges and agrees that should it commence Services without a Purchase Order Number:
2.1.1 the Supplier does so at its own risk; and
2.1.2 the Authority shall not be obliged to pay any invoice without a valid Purchase Order Number having been provided to the Supplier.
2.2 Each invoice and any Supporting Documentation required to be submitted in accordance with the invoicing procedure specified in the Agreement shall be submitted by the Supplier, as di- rected by the Authority from time to time, either:
2.2.1 via the Authority’s electronic transaction system; or
2.2.2 to the specific HMRC Project Manager for this project (or such other person notified to the Supplier in writing by the Authority) by email in pdf format or, if agreed with the Au- thority, in hard copy by post.
2.3 If any sum of money is recoverable from or payable by the Supplier under the Agreement (in- cluding any sum which the Supplier is liable to pay to the Authority in respect of any breach of the Agreement), that sum may be deducted unilaterally by the Authority from any sum then due, or which may come due, to the Supplier under the Agreement or under any other agree- ment or contract with the Authority. The Supplier shall not be entitled to assert any credit, set- off or counterclaim against the Authority in order to justify withholding payment of any such amount in whole or in part.
Payment and Recovery of Sums Due a. The Contractor shall raise a commercial invoice per purchase order, except in the event that part delivery has been expressly permitted by the Authority when a commercial invoice shall be raised per delivery.
b. Each commercial invoice shall be in the name of ▇▇▇▇▇▇▇ Land Defence Limited - DSG (acting as agent for the Authority) and must include:
i. Contractor’s name and contact details and registered number and registered address
ii. VAT registration number
iii. Date & Tax point date
iv. Invoice Number
v. Purchase order number
vi. Description of the Goods and/or Services; and
vii. Net and Gross VAT values
viii. all supporting documentation required under these Conditions and as reasonably requested by the Authority, and submit via Email to ▇▇▇.▇▇.▇▇▇▇@▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇ The Authority is entitled to reject invoices which do not conform to these requirements.
c. The Authority (acting through its agent, ▇▇▇▇▇▇▇ Land Defence Limited) shall pay all valid and undisputed claims for payment submitted by the Contractor in accordance with clause 36.b on or before the day which is thirty (30) days after the later of:
i. the day upon which a valid request for payment is received by the Authority; and
ii. the date of completion of the part of the Contract to which the request for approval of payment relates.
d. The approval for payment of a valid and undisputed invoice by the Authority shall not be construed as acceptance by the Authority of the performance of the Contractor’s obligations nor as a waiver of its rights and remedies under this Contract.
e. Without prejudice to any other right or remedy, the Authority reserves the right to set off any amount owing at any time from the Contractor to the Authority against any amount payable by the Authority to the Contractor under the Contract or under any other contract with the Authority, or with any other Government Department.
