Previous Announcements. 22.1 In relation to all Previous Announcements (save to the extent corrected in any announcement subsequently made through a Regulatory Information Service made by or on behalf of the Company), since the Accounts Date, each statement contained therein is true and accurate in all material respects and not misleading (by itself or in its context). 22.2 Each expression of opinion or intention or expectation in each Previous Announcement was made on reasonable grounds after due and careful enquiry and was truly and honestly given, expressed or held by the Directors and was fairly based. There was no other fact known or which could on reasonable enquiry have been known to the Directors which was omitted to be disclosed in any Previous Announcement which, by such omission, would make any such expression of opinion or intention or expectation in any Previous Announcement misleading (by itself or in its context). 22.3 Each Previous Announcement complied in all respects with the Listing Rules (as in force at the relevant time), UK MAR, the Financial Services Act 2012, the DTR and FSMA. 22.4 Since the Accounts Date, the Company has notified the Regulatory Information Service of all information required to be notified by it in accordance with the Listing Rules and UK MAR (as in force at the relevant time) and has complied in all respects with all disclosure and notification requirements under the Listing Rules, the DTR and UK MAR.

Previous Announcements. 3.1 Each statement of fact in each Previous Announcement was true and accurate in all material respects and not misleading (by itself or in its context) in any significant or material respect. Each expression of opinion or intention or expectation in each Previous Announcement was made on reasonable grounds after due and careful enquiry and was truly and honestly held by the directors of the Buyer at the time the Previous Announcement was made and was fairly based. There was no other fact known or which could on reasonable enquiry have been known to the directors of the Buyer at the time the Previous Announcement was made omitted to be disclosed in any Previous Announcement which, by such omission, would make any such statement or expression in any Previous Announcement misleading (by itself or in its context) in any material respect. 3.2 Each Previous Announcement complied in all respects with the AIM Rules in force at the time of its publication and the Financial Services and Markets Act 2000.

Previous Announcements. All statements of fact contained in all announcements and circulars to shareholders made by or on behalf of the Company pursuant to the Listing Rules since 31 December 2003 to the date of this Agreement, except any announcement relating to the financial results of the Group (including without limitation any interim or financial results announcement), ("Previous Announcements") were true and accurate in all material respects as at the respective dates of such Previous Announcements and not misleading in any material respect. All expressions of opinion or intention contained in the Previous Announcements were made on reasonable grounds and were truly and honestly held by the directors of the Company and there were no other facts known to the directors of the Company the omission of which would make any such statement or expression in any of the Previous Announcements misleading in any material respect in the context in which the Previous Announcements were made and as at the respective dates of such Previous Announcements.

Previous Announcements. 4.1 All statements of fact contained in the Previous Announcements concerning the Group were, when supplied or published, true and accurate in all material respects and not misleading in any material respect and did not, at the time of their filing or publication or as at the date such factual statements were drawn up (as applicable), omit to state a material fact required under Applicable Laws and regulations to be stated therein or necessary in order to make the statements therein, in light of circumstances under which they were made, true and accurate in all material respects and not misleading in any material respect. 4.2 The financial statements of the Group included in the Previous Announcements (a) give a true and fair view of (in the case of audited financial statements) or present fairly (in the case of unaudited financial statements are unaudited) the financial position of the Group as of the dates shown and the results of operations for the periods shown; (b) have been prepared on a consistent basis and in conformity with generally accepted accounting principles, standards and practice in Hong Kong applied on a consistent basis; and (c) comply with the Companies Ordinance and all other Applicable Laws.

Previous Announcements. 20.1 In relation to all Previous Announcements, save to the extent corrected in any announcement subsequently made through a Regulatory Information Service made by or on behalf of the Company, since 28 September 2011, each statement contained therein is true and accurate in all material respects and not misleading (by itself or in its context). 20.2 Each expression of opinion or intention or expectation in each Previous Announcement was made on reasonable grounds after due and careful enquiry and was truly and honestly held by the Directors and was fairly based There was no other fact known or which could on reasonable enquiry have been known to the Directors omitted to be disclosed in any Previous Announcement which, by such omission, would make any such statement or expression in any Previous Announcement misleading (by itself or in its context). 20.3 Each Previous Announcement complied in all respects with the AIM Rules, MAR, the Financial Services ▇▇▇ ▇▇▇▇ and FSMA (each as in force at the relevant time). 20.4 Since 28 September 2011, the Company has notified the Regulatory Information Service of all information required to be notified by it in accordance with the AIM Rules and MAR (as in force at the relevant time) and has complied in all respects with all disclosure and notification requirements under the AIM Rules and MAR. 20.5 Neither the Company, nor any of its Affiliates, nor any person acting on its or their behalf (which, for the avoidance of doubt, does not include Arden or its Affiliates), has taken, directly or indirectly, any action designed to cause or to result in, or that has constituted or which might reasonably be expected to cause or result in, the stabilisation or manipulation of the price (in violation of applicable laws) of any security of the Company to facilitate the sale or re-sale of Ordinary Shares.

Previous Announcements. With respect to all Previous Announcements, all statements of fact contained therein were at the date of the relevant Previous Announcement and, save to the extent corrected in any document or announcement issued or made by or on behalf of the Company subsequent thereto, remain true and accurate in all material respects and not misleading in any material respect and all material estimates, expressions of opinion or intention or belief or expectation contained therein were at the date of the relevant Previous Announcement made on reasonable grounds and were truly and honestly held and were fairly based and there were no facts known (or which could on reasonable enquiry have been known) the omission of which would make any statement of a material fact or estimate or statement or expression of opinion, intention, belief or expectation in any of the Previous Announcements misleading and all Previous Announcements complied in all material respects with the memorandum and articles of association of the Company, the Companies Act, the FSMA, the Listing Rules, the Disclosure Rules and Transparency Rules, the Prospectus Rules, all applicable rules and requirements of the London Stock Exchange and the FSA and all other requirements of applicable statute, statutory regulation or any regulatory body. There is no existing profit forecast outstanding in respect of the Company, the Group taken as a whole, or any member thereof.
