Principles of Project Management. The Parties agree that in the process of exercising their responsibilities, the Project Management (consisting of the Project Manager and Project Leaders, as set forth herein) should have routine access to such information needed to assess progress under and costs of the eSAS 2 Development Program. Specifically, the Parties agree that the Project Leaders shall be invited to participate in all team meetings, and will have access to team meeting minutes, timecards and other expense records, except to the extent the Project Leader for the Party assigned principal responsibility under Section 2.5.3 of this eSAS 2 Addendum for an activity determines in its reasonable discretion that any such meetings or minutes contain confidential, proprietary information of the responsible Party. In such cases, the Project Manager shall (i) determine whether the Project Leader for the Party not having primary responsibility for the activity can attend all or a portion of such meeting, (ii) provide a copy of the meeting minutes to the Project Leader not having primary responsibility for the activity with such confidential, proprietary information redacted, and (iii) to the extent that such minutes had proprietary or confidential information redacted, inform the Project Leader not having primary responsibility of the general nature of any decisions made at such meeting which affect the PRD, SRS, Timeline or Budget; provided, however that the Project Manager may only redact information comprising Chiron intellectual property and know how or confidential business issues. Project Leaders will have access to non-confidential and non-proprietary information of the other Party necessary to perform their responsibilities under the eSAS 2 Development Program, including those listed under 2.4.4. Project Leaders will inform and coordinate all activities, including meetings with personnel involved in the performance of the eSAS 2 Development Program, with the Project Manager. The primary point of contact for the eSAS 2 Development Program at Chiron will be Chiron’s Project Manager, the primary point of contact at Gen-Probe will be Gen-Probe’s Project Leader. In order to maintain an efficient and orderly development the Parties will communicate through the primary points of contact as much as possible when requesting information concerning the progress of the eSAS 2 Development Program. Principles of Project Management. The parties agree that in the process of exercising their responsibilities, the Project Team (led by the Gen-Probe Project Manager as set forth herein) should have routine access to such information needed to assess progress under and costs of the Ultrio 2 Development Program and that team members from each party shall be invited to participate in team meetings, and have access to team meeting minutes, except to the extent the Gen-Probe Project Manager determines in their reasonable discretion that any such meetings or minutes contain confidential, proprietary information of Gen-Probe. In such cases, the Gen-Probe Project Manager shall (i) determine whether the Novartis team members can attend all or a portion of such meeting, (ii) provide a copy of the meeting minutes to Novartis team members for the activity with such confidential, proprietary information redacted, and (iii) to the extent that such minutes had proprietary or confidential information redacted, inform the appropriate Novartis team members of the general nature of any decisions made at such meeting which affect the Timeline, Budget or Interim Events; provided, however that the Gen-Probe Project Manager may only redact information comprising Gen-Probe intellectual property and know how or confidential business issues. Team members will have access to non-confidential and non-proprietary information of the other party necessary to perform their responsibilities under the Ultrio 2 Development Program, including those listed under Section 2.4.4. Principles of Project Management. The parties establish the following structures to implement the Project: Steering Committee, Contracting Authority’s Project Manager, Contractor’s Project Manager, Project Team. In the delivery of the Scope of Contract, the Contracting Authority’s Project Manager shall lead the following with support from the Contractor’s Project Manager: Manager for Contracting Authority is [***], phone: [***], e-mail: [***], Manager for Contractor is [***], phone: [***], e-mail: [***]. The Parties jointly agree that the Project Managers shall oversee the delivery of the Scope of Contract and shall be authorized to initiate Project Team meetings, determine the basic directions of Project implementation, the scope and methods of implementation of individual parts of the Project as well as the entire Project. The Steering Committee and the Project Team shall be composed of the persons indicated in Appendix 2, with the understanding that the Project Team shall be composed of designated representatives of the Parties with substantive responsibility for cooperation in the areas of Project issues identified by the Parties. The Steering Committee shall periodically evaluate and approve the progress of the Scope of Contract in accordance with the objectives indicated in Appendix 1, and evaluate and approve the implementation of the entire Project. By proxy of the Contracting Authority’s Project Manager, the Steering Committee shall be entitled to make comments by e-mail or in writing as to the proper implementation of the Project within [***] as of the Contractor’s handover of the Project. If such comments are made, the Contractor shall be obligated to take them into account within [***] days / by the relevant date agreed upon by the Parties. At all times during the course of the Scope of Contract work, the Contractor shall be obligated to ensure the completeness of his personnel composition, understood as the involvement in the work of all persons necessary to carry out the full scope of Contracted work. The Contractor may make changes to the composition of the persons included in the structures referred to in paragraph 1 only upon the Contracting Authority’s approval.

  • Cost Principles The Subrecipient shall administer its program in conformance with 2 CFR Part 200, et al; (and if Subrecipient is a governmental or quasi-governmental agency, the applicable sections of 24 CFR 85, “Uniform Administrative Requirements for Grants and Cooperative Agreements to State and Local Governments,”) as applicable.   • Principles of Construction All references to sections and schedules are to sections and schedules in or to this Agreement unless otherwise specified. All uses of the word “including” shall mean “including, without limitation” unless the context shall indicate otherwise. Unless otherwise specified, the words “hereof,” “herein” and “hereunder” and words of similar import when used in this Agreement shall refer to this Agreement as a whole and not to any particular provision of this Agreement. Unless otherwise specified, all meanings attributed to defined terms herein shall be equally applicable to both the singular and plural forms of the terms so defined.

  • General Principles Each Party shall implement its tasks in accordance with the Consortium Plan and shall bear sole responsibility for ensuring that its acts within the Project do not knowingly infringe third party property rights.

  • PRINCIPLES OF GOOD EMPLOYMENT PRACTICE The Supplier shall, and shall procure that each Sub-Contractor shall, comply with any requirement notified to it by the Customer relating to pensions in respect of any Transferring Former Supplier Employee as set down in: the Cabinet Office Statement of Practice on Staff Transfers in the Public Sector of January 2000, revised 2007; HM Treasury's guidance “Staff Transfers from Central Government: A Fair Deal for Staff Pensions of 1999; HM Treasury's guidance: “Fair deal for staff pensions: procurement of Bulk Transfer Agreements and Related Issues” of June 2004; and/or the New Fair Deal. Any changes embodied in any statement of practice, paper or other guidance that replaces any of the documentation referred to in Paragraph 5.1 shall be agreed in accordance with the Variation Procedure.
