Program, POS and Transaction Processing Requirements. Professional agrees to: a. Participate in the Program in accordance with this Agreement and the Operating Guide (and other written instructions provided to Professional by Bank) and comply and cause any third-party service providers or agents that it appoints to comply with all Applicable Law. b. Facilitate or process credit applications for the Program and process credit transactions from clients/patients only for personal, family or household purposes and without discrimination of any kind. c. Not encourage clients/patients who are under duress (clients/patients who are under general sedation, in extreme discomfort, or heavily medicated are deemed to be under duress) to apply for the Program or facilitate applications or promotional financing transactions for such clients/patients. If Professional is a Licensee in the State of California as defined in Section 654.3 of the California Business and Professions Code, then Professional will not submit applications on behalf of its patients or clients. d. Actively promote the Program on its website and any physical store locations, and ensure that all in-store advertising, application processing (if applicable), and transaction processing complies with Bank guidance on in-store advertising and processing. e. Process only bona fide charges and credits and transmit them to Bank in the required format. f. Only submit transactions authorized by the Accountholder (which may be via a click-through process) for each charge included in the Charge Transaction Data. g. Properly code all charges subject to a promotional credit offering and make any corrections necessary in the event of mistakes and disputes regarding such promotions. h. Only use disclosures (or the applicable Credit Agreement for closed-end/installment loans), including Promotional Disclosures, in connection with the Program that were provided to Professional, or approved in writing, by Bank (and only the latest version of the disclosures and Credit Agreements), and refrain from modifying any approved disclosures, Credit Agreements, or other forms without Bank’s prior written consent. i. Obtain an authorization code from Bank on all transactions prior to submission, and call Bank’s voice authorization facility prior to completion of a transaction in any case involving suspicious or unusual circumstances, including those in which the signature on a sales slip does not match the signature on a Program Card. j.   • Transaction Processing All orders are subject to acceptance by us and by the Fund or its transfer agent, and become effective only upon confirmation by us. If required by law, each transaction shall be confirmed in writing on a fully disclosed basis and if confirmed by us, a copy of each confirmation shall be sent to you if you so request. All sales are made subject to receipt of shares by us from the Funds. We reserve the right in our discretion, without notice, to suspend the sale of shares of the Funds or withdraw the offering of shares of the Funds entirely. Orders will be effected at the price(s) next computed on the day they are received if, as set forth in the applicable Fund’s current Prospectus, the orders are received by us or an agent appointed by us or the Fund prior to the close of trading on the New York Stock Exchange, generally 4:00 p.m. eastern time (“Close of Trading”). Orders received after that time will be effected at the price(s) computed on the next business day. All orders must be accompanied by payment in U.S. Dollars. Orders payable by check must be drawn payable in U.S. Dollars on a U.S. bank, for the full amount of the investment. If you have entered into a FundSERV Agreement with us to effect transactions in Fund shares through FundSERV, you are hereby authorized to act on our behalf for the limited purpose of receiving purchase, exchange and redemption orders for Fund shares executed through FundSERV. You represent and warrant that all orders for the purchase, exchange or redemption of Fund shares transmitted to FundSERV for processing on or as of a given business day (Day 1) shall have been received by you prior to the Close of Trading on Day 1. Such orders shall receive the share price next calculated following the Close of Trading on Day 1 .You represent and warrant that orders received by you after the Close of Trading on Day 1 shall be treated by you and transmitted to FundSERV as if received on the next business day (Day 2). Such orders shall receive the share price next calculated following the Close of Trading on Day 2. You represent that you have systems in place reasonably designed to prevent orders received after the Close of Trading on Day 1 from being executed with orders received before the Close of Trading on Day 1.

  • Forecasting Requirements 19.5.1 The Parties shall exchange technical descriptions and forecasts of their Interconnection and traffic requirements in sufficient detail necessary to establish the Interconnections necessary for traffic completion to and from all Customers in their respective designated service areas.

  • INVOICING REQUIREMENTS A. Upon acceptance of work by the Service Coordinator, the Contractor shall submit the invoice (and supporting documents where applicable) to the appropriate County department per the issued Delivery Order within thirty (30) calendar days of the acceptance. At minimum, all invoice shall contain the following information: • Correct Delivery Order number • Description of work performed to include the manufacturer name, original make and model number(s) of parts and equipment installed. • Start and ending date of the work • Location of the work • Total labor categorized per the Bid Response Form and rounded to the nearest (30) minutes • Itemized list of materials used according to the original manufacturer’s part name and part number. ▪ Unit price and quantity shall be provided on the invoice for each part • Applicable sales tax for materials purchased should be listed separately • Markdown/mark-ups for material shall be listed as a line item on the invoice. • Approved shipping charges shall be listed separately • Permit and special equipment rental cost for reimbursement (if applicable) • Invoice total B. Proof of purchase for all reimbursable expense must be submitted with the invoice showing the actual cost for all reimbursable expenses by the County, including but not limited to, parts, shipping, sales tax, permits, specialty equipment rentals, etc. The Contractor shall provide a separate service ticket for each work day as verification of actual labor spent on the project daily. C. The Contractor shall not combine charges for multiple Delivery Orders on the same invoice. Each Delivery Order must be invoiced separately. D. The County will review invoices for the required information. The County will have the authority to reject invoices based on improper invoice format and lack of supporting documents. E. The Contractor shall not invoice the County for any work not accepted by the County. Should the County received such invoices, they will be rejected. F. Unless otherwise authorized by the corresponding department in writing, delivery of invoices and back-up documentation via e-mail and/or fax is not allowed under this contract. All invoices shall be mailed or hand delivered to the appropriate Department as referenced as the “Invoice To:” location and on the Delivery Order. G. The Contractor shall submit monthly statements of unpaid invoices to each department ordering services under this contract. The Contractor shall not combine statements for different Departments utilizing this contract. • Statement date • Invoice numbers • Invoice dates • Invoice total or unpaid balance if different from invoice total • Delivery order number corresponding to each invoice listed • Balance carry forward • Cumulative outstanding balance Statements shall be sent to the corresponding Department’s, fiscal department, and the Contract Administrator by the 15th day of each month for service performed in the prior month and upon request by the County.

  • Licensing Requirements (a) Employer and Employee hereby covenant and agree that this Agreement and/or Employee’s employment may be subject to the approval of one or more gaming regulatory authorities (the “Authorities”) pursuant to the provisions of the relevant gaming regulatory statutes (the “Gaming Acts”) and the regulations promulgated thereunder (the “Gaming Regulations”). Employer and Employee hereby covenant and agree to use their best efforts to obtain any and all approvals required by the Gaming Acts and/or Gaming Regulations. In the event that (i) an approval of this Agreement or Employee’s employment by the Authorities is required for Employee to carry out Employee’s duties and responsibilities set forth in Section 3 of this Agreement, (ii) Employer and Employee have used their best efforts to obtain such approval, and (iii) this Agreement or Employee’s employment is not so approved by the Authorities, then this Agreement shall immediately terminate and shall be null and void, thus extinguishing any and all obligations of either party, subject to any surviving obligations of Employee under Sections 9, 10 and 21. (b) If applicable, Employer and Employee hereby covenant and agree that, in order for Employee to discharge the duties required under this Agreement, Employee must apply for or hold a license, registration, permit or other approval (the “License”) as issued by the Authorities pursuant to the terms of the relevant Gaming Act and as otherwise required by this Agreement. In the event Employee fails to apply for and secure, or the Authorities refuse to issue or renew Employee’s License, Employee, at Employer’s sole cost and expense, shall promptly defend such action and shall take such reasonable steps as may be required to either remove the objections or secure or reinstate the Authorities’ approval, respectively. The foregoing notwithstanding, if the source of the objections or the Authorities’ refusal to renew or maintain Employee’s License arise as a result of any of the acts, omissions or events described in Section 1(c) of this Agreement, then Employer’s obligations under this Section 8 also shall not be operative and Employee shall promptly reimburse Employer upon demand for any expenses incurred by Employer pursuant to this Section 8. (c) Employer and Employee hereby covenant and agree that the provisions of this Section 8 shall apply in the event Employee’s duties require that Employee also be licensed by governmental agencies other than the Authorities.
