Quality Metrics. Vendor shall provide to Newbridge copies of its --- --------------- quality assurance manuals and procedures applicable to the Vendor Products. Vendor shall further grant Newbridge the right to witness Vendor's use of these procedures.

If UAB Hospital is required to track Vendor’s performance of its Obligations because they affect patients and/or patient care as set forth in the Medicare Conditions of Participation and Coverage and/or the requirements of applicable accreditation agencies, UAB Hospital shall establish quality metrics as set forth on Exhibit B for the purpose of tracking Vendor’s performance, such quality metrics to be determined by UAB Hospital in its sole discretion. Vendor shall cooperate with UAB Hospital’s reasonable requests for assistance in quantifying and tracking the quality metrics. UAB Hospital shall notify Vendor in writing if Vendor is not meeting established performance goals and Vendor shall take all reasonable measures to resolve issues in the performance of the Obligations and meeting the established goals. To the extent the Quality Metrics establish mandatory performance goals, UAB Hospital shall have the right to terminate this Agreement upon Vendor’s failure to meet the applicable quality metrics within thirty (30) days, or such other period of time stipulated by UAB Hospital, of delivery of written notice by UAB Hospital. If Vendor fails to cure its non-compliance with the applicable quality metrics within such time frame, this Agreement may be terminated by UAB Hospital at the end of such time period or at a later period as determined by UAB Hospital in its sole discretion.
Quality Metrics. 7.1.1 Contractor shall submit reports, with less than 10% requiring more than one revision.

Quality Metrics. 8.2.1 The PASSE must report on the quality metrics outlined in this Section of the Agreement.
8.2.2 The PASSE must meet the quality metrics to avoid recoupment or other sanctions under the Agreement, as outlined in Section 14.1.
8.2.3 The quality metrics are as follows:
a. Care Coordinator caseload: Metric Target Reporting to DHS (Frequency/Content) The care coordinator’s assigned caseload will be limited to a maximum of 50 enrolled members. ≥90% of care coordinators will have a caseload of ≤50 enrolled members Quarterly/ Details of monthly caseload for each care coordinator employed, including the names of each enrolled member on the care coordinator’s caseload

Quality Metrics. GRE, as a requirement of this Agreement, shall maintain the following key delivery and quality metrics:
a) Custom fabricated orders shall be completed within [***] business days of a complete order at a rate no worse than [***]% in each quarter;
b) GRE shall maintain compliance with the Company validation process no worse than a [***]% passing rate;
c) GRE shall maintain accurate device history files for each patient order in accordance to Company’s compliance program;
d) GRE custom patient orders shall not produce returns for fit issues at a rate no less than [***]% of the time within [***] days of shipment to Company customer; [***].
e) GRE shall resolve any CAPA events within [***] days;
f) Meet specifications set forth by Ottobock and other distributors in its Agreements with Company providing that Company shall cause GRE to deliver Products within the same U.S. delivery [***] day in-house schedule from receipt of an order meeting all supplier order qualifications including, but not limited to an acceptable patient mold and valid completed order form, which must meet Company’s technical standards; and
g) GRE agrees to the acceptance of payments schedule made by Ottobock set out on Exhibit A for the Services provided by Company or GRE on behalf of Company. GRE will continue to b▇▇▇ Company for Ottobock fabrication services, and Company shall meet all payment terms set forth in this Agreement until or unless such agreement has been terminated or has expired.
