Rebate Terms. Applicant understands the rebate amount is determined by the amount listed on the Rebate Table on the date the application is received. Failure to submit a complete application may result in delay or rejection of a filed application. Complete applications must include all required application information, signature(s), copies of proof(s) of purchase and other required documentation for all equipment as referenced in this application. The rebate amount cannot exceed the purchase price of the equipment, nor can it include taxes or shipping costs. Additional information or documentation may be required for some rebates. Applicant shall repay the full amount of the rebate, together with penalty equal to up to 1.5 times the amount of the rebate to be imposed in RCEA’s discretion, in the event RCEA determines at any time that (a) the equipment was never installed at the address identified in this application, (b) the rebate was procured through intentionally misrepresented facts, or (c) the rebate was fraudulently obtained. Service accounts at properties which RCEA staff and Board of Directors own or reside may not receive full rebate amounts.
Rebate Terms. In each case subject to the Rebate Conditions below, if within 12 weeks after the first day of their Engagement an Applicant terminates an Engagement of their own volition, or the Applicant's position is made redundant, or in circumstances of the Applicant’s death, then ATR will endeavour to find a replacement at no extra cost to the client, other than reasonable disbursements. a) Distributor shall meet each quarter’s minimums as specified above in order to get such quarter’s respective rebate and order shortfalls cannot be made up in a subsequent quarter;
b) Purchases of [***]28 and Readers purchased under promotions (see below) will not be included in the Minimum Quarterly Revenue at the Transfer Price calculated in the chart above; and
c) In order to receive 100% of the earned rebates, Distributor shall meet the Total Annual Minimums for both: (i) the sum of the Minimum Quarterly Revenue at the Transfer Price of [***]29; and (ii) the Minimum Quantity of [***]30 Test Kits of [***]31 Kits, which in the case of [***]32, is greater than the sum of the quarterly Minimum Quantities of [***]33 Test Kits.
Rebate Terms. The amount and timing of Rebates payable to Sponsor are set forth on Schedule B, Section 5. As a condition of receiving payments hereunder, Sponsor will implement the MRx Formulary and MRx formulary management programs, in each case without deviation (and without “grandfathering” non-Formulary or non-Covered Pharmaceuticals), and provide documentation reasonably requested and/or required by MRx regarding the implementation of such Formulary, programs, and any related clinical or other coverage rules or criteria.
