Responsibilities of Licensor Sample Clauses

The "Responsibilities of Licensor" clause defines the obligations and duties that the licensor must fulfill under the agreement. Typically, this includes providing the licensed materials or intellectual property in a specified condition, ensuring that the licensor has the legal right to grant the license, and sometimes offering support or updates. For example, the licensor may be required to deliver software free of known defects or to maintain certain quality standards. This clause is essential for clarifying the licensor's role and ensuring that the licensee receives what is promised, thereby reducing the risk of disputes and misunderstandings.
