Responsibilities of Licensor. 9.1 On-Site Assistance. At Our discretion, We may provide on-site assistance upon Your reasonable request and if We have the availability to do so. The cost is five hundred dollars ($500) per day per company representative, plus the cost of travel, food and lodging for Our representatives.

Responsibilities of Licensor. 4.1 Licensor shall use all reasonable efforts:  To make the Licensed Work (s) available by means of the World Wide Web to the Licensee throughout the Subscription Period;  To ensure that the Server has sufficient capacity and rate of connectivity to provide the Licensee with a quality of service consistent with current standards in the World Wide Web on-line information provision industry;  To restore access to the Licensed Work(s) as soon as possible in the event of an interruption or suspension of the service.

Responsibilities of Licensor. All technical responsibility of the Licensor pertinent to this License shall be carried out through Licensor's CSM Program. Licensor for the term of this Agreement shall: 1. Continue the development of software for computer-assisted survey data collection, documentation, and/or processing. Licensor will provide Licensee six months' notice should Licensor's development be discontinued. 2. Maintain all CSM systems on specific hardware and operating systems that are designated as CSM supported environments. These supported environments may be changed by Licensor as necessary. Licensor will provide Licensee with a minimum six (6) months notice should support be discontinued. 3. Facilitate the exchange of techniques and instruments for data collection and processing. 4. Provide routine technical consultation by telephone, telefax and electronic or postal mail to Licensees using Licensed Materials. 5. Provide technical and administrative support for training workshops that are held for Association members on an (approximately) annual basis. 6. Provide additional services on a recharge basis as CSM staff time and project scheduling permits. Such services include, but are not limited to, ports of CSM systems to hardware and operating systems that are not designated as CSM-supported environments, implementation of user-specific enhancements and on-site training at member organizations.

Responsibilities of Licensor. Licensor will have primary responsibility for performing the following tasks and providing the following services:

Responsibilities of Licensor. The principal responsibilities of Licensor, in addition to issuing the License hereunder shall be to oversee the development and commercialization of the Licensed Product, including, but not be limited to, the following: (a) the development of Good Manufacturing Practice for manufacturing the Licensed Product; (b) the completion of non-clinical (GLP) studies to support an IND filing; and (c) the preparation and filing of an Investigational New Drug application (the “IND”). Additional funding will be required to complete the necessary clinical trials for FDA approval, for filing of a Biologics License Application (the “BLA”) for the Licensed Products to the FDA and the marketing of the Licensed Products in the U.S

Responsibilities of Licensor. 3.1 Licensor shall use all reasonable efforts to: 3.1.1 make the Licensed Material available by means of the World Wide Web to the Member Institutions throughout the Agreement Period; 3.1.2 ensure that the Server has sufficient capacity and rate of connectivity to provide the Member Institutions with a quality of service consistent with current standards in the World Wide Web on-line information provision industry; 3.1.3 restore access to the Licensed Material as soon as possible in the event of an interruption or suspension of the service. In the event where the Licensed Material, notwithstanding force majeure type situations, shall not be available to a member institution for more than five (5) business days, the Licensor shall refund to the consortium or the members, a proportion of the fee prorated to the period of such unavailability. 3.2 Licensor reserves the right to suspend access to the Licensed Material for a single Member Institution in the event of any unauthorised use of the Licensed Material from this institution. Suspension of access can only be effectuated after a reasonable time notice to the Licensee. 3.3 Throughout the Agreement Period Licensor agrees to make available to Licensee a COUNTER compliant usage report, specifying individual Member Institutions’ usage. 3.3.1 Throughout the Agremment Period Licensor agrees to make available to Member Institutions a COUNTER compliant usage report, specifying the institution’s own usage. 3.4 Licensor commits to during the Contract Period to inform Licensee on any substantial changes relating to Licensor’s systems or the Licensed Material. 3.5 Licensor will yearly and no later than November 1 deliver a preliminary title list of content covered by the Agreement to Licensee containing the following fields: Journal title, ISSN, eISSN, Access from year, volume, issue, Access to year, volume, issue, embargo period, Open Access status, URL and list price value. A final title list must be delivered no later than January 15. 3.6 Licensor will at all times provide to Discovery, link resolver and A-Z list vendors a fully updated list with the following information about each title in the Licensed Material: Title, ISSN or eISSN, previous title(s) if appropriate, previous ISSN or eISSN if appropriate, first volume and issue made available as part of the Offer, or (if volume/issue is not available) URL. 3.7 Licensor will make available the metadata relating to Licensed Material for Licensee by FTP data feed or...

Responsibilities of Licensor. Licensor shall provide the Licensee with a customer number necessary to enable the Licensee to submit the Online Registration Materials. Licensor shall use all reasonable efforts: to make the Licensed Works available by means of the World Wide Web to the Licensee throughout the Subscription Period; to ensure that the Server has sufficient capacity and rate of connectivity to provide the Licensee with a quality of service comparable to current standards in the World Wide Web on-line information provision industry; to restore access to the Licensed Works as soon as possible in the event of an interruption or suspension of the service. Licensor agrees to make available to the Licensee a monthly usage report throughout the Subscription Period detailing the level of use of the Licensed Works by the Licensee's Authorised Users per month, but only to the extent such monthly usage reports are made available by the party hosting the Licensed Works on behalf of the Licensor. This report will not identify individual Authorised User usage, but will be provided in respect of the IP address range(s) given by the Licensee in the Online Registration Materials as a whole. The Licensor will not be able to provide accurate usage reports if the Licensee stores the Licensed Works on any cache or proxy server, or accesses the Licensed Works through an agent gateway
