Scope and Performance of Services. 2.1 Consultant agrees to perform the services set forth in Exhibit A (Scope of Services), which is made a part of this Agreement.
2.2 Consultant will furnish all of the labor, technical, administrative, professional and other personnel, all supplies and materials, equipment, printing, vehicles, transportation, office space and facilities, and all tests, testing and analyses, calculations, and all other means whatsoever, except as otherwise expressly specified in this Agreement, necessary to perform the services required of Consultant under this Agreement.
2.3 Consultant’s designated representative(s) who are authorized to act on its behalf and to make all decisions in connection with the performance of services under this Agreement are listed in Exhibit B (Key Personnel & Compensation), which is made a part of this Agreement.
2.4 Consultant must make every reasonable effort to maintain the stability and continuity of Consultant’s key personnel and subcontractors, if any, listed in Exhibit B to perform the services required under this Agreement. Consultant must notify City and obtain City’s written approval with respect of any changes in key personnel prior to the performance of any services by replacement personnel.
2.5 Consultant must obtain City’s prior written approval before utilizing any subconsultants to perform any services under this Agreement. This written approval must include the identity of the subcontractor and the terms of compensation.
2.6 Consultant represents that it has the qualifications, experience and facilities necessary to properly perform the services required under this Agreement in a thorough, competent and professional manner. Consultant will at all times faithfully, competently and to the best of its ability, experience and talent, perform all services described in this Agreement. In meeting its obligations under this Agreement, Consultant must employ, at a minimum, generally accepted standards and practices utilized by persons engaged in providing services similar to those required of Consultant under this Agreement.
2.7 City may inspect and accept or reject any of Consultant’s work under this Agreement, either during performance or when completed. Acceptance of any of Consultant’s work by City will not constitute a waiver of any of the provisions of this Agreement.
2.8 The Consultant must maintain any work site in the City in a safe condition, free of hazards to persons and property resulting from its operations.
Scope and Performance of Services. 2.1. The scope of the Services is as set out in the Scope of Work (as defined in the General Terms and Conditions) and as described in Quotation/ Specification.
2.2. The Service Fee for the Services is specified in Quotation/ Specification.

Each Order Form will reference a Statement of Work (“SOW”) or similar document that details (i) the Professional Services purchased by you, and (ii) any Deliverables. Each SOW will be subject to the terms and limitations set forth in this Agreement. In the event of any conflict between an SOW and this Agreement, this Agreement shall control.
b. NS1 is permitted to, at its sole cost and expense, subcontract the performance of some or all of the Professional Services to be provided pursuant to a SOW, provided that NS1 remains fully responsible for the performance of such subcontractor in accordance with the terms herein. In performing any Professional Services at your site, NS1’s and its subcontractors’ personnel (collectively, the “Consulting Personnel”) will adhere in all material respects to all of your reasonable personal conduct security policies provided to NS1 in advance. Unless otherwise agreed to by both parties, the Consulting Personnel will observe your working hours and holiday schedules while working on your premises.
c. In order to facilitate the performance of the Professional Services, you will make available in a timely manner, at no charge to NS1, all facilities, programs, files, equipment, documentation, test data, sample output, or other information and resources reasonably required by NS1 for the performance of the Professional Services (“Customer Resources”). NS1 and its subcontractors are hereby granted a nonexclusive, non-transferrable, non- sub-licensable, fully paid-up license to use the Customer Resources during the term of this Agreement for the sole purpose of performing the Professional Services and/or producing any Deliverables. NS1 will not be liable for any damages or claims arising from delays caused by your failure to fulfill the foregoing obligations.

Customer and ISU shall enter into an Individual Project Agreement (“IPA”) for each project for which Customer desires ISU to provide services. ISU shall perform the services described in the IPA (the “Services”). Unless stated otherwise in the IPA, ISU shall provide any personnel, facilities, equipment, materials and supplies required for the Services to be completed. In the event ISU’s costs exceed the projected price or in the event the Services cannot be performed within the time desired, ISU will notify Customer as soon as reasonably possible. Customer shall have the option of terminating the IPA or continuing the Services for an additional cost or, if feasible, an extension of time.
Scope and Performance of Services. 2.1 (a) District may, from time to time, by written instructions from the District’s General Manager or Assistant General Manager, or their designee, (“Authorized Representative”) issue task orders (“Task Orders”) to the Consultant. The Task Order shall be in such form and content as shall be set forth on Exhibit “A” attached hereto and by this reference incorporated herein. The Task Order shall set forth: (1) the scope of services to be performed by Consultant; (2) the compensation to be paid to Consultant; and (3) the time to complete the Task Order. The provisions of this Agreement shall apply to all such Task Orders.
Scope and Performance of Services. 3.1 The Supplier agrees to perform and the Customer agrees to receive the Services set out in the Order.
3.2 The Supplier shall perform the Services:
3.2.1 in accordance with the Agreement, including any description or specification set out in the Order;
3.2.2 in accordance with the Service Levels;
3.2.3 in accordance with all applicable laws and regulations;
3.2.4 using all due skill and care and in accordance with good industry standards and practices; and
3.2.5 using appropriately skilled and qualified personnel.
3.3 The Supplier shall exercise commercially reasonable and diligent efforts to meet any performance dates specified in the Order but such dates shall be estimates only and time shall not be of the essence for performance of the Services. In particular:
3.3.1 the Customer acknowledges that certain Services shall be subject to lead times and capacity, which may change from time to time, and the Supplier cannot guarantee the date(s) for performance of Services requested at short notice;
3.3.2 the Supplier shall use reasonable endeavours to ensure that all parts required for the completion of Services will be in stock when the Services are due to be performed but cannot be held responsible if parts are unavailable. If this occurs, the Supplier shall notify the Customer and the Parties (acting reasonably) may agree the use of alternative parts, or the postponement of the Services until the required parts become available; and
3.3.3 where the Supplier utilises specialist third-party providers to perform elements of the Services, it is not able to guarantee the timeliness of performance of those providers, though it shall use reasonable endeavours to procure that the providers perform in accordance with dates specified in the Order and shall keep the Customer informed in the event of any delay.
3.4 If the Supplier discovers during the course of the Services that additional parts and/or labour is required that is outside of the scope of the Services, it shall inform the Customer and provide a quote for the relevant costs, and only order such additional parts or carry out additional work with the Customer’s prior approval.
3.5 On completion of the Services in respect of particular Instrument(s), the Supplier shall either (i) make the Instrument(s) and associated Deliverables available to the Customer for collection; or (ii) arrange delivery of the Instrument(s) and associated Deliverables to the Customer’s designated returns location, as specified in t...

ISU shall use the Materials only as needed to provide the Services and shall not modify, alter, reverse engineer or run analytic tests to determine the composition of the Materials without Customer’s prior written permission. ISU shall not provide the Materials to a third party nor allow access to the Materials by a third party. ISU may provide the Materials to its employees and students who have a bona fide need to use the Materials in performing the Services provided that ISU requires such employees or students to abide by the terms of this Agreement.
