4.3 The Supplier acknowledges that there is no obligation for the Authority and for any Other Contracting Body to purchase any Services from the Supplier during the Term.
4.4 No undertaking or any form of statement, promise, representation or obligation shall be deemed to have been made by the Authority and/or any Other Contracting Body in respect of the total quantities or values of the Services to be ordered by them pursuant to this Framework Agreement and the Supplier acknowledges and agrees that it has not entered into this Framework Agreement on the basis of any such undertaking, statement, promise or representation.

Without prejudice to Clause 45 (Third Party Rights), this Framework Agreement governs the relationship between the Authority and the Supplier in respect of the provision of the Goods and/or Services by the Supplier. In the event that any Other Contracting Authority makes an approach to the Supplier with a request for the supply of Equivalent Goods and/or Services, the Supplier shall promptly and in any event within five (5) Working Days of the request by the Other Contracting Authority, and before any supply of Equivalent Goods and/or Services is made, inform such Other Contracting Authority of the existence of this Framework and the Other Contracting Authority’s ability to award Call Off Agreements for Goods and/or Services pursuant to this Framework Agreement. If the Authority or any Other Contracting Authority decides to source any of the Goods and/or Services through this Framework Agreement, then it shall be entitled at any time in its absolute and sole discretion during the Framework Period to award Call Off Agreements for the Goods and/or Services from the Supplier by following Framework Schedule 5 (Call Off Procedure). The Supplier shall comply with the relevant provisions in Framework Schedule 5 (Call Off Procedure).
SCOPE OF FRAMEWORK AGREEMENT. 4.1 This Framework Agreement governs the relationship between the Authority and the Provider in respect of the provision, through the application of the Ordering Procedures, of the Services by the Provider to the Authority and to Other Contracting Bodies.
4.2 The Authority and (subject to the following provisions of this Clause 4.2) Other Contracting Bodies may at their absolute discretion and from time to time order Services from the Provider in accordance with the Ordering Procedures during the Term. The Parties acknowledge and agree that the Other Contracting Bodies have the right to order Services pursuant to this Framework Agreement.
4.3 The Provider acknowledges that there is no obligation for the Authority and for any Other Contracting Body to purchase any Services from the Provider during the Term.
4.4 No undertaking or any form of statement, promise, representation or obligation shall be deemed to have been made by the Authority and/or any Other Contracting Body in respect of the total quantities or values of the Services to be ordered by them pursuant to this Framework Agreement and the Provider acknowledges and agrees that it has not entered into this Framework Agreement on the basis of any such undertaking, statement, promise or representation.

3.2 The Supplier acknowledges and agrees that:
3.2.1 there is no obligation whatsoever on the Authority or on any Other Contracting Body to invite or select the Supplier to provide any Goods and/or Services and/or to purchase any Goods and/or Services under this Framework Agreement and
3.2.2 in entering into this Framework Agreement no form of exclusivity has been conferred on the Supplier nor volume or value guarantee granted by the Authority and/or Other Contracting Bodies in relation to the provision of the Goods and/or Services by the Supplier and that the Authority and Other Contracting Bodies are at all times entitled to enter into other contracts and agreements with other suppliers for the provision of any or all goods and/or services which are the same as or similar to the Goods and/or Services.
3.3 In the event that any Other Contracting Body makes an approach to the Supplier with a request for the supply of Equivalent Goods and/or Services, the Supplier shall promptly and in any event within five (5) Working Days of the request by the Other Contracting Body, and before any supply of Equivalent Goods and/or Services is made, inform such Other Contracting Body of the existence of this Framework and the Other Contracting Body’s ability to award Call Off Agreements for Goods and/or Services pursuant to this Framework Agreement.

3.1 This Framework Agreement governs the relationship between the Authority and the Supplier in respect of the provision of the Goods and Services by the Supplier to the Authority and to Other Contracting Bodies.
3.2 The Tender is annexed to this Framework Agreement at Schedule 10 (Invitation to Tender Response) and any obligations on the Supplier within the Tender to act or omit to act in circumstances specified therein shall have effect as though they are a contractual obligation of this Framework Agreement. Where there is any conflict between the terms of this Framework Agreement and any of its Schedules (except for Schedule 10) the conflict shall be resolved in accordance with the procedure given at clause 1.2.10.
SCOPE OF FRAMEWORK AGREEMENT.
3.1 This Framework Agreement governs the relationship between the Authority and the Supplier in respect of the provision of the Services by the Supplier to the Authority.
3.2 The Authority appoints the Supplier as a Framework Provider of the Services and the Supplier shall be eligible to receive Orders for such Services from the Authority during the Term.
3.3 The Authority may in its absolute discretion and from time to time order Services from the Supplier in accordance with the ordering procedure set out in clause 4 during the Term. The Parties acknowledge the Supplier may from time to time receive orders for such Services from the Authority on behalf of other customers or directly from customers as listed in Schedule 11. If there is a conflict between clause 4 and the Regulations, the Regulations shall take precedence.
3.4 If and to the extent that any Services under this Framework Agreement are required the Authority shall:
(a) enter into a contract with the Supplier for these Services materially in accordance with the terms of the Contract; and
(b) comply with the ordering procedure in clause 4.
3.5 The Supplier acknowledges that, in entering this Framework Agreement, no form of exclusivity or volume guarantee has been granted by the Authority for the Services and that the Authority is at all times entitled to enter into other contracts and arrangements with other suppliers for the provision of any or all services which are the same as or similar to the Services.
SCOPE OF FRAMEWORK AGREEMENT. 3.1 Without prejudice to the provisions of Clause 31, this Framework Agreement governs the relationship between the Authority and the Supplier in respect of the provision of the Services by the Supplier to Contracting Bodies.
3.2 The Authority and each other Contracting Body may, at its absolute discretion and from time to time during the Term, Order the Services from the Supplier in accordance with the Ordering Procedures.
3.3 The Supplier acknowledges that there is no obligation whatsoever on the Authority or any Contracting Body to invite or select the Supplier to provide any Services and/or to purchase any Services under this Framework Agreement.
3.4 No undertaking or any form of statement, promise, representation or obligation shall be made or deemed to have been made by the Authority or any Contracting Body in respect of the total quantities or values of the Services to be ordered by them pursuant to this Framework Agreement and the Supplier acknowledges and agrees that it has not entered into this Framework Agreement on the basis of any such undertaking, statement, promise or representation.
3.5 The provision of Ordered Services under any Call Off Agreement entered into under this Framework Agreement shall commence on the Call Off Agreement commencement date and shall expire no later than:
