Source Material. An employee, upon the request of the Employer, shall be required to give up custody of and disclose to the Employer all knowledge, information, notes, records, documents, films, photographs or tapes relating to his employment , together with his source thereof, such materials being the property of the Employer. Except in the case of a court order, the Employer agrees not to release same to any other person without first thoroughly examining with the employee the reason for its release.

Source Material. “Source Material” shall mean (i) the source code of any software, or (ii) the design or manufacturing source files for a semiconductor or integrated circuit product, cell or module, such as an RTL or HDL (e.g., Verilog or VHDL) description, a netlist, or a GDS-II or OASIS file.

Source Material. Distributor shall create and deliver, at its sole expense, Source Material for each Title to the address provided by Netflix no earlier than ninety (90) calendar days and no later than thirty (30) calendar days prior to the applicable Start Date or such other date otherwise agreed to in writing by the parties. Source Material. 11.1 Except as otherwise provided in this Agreement, Escrow Agent shall have no responsibility with respect to the accuracy or completeness of the Source Material or any revisions thereto.

Source Material. It is preferred that the source of seed, cuttings, and container plants used at the restoration site originate from the vicinity of the restoration site. Experienced native plant nurseries such as Growing Solutions of Santa ▇▇▇▇▇▇▇ regularly grow locally collected plant material for use in restoration projects. As sufficient time does not exist to collect and propagate site-specific plant materials, a native plant nursery should be used to supply the restoration contractor with native plants. The restoration biologist will work closely with the restoration contractor and the suppliers to approve the sources of plant materials. The restoration contractor will provide the restoration biologist with information on the sources of the plant and seed materials grown, collected, or acquired for the project for final approval. If necessary, the project restoration biologist will help the contractor locate local sources of plant materials.

Source Material. Licensor shall create, and at Licensor’s sole expense shall complete Delivery to Licensee and / or Netflix of, the Source Material through a Netflix Preferred Vendor (and with respect to Source Material that is artwork, through a Netflix Preferred Creative Agency (▇▇▇▇.▇▇▇▇▇▇▇.▇▇▇)), no later than the applicable Outside Delivery Date, and if no such date is prescribed, by the date that is 120 calendar days prior to the Start Date. Licensor shall deliver to the Licensee all alternate versions of the Title, including, without limitation, cover shots, alternate scenes and alternate dialogue so that the Title can be conformed to rating and censorship requirements. Subject to the rights granted to Licensee herein, title to the Source Material delivered hereunder by Licensor shall at all times remain in Licensor. Licensor shall also provide to Licensee, simultaneously with such delivery, accurate music cue sheets for each Title in Excel format, and additional information and documentation reasonably requested by Licensee and / or Netflix with respect to music contained in each Title.

Source Material. Where Source Material is the subject of a licence granted under clause 11.3 then it shall be a term of the licence that each permitted licensee of the Source Material shall ensure that it is held under conditions of strict security and is not divulged in any form to any person save to those who need to have access for the purposes of their permitted use.
