Subject Intellectual Property. Effective upon the Closing Date, GSAM and its Affiliates hereby grant GSRP Entities, including any of their Controlled Affiliates now or in the future, a worldwide, non-exclusive, royalty-free, non-transferrable (except in connection with a sale or merger of the Business), and sublicensable right (through multiple tiers) right and license to use Subject Intellectual Property in connection with the operations of the current Business of the GSRP Entities and any Permitted Business Sectors.
Subject Intellectual Property. (a) Exhibit A hereto sets forth an accurate and complete list, as of the date hereof, of the Acquired Assets. Other than the non-exclusive non-commercial license to [***] as provided in the [***] Agreement, Seller solely owns all right, title and interest to, free and clear of any Security Interest other than Permitted Liens, the Subject Intellectual Property, and the patent rights therein or related thereto including the patent rights in and to the Subject Antibodies. Seller is not subject to any proceeding or outstanding decree, order, judgment or stipulation resulting from the resolution of a dispute restricting in any manner the use, enforceability, transfer or licensing by the Seller of any item of Subject Intellectual Property. (b) There is no pending or, to the Knowledge of Seller, threatened (and at no time within the two years prior to the date of this Agreement has there been pending any) action, suit, claim or proceeding before any court, government agency or arbitral tribunal in any jurisdiction challenging the use, ownership, validity, enforceability or registerability of any Subject Patent Rights or Subject Trademarks, (nor does Seller have any knowledge of any basis therefor). Seller is not a party to any settlements, covenants not to ▇▇▇, consents, decrees, stipulations, judgments or orders resulting from any action, suit, claim or proceeding which permits any Third Party to use any Subject Patent Right or Subject Trademark. (c) To the Knowledge of Seller, the research, development and commercial exploitation of the Subject Antibodies does not and will not infringe, misappropriate, or otherwise violate any intellectual property or other proprietary right owned by any Third Party. There is no pending or, to the Knowledge of Seller, threatened (and at no time within the two years prior to the date of this Agreement has there been pending or, to the Knowledge of Seller, threatened any) action, suit, claim or proceeding to which Seller is a party (or, to the Knowledge of Seller, to which Seller is not a party), and Seller has not received any written complaint, claim, demand or notice from any Third Party, alleging that the Subject Antibodies or their manufacture or use infringes, misappropriates, or otherwise violates or constitutes the unauthorized use of, or will infringe, misappropriate, or otherwise violate or constitute the unauthorized use of, the intellectual property or other proprietary right of any Third Party (nor does Seller have K...
Subject Intellectual Property. Without limiting the generality of subsection e of this Section 6, no claim or notice has been asserted against the Company or Lumera in writing that the conduct of the Business of the Company or Lumera infringed upon or misappropriated the proprietary rights of any third party. No notice or claim challenging the ownership, validity, registrability, enforceability, use or licensed right to use the Subject Intellectual Property has been received by the Company or Lumera.   • Joint Intellectual Property 9.1 University agrees to not Implement any Joint Intellectual Property for any purpose other than educational, experimental or research purposes. Notwithstanding anything contrary herein provided, University may grant to a third party a license to use the Joint Intellectual Property without Company’s prior written consent in the following cases: (i) if Company fails to execute a license agreement with University pursuant to Article 9.1 without any reasonable cause within three years from the Completion Date, or otherwise seeks to Implement any such Joint Intellectual Property other than pursuant to any such license agreement; or (ii) if Company fails to pay any compensatory royalty in accordance with the license agreement entered into pursuant to Article 9.1. 9.3 Company may grant a third party a non-exclusive license to the Joint Intellectual Property provided that Company first executes a license agreement with University setting forth, among other matters, the allocation of any license fee or royalty received from any such third party as between the Parties. 9.4 Unless otherwise provided in this Agreement, neither Party may transfer, grant a security interest in, grant a license to or otherwise dispose of its right, title or interest in or to the Joint Intellectual Property to any third party without the prior written consent of the other Party. 9.5 Each Party shall notify the other Party in writing before abandoning its right, title or interest in and to any Joint Intellectual Property.
