The number of users with the right to use the licensed software product at the same time is governed by the number of concurrent use / floating licenses, if the software product (a) is installed on a server and is started by a user from another computer that is part of the same internal network as the file server, or (b) is installed on a user's computer but is available for use only if that user's computer can access it from a file server over an internal network; or (c) is installed on a computer for a limited period of time through a documented / controlled "li- cense check-out process" (borrowing of the license), which ensures that the number of licenses in the network is automatically reduced / adjusted. This includes automatic return of the granted li- cense at the end of the period specified in the system or manual license return at an earlier time. Concurrent Use Licenses are available as (a) factory-bound Concurrent Use Licenses or (b) global Concurrent Use Licenses. Global Concurrent Use Licenses are subject to higher fees than Factory Concurrent Use Licenses. (d) Provided that the licenses are available on a server, the software can be used on premise. Single Use License means a license that limits the right to use the Software Product to a particular instance on which the Software Product is used and/or to a particular person who uses the Soft- ware. 1.6 If the Software Product is identified by Licensor as an "Update", "Upgrade", "Patch" or "Sub- scription", Licensee must have the Software Product License identified by Licensor as appropriate for the Update, Upgrade or Patch in order to use the Software Product. A Software Product identi- fied by Licensor as an Update, Upgrade or Patch replaces and/or enhances the original Product that served as the basis for the Update and Upgrade. Licensee may...
Subscription Model. 3.2.1 The Licensee may access and use the subscription Services up to the level of use specified in the License Schedule. Licensee acknowledges that the Service(s) have an initial and recurring annual Subscription Fee (the “Subscription Fee”). Licensee acknowledges that its Subscription may not include access to or functionality of all areas of the Services, and that Licensee may have to pay additional fees for access to or use of these additional Services. 3.2.2 In addition to the Subscription Fee noted in the applicable License Schedule, Licensee shall be responsible for payment of Licensee’s actual usage or the purchased plan, measured and calculated on the basis of the terms and conditions set forth in the applicable License Schedule (“Usage Fee”). Additional a Service plan may be given access to a certain volume or number of Clicks. When an End User reaches the Click limit of the Service plan, the plan moves to an overage model and charged for Clicks used in excess of the amount provided with the Subscription. The Licensee can then purchase a higher volume plan or pay overage for additional Clicks to be able to produce additional Documents accordingly. QUADIENT may introduce access to new technologies, functionality, or services (collectively, “Features”) that Licensee may use for an additional Fee. Licensee is responsible for paying any associated Usage Fees for any Features used by Licensee during the Term. Licensee may incur postage fees depending on its actual use (“Postage Fees”). 3.2.3 Subscription Fees, Usage Fees, Postage Fees along with any additional fees for features may be collectively referred to herein as “Fees”. The Fees applicable for the Services shall be as per the License Schedule and are subject to change at least annually (or more frequently where reasonably required by Quadient). 4 Service Conditions, Payment and Compliance
Subscription Model. The Licensee gains the i) right to use the specific major release of the software product pursuant to this license agreement for a defined period of time, the so-called subscription term (e.g. 1 month, 1 year). In addition, specific services (hotline support and the right to use the newest release) are included in a subscription model and are not offered in separate SMAs. Per subscription term, the Licensor charges a recurring subscription fee.
Subscription Model. The subscription model consists of 2 parts: • License part: The metric for this part is blocks of 100 monitored users. A monitored user is defined as a user-ID that is considered by ▇▇▇ during a dashboard run. In case Ray is monitoring multiple systems / landscapes, unique user-IDs are taken into account. If a particular user-ID is considered in 3 different systems, for example, this is counted as 1 monitored user. The price per block of 100 monitored users decreases with the size of your systems.

  • Subscription (a) The undersigned (“Subscriber”) hereby irrevocably subscribes for and agrees to purchase Class A Common Stock (the “Securities”), of SlideBelts Inc., a Delaware corporation (the “Company”), at a purchase price of $0.37 per share of Class A Common Stock (the “Per Security Price”), upon the terms and conditions set forth herein. The rights of the Class A Common Stock are as set forth in Amended and Restated Articles of Incorporation of the Company, as amended (the “Restated Articles”), filed as an exhibit to the Offering Statement of the Company filed with the SEC (the “Offering Statement”). (b) Subscriber understands that the Securities are being offered pursuant to an offering circular dated _______ (the “Offering Circular”) filed with the SEC as part of the Offering Statement. By executing this Subscription Agreement, Subscriber acknowledges that Subscriber has received this Subscription Agreement, copies of the Offering Circular and Offering Statement, including exhibits thereto, and any other information required by the Subscriber to make an investment decision. (c) The Subscriber’s subscription may be accepted or rejected in whole or in part, at any time prior to a Closing Date (as hereinafter defined), by the Company at its sole discretion. In addition, the Company, at its sole discretion, may allocate to Subscriber only a portion of the number of Securities Subscriber has subscribed for. The Company will notify Subscriber whether this subscription is accepted (whether in whole or in part) or rejected. (e) In the event of rejection of this subscription in its entirety, or in the event the sale of the Securities (or any portion thereof) is not consummated for any reason, this Subscription Agreement shall have no force or effect, except for Section 5 hereof, which shall remain in force and effect. (f) The terms of this Subscription Agreement shall be binding upon Subscriber and its transferees, heirs, successors and assigns (collectively, “Transferees”); provided that for any such transfer to be deemed effective, the Transferee shall have executed and delivered to the Company in advance an instrument in a form acceptable to the Company in its sole discretion, pursuant to which the proposed Transferee shall acknowledge, agree, and be bound by the representations and warranties of Subscriber and terms of this Subscription Agreement.

Red Hat Storage Server is not supported on non- server hardware such as desktops or workstations. Red Hat Storage Server for On-Premise is intended for use on a dedicated System, Physical Node, Virtual Node or Virtual Guest; running other applications and/or programs of any type on the System, Physical Node, Virtual Node or Virtual Guest can have a negative impact on the function and/or performance of the Red Hat Storage Server and is not a supported Use Case. Each Red Hat Storage Server Subscription includes one Software Subscription to Red Hat Enterprise Linux Server and the Scalable File System Add-on, which are supported solely in connection with the use of Red Hat Storage Server. Red Hat Storage Server for Public Cloud Red Hat Storage Server for Public Cloud is intended to be used as a storage system and will be supported only when used as a storage node. When running in Amazon Web Services, an EC2 M1 Large dedicated instance is required in order to be supported. Running other applications and/or programs of any type on the same instance can have a negative impact on the function and/or performance of the Red Hat Storage Server and is not a supported Use Case. Each Red Hat Storage Server Subscription includes one Software Subscription to Red Hat Enterprise Linux Server and the Scalable File System Add-on, which are supported solely in connection with the use of Red Hat Storage Server. Red Hat Storage for Red Hat Enterprise Linux OpenStack Platform Red Hat Storage Server for Red Hat Enterprise Linux OpenStack Platform is intended to be used as a storage system with Red Hat Enterprise Linux OpenStack Platform and will be supported only when used as a storage node. Red Hat Storage Server is not supported on non-server hardware such as desktops or workstations. Red Hat Storage Server for Red Hat Enterprise Linux OpenStack Platform is intended for use on a dedicated Physical Node; running other applications and/or programs of any type on the Physical Node can have a negative impact on the function and/or performance of the Red Hat Storage Server and is not a supported Use Case. Each Red Hat Storage Server Subscription includes one Software Subscription to Red Hat Enterprise Linux Server and the Scalable File System Add-on, which are supported solely in connection with the use of Red Hat Storage Server.

  • Subscription Services We grant You a right to use the Genesys Cloud Service in accordance with this Agreement and the applicable product descriptions found in the Services Order.

  • Subscription Service PROS warrants that during the Subscription Term, the Subscription Service will conform in all material respects to the functional specifications set forth in the Documentation. Customer's sole and exclusive remedy will be the deployment of a corrected version of the PROS software application that is the object of the Subscription Service, or provision of a workaround, provided however if PROS fails to provide such remedy after using commercially reasonable efforts, Customer may exercise its rights herein for breach of contract, including, but not limited to, termination pursuant to Section 10.2.

  • User Subscriptions 2.1 Subject to the Customer purchasing the User Subscriptions in accordance with 3.3 and 8.1, the restrictions set out in this 2 and the other terms and conditions of this agreement, the Supplier hereby grants to the Customer a non-exclusive, non-transferable right, without the right to grant sublicences, to permit the Authorised Users to use the Services and the Documentation during the Subscription Term solely for the Customer's internal business operations. 2.2 In relation to the Authorised Users, the Customer undertakes that: (a) the maximum number of Authorised Users that it authorises to access and use the Services and the Documentation shall not exceed the number of User Subscriptions it has purchased from time to time; (b) it will not allow or suffer any User Subscription to be used by more than one individual Authorised User unless it has been reassigned in its entirety to another individual Authorised User, in which case the prior Authorised User shall no longer have any right to access or use the Services and/or Documentation; (c) each Authorised User shall keep a secure password for their use of the Services and Documentation and that each Authorised User shall keep their password confidential; (d) it shall permit the Supplier or the Supplier's designated auditor to audit the Services in order to establish the name and password of each Authorised User and the Customer's data processing facilities to audit compliance with this agreement. Each such audit may be conducted no more than once per quarter, at the Supplier's expense, and this right shall be exercised with reasonable prior notice, in such a manner as not to substantially interfere with the Customer's normal conduct of business; (e) if any of the audits referred to in clause 2.2(d) reveal that any password has been provided to any individual who is not an Authorised User, then without prejudice to the Supplier's other rights, the Customer shall promptly disable such passwords and the Supplier shall not issue any new passwords to any such individual; and (f) if any of the audits referred to in 2.2(d) reveal that the Customer has underpaid Subscription Fees to the Supplier, then without prejudice to the Supplier's other rights, the Customer shall pay to the Supplier an amount equal to such underpayment as calculated in accordance with the prices set out in paragraph 1 of Schedule 1 within 10 Business Days of the date of the relevant audit. 2.3 The Customer shall not access, store, distribute or transmit any Viruses, or any material during the course of its use of the Services that: (a) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; (b) facilitates illegal activity; (c) depicts sexually explicit images; (d) promotes unlawful violence; (e) is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or (f) is otherwise illegal or causes damage or injury to any person or property; and the Supplier reserves the right, without liability or prejudice to its other rights to the Customer, to disable the Customer's access to any material that breaches the provisions of this clause. 2.4 The Customer shall not: (a) except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties and except to the extent expressly permitted under this agreement: (i) attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Software and/or Documentation (as applicable) in any form or media or by any means; or (ii) attempt to de-compile, reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Software; or (b) access all or any part of the Services and Documentation in order to build a product or service which competes with the Services and/or the Documentation; or (c) use the Services and/or Documentation to provide services to third parties; or (d) subject to 22.1, license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Services and/or Documentation available to any third party except the Authorised Users, or (e) attempt to obtain, or assist third parties in obtaining, access to the Services and/or Documentation, other than as provided under this 2; or (f) introduce or permit the introduction of any Virus [or Vulnerability] into the Supplier's network and information systems. 2.5 The Customer shall use all reasonable endeavours to prevent any unauthorised access to, or use of, the Services and/or the Documentation and, in the event of any such unauthorised access or use, promptly notify the Supplier. 2.6 The rights provided under this 2 are granted to the Customer only, and shall not be considered granted to any subsidiary or holding company of the Customer.
