The TECHNICAL ASSISTANCE AND CONSULTATION clause establishes the obligation or option for one party to provide expert support, advice, or guidance to the other party regarding technical matters related to the agreement. TECHNICAL ASSISTANCE AND CONSULTATION. The Department shall furnish the Contractor with such technical assistance and consultation by the Department’s staff as is reasonably necessary to assure satisfactory performance in providing the services required by this Contract and be it readily available elsewhere. The use of funds under this Contract by the Contractor to hire consultants shall require the prior approval by the Department’s designated Procurement Officer, of any such arrangement and the proposed work plan of the consultant(s) involved.
TECHNICAL ASSISTANCE AND CONSULTATION. The Brevard C.A.R.E.S. Care Coordinator will conduct monthly trainings with Brevard Public Schools Family Advocates. Beginning in August and extending through May, the Care Coordinator will train on a variety of topics. Trainings will include small group interaction and discussion, experimental exercise and activity, handouts and video. The training will prepare Family Advocates to meet the presenting needs of Head Start families and receive ongoing support and consultation to promote staff professional development. Classroom training will be provided in the following topic areas: • Community ResourcesFamily EngagementCrisis InterventionSubstance AbuseMental Health DisordersDomestic ViolenceTransition PlanningChild Maltreatment and Mandatory Reporting In addition to the classroom training, ▇▇▇▇▇▇▇ C.A.R.E.S. will provide technical assistance and consultation as needed in order for Family Advocates to successfully: • Engage the family in decision making early in the process; • Identify the family’s resources, strengths and potential barriers to success: • Increase family involvement, parent empowerment and competency; • Increase child functioning and child strengths; • Promote positive parent relationships; • Increase family self- sufficiency; • Support early identification of need an increase the variety of options for solutions; • Ensure a well- coordinated and integrated planning process; • Offer continuity of care for families with multi system involvement; • Generate one well- coordinated and individualized care plan; • Promote culturally and linguistically appropriate services; • Encourage locally based solutions amongst community partners; • Improve the safety, stability and sustainability of children and families; and • Offer a collaborative community forum for partners to work together.
TECHNICAL ASSISTANCE AND CONSULTATION. A. The University will offer consultation and technical assistance services to the Department on a priority basis for the identification of education, training, and career development needs of the Department and for the development of programs and services to meet those needs. Technical assistance and consultation services will be provided through staff of the Public Health Practice, Office of the University’s School of Public Health at no cost to the Department B. Additional technical assistance and consultation services to the Department may be arranged through purchasing the services of University faculty participating in the school of Public Health’s Public Health Practice Service Institute.
TECHNICAL ASSISTANCE AND CONSULTATION. Costs of Technology Transfer. HFB will reasonably cooperate with FibroGen to facilitate the Technology Transfer to FibroGen or a FibroGen CMO (as applicable). In the course of any Technology Transfer, HFB will provide FibroGen or the applicable FibroGen CMO [*] involved in the Development or Manufacture of the Licensed Compounds to provide FibroGen or the FibroGen CMO with a reasonable level of technical assistance and consultation in connection with all Technology Transfers.   • Technical Assistance DFPS may provide informal support, guidance, clarification, and other forms of technical assistance via phone, email, and virtual meeting to resolve Grant or performance compliance issues. Grantee will document all such instances of technical assistance by DFPS in writing, including any implementation work.

  • Peer Assistance and Review (PAR) Consulting Teachers (CT) will be assigned to all new teachers with no prior teaching experience and tenured teachers rated ineffective on the qualitative measures at the end of the previous school year and recommended by the PAR Panel. Evaluations for Probationary and Ineffective Teachers:

  • Assistance and Cooperation (a) Each of the Companies shall provide (and shall cause its Affiliates to provide) the other Companies and their respective agents, including accounting firms and legal counsel, with such cooperation or information as they may reasonably request in connection with (i) preparing and filing Tax Returns, (ii) determining the liability for and amount of any Taxes due (including estimated Taxes) or the right to and amount of any refund of Taxes, (iii) examinations of Tax Returns, and (iv) any administrative or judicial proceeding in respect of Taxes assessed or proposed to be assessed. Such cooperation shall include making available, upon reasonable notice, all information and documents in their possession relating to the other Companies and their respective Affiliates as provided in Section 9. Each of the Companies shall also make available to the other Companies, as reasonably requested and available, personnel (including employees and agents of the Companies or their respective Affiliates) responsible for preparing, maintaining, and interpreting information and documents relevant to Taxes. (b) Any information or documents provided under this Section 8 or Section 9 shall be kept confidential by the Company or Companies receiving the information or documents, except as may otherwise be necessary in connection with the filing of Tax Returns or in connection with any administrative or judicial proceedings relating to Taxes. Notwithstanding any other provision of this Agreement or any other agreement, in no event shall any of the Companies or any of their respective Affiliates be required to provide the other Companies or any of their respective Affiliates or any other Person access to or copies of any information if such action could reasonably be expected to result in the waiver of any Privilege. In addition, in the event that any of the Companies determine that the provision of any information to the other Companies or their respective Affiliates could be commercially detrimental, violate any law or agreement or waive any Privilege, the Parties shall use reasonable best efforts to permit compliance with their obligations under this Section 8 or Section 9 in a manner that avoids any such harm or consequence.

  • Technical Support Services 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

  • Review and Consultation Employee acknowledges and agrees he (a) has read this Agreement in its entirety prior to executing it, (b) understands the provisions and effects of this Agreement and (c) has consulted with such attorneys, accountants and financial or other advisors as he has deemed appropriate in connection with the execution of this Agreement. Employee understands, acknowledges and agrees that he has not received any advice, counsel or recommendation with respect to this Agreement from Employer’s attorneys.
