Third Party Arrangements. Medical Practice acknowledges and agrees that it shall be solely responsible for performance of all of its duties, obligations, and covenants arising under the Transaction Documents. In the event that Medical Practice enters into an arrangement with any other individual or entity to fulfill all or any part of its payment obligations pursuant to the Transaction Documents (“third party arrangement”), Medical Practice represents and warrants that any such third party arrangement shall not affect the obligations of Medical Practice to Modernizing Medicine pursuant to the Transaction Documents.
