Transfer Documentation. With respect to each and every Transfer authorized by Landlord under the provisions of this Lease, it is further agreed as follows:
(a) no subletting shall be for a term ending later than one day prior to the Expiration Date of this Lease;
(b) no sublease shall be valid, and no subtenant shall take possession of the Premises or any part thereof, until an executed counterpart of such sublease has been delivered to Landlord;
(c) each sublease shall provide that it is subject and subordinate to this Lease and to the matters to which this Lease is or shall be subordinate, and that in the event of termination (whether by voluntary surrender or otherwise), re-entry, or dispossession by Landlord under this Lease, Landlord may, at its option, take over all of the right, title, and interest of Tenant, as sublessor, under such sublease, and such subtenant shall, at Landlord’s option, attorn to Landlord pursuant to the then-executory provisions of such sublease, except that Landlord shall not be (i) liable for any previous act or omission of Tenant under such sublease; (ii) subject to any offset, credit, or allowance not expressly provided in such sublease which theretofore accrued to such subtenant against Tenant or (iii) bound by any previous modification of such sublease or by any previous prepayment of more than one month’s rentals; and
(d) each assignment or sublease document must provide that the assignee or subtenant expressly assumes all obligations of the Tenant under the Lease as joint and several obligations without any release of Tenant.
Transfer Documentation. SFV and LTES Operator agree to co-operate with Security Trustee and to execute all documents as are reasonably necessary to give effect to any assignment, transfer or novation (or any combination of these things) under clause 5.1 (“Transfer”).

Any substantive amendments, supplements or deviations from such forms shall require the prior written consent of Buyer.
Transfer Documentation. The Parties hereby agree to execute any and all leases, conveyances, amendments and any other documents necessary to effectuate the transfer of all assets and property.

Tenant shall deliver to Landlord an original assignment or sublease executed by Tenant, the proposed Transferee, and all Guarantors, if any, of Tenant’s obligations under this Lease. Such document shall be in form and substance acceptable to Landlord, and shall expressly provide, among other things, that: (i) the Transferee assumes all of Tenant’s obligations under this Lease (relating, in the case of a sublease, only to those portions of the Premises which are subject to such sublease); (ii) neither the current Transfer nor any subsequent Transfer (irrespective of whether Tenant is a party thereto) shall relieve Tenant or any Guarantor of any obligation or liability arising out of this Lease; and (iii) the Transfer shall not be deemed effective for any purpose unless and until Landlord’s written consent thereto is obtained; and (iv) if the Transfer is an assignment, no modification of the terms of the Lease between Landlord and the Transferee (including the extension of time for performance or the waiver of any obligation to be performed by the Transferee) will operate to release Tenant or any Guarantor of its obligations with respect to this Lease, and, in the case of an assignment, all of the Tenant’s rights in the Security Deposit are, as of the effective date of the Transfer, the sole property of the Transferee.
Transfer Documentation. The transfers of Transferred Assets and Excluded Assets, and the assumption of Assumed Liabilities and Excluded Liabilities, shall be effected pursuant to the Transfer Documents substantially in the forms attached as Annex 2.5(a) to this Agreement; provided, however, that the transfer of the Transferred Trademarks shall be effected pursuant to the Intellectual Property Agreement substantially in the form attached as Exhibit H to this Agreement. Any substantive amendments, supplements or deviations from such forms shall require the prior written consent of Buyer.

If the Lessor shall acquire the Lessee’s Improvements or any subset thereof by purchase pursuant to Section 14.3 or by abandonment pursuant to Section 14.4(a), the Lessee shall execute and deliver to the Lessor such deeds, discharges of any claims or Security Interests arising by, through or under the Lessee or other documents in recordable form that the Lessor may reasonably require in order to transfer title to the same to the Lessor.
