Unexpected Circumstances Clause Samples

The "Unexpected Circumstances" clause defines how parties should respond if unforeseen events occur that prevent or hinder the fulfillment of contractual obligations. Typically, this clause outlines what types of events qualify as unexpected—such as natural disasters, government actions, or other events beyond the parties' control—and may specify procedures for notification, suspension, or modification of obligations. Its core function is to allocate risk and provide a fair mechanism for addressing situations where performance becomes impossible or impractical due to circumstances outside the parties' control.
