USAGE OF THE SERVICE. 6.1. For the duration of the Master Agreement or Agreement, Wonderkind grants to Client a limited, non-exclusive and non-transferable license to use the functionalities made available to Client through the Service. 6.2. In using the Services, Client will observe all applicable and relevant statutory provisions and regulations, as well as the rules of conduct that are generally accepted in the sector.
USAGE OF THE SERVICE. 6.1 The Client may request the Service(s) for Internal Usage and/or for Redistribution purposes as defined in Annex 2. 6.2 In case the Client requires the Service(s) for Redistribution, the Client is hereby licenced, for the duration of this Agreement only, on a non-exclusive, non-assignable, revocable, worldwide basis to re-distribute in whole or in part the Service(s) and the Data externally, and it is defined as a “Redistributor” according to this Agreement. In case the Client requires the Service(s) for Internal Usage only, it is defined as an “End Customer”. 6.3 Redistribution includes the right to use, store, reproduce, make available and re- distribute the Service(s) and/or the Data and/or Derived Data in whole or in part as part of the Client’s services, in accordance with this Agreement, to customers (“Client’s Customers”). In this Agreement Derived Data means any and all data created or derived from, or on the basis of, the Data using calculations, computations or any other mathematical or other manipulations or processes applied to the Data and that cannot be reverse engineered back to the Data or used as a replacement or substitute for the Data In redistributing the Service(s) and/or the Data, the Client: (i) shall not pass off end of day market Data as they were real-time and clearly communicate to Clients’ Customers that the Data are supplied on an end of day basis; (ii) in relation to the Services, shall clearly indicate Borsa Italiana as the source of the Data and shall ensure that the Client’s Customers which are redistributors identify the Data as being from Borsa Italiana; (iii) shall provide in the agreements with the Client’s Customers provisions substantially similar to those contained in clause 6.7 letter a) and b); (iv) shall provide in the agreements with the Client’s Customers that in case the Client’s Customer redistributes the Service(s) and/or the Data and/or Derived Data in whole or in part as part of the Client’s Customer ’s services, it is required to contact Borsa Italiana and Borsa Italiana may also contact directly the Client to enter, if it is the case, into an agreement with Borsa Italiana to get the proper licence and pay any relevant fees (v) shall insert in the agreements with the Client’s Customers appropriate provisions allowing the right for Borsa Italiana, directly or through third parties, to carry out the verification activities provided under clause 9 of this Agreement. 6.4 The Client shall maintain effective ...
USAGE OF THE SERVICE. (1) We grant you a non-exclusive, non-transferable, non-assignable and limited right to access and use the service for your internal business purposes in accordance with this agreement. Your access to the service can be revoked at any time, as described in the section “Termination”. You must not access the Service if You are Our competitor or in order to develop a competing product or service. (2) For this basic free version of the tool, no support services will be provided for the service and we reserve the right in our sole discretion to change, add or otherwise modify features to the service at any time and without notice. (3) You must not a. Download, redistribute or publish any of the database content in any way other than intended by normal use of the application. b. Hack, crack, phish, inject or otherwise compromise the security or integrity of the service or use the service to transmit malicious code or interfere with performance of the service. c. Reverse-engineer, decompile, disassemble or otherwise attempt to derive source code or data from the internals of the service. d. Perform or disclose any of the following security testing of the Service environment or associated infrastructure: network discovery, port and service identification, vulnerability scanning, password cracking, remote access testing, or penetration testing. e. Use the service to build a competitive service or copy any features or graphics. (4) We may at any time limit, suspend or change your access to this free version of the tool or change or introduce pricing models to limit certain features.
USAGE OF THE SERVICE. 7.1 You must not, and must not attempt to: 7.2 gain unauthorised access to the Service; 7.3 bypass or breach the security of the Service; 7.4 alter, change or modify the Service; or 7.5 copy any parts or the whole of the Service. 7.6 You should note that if you do any of the above, it may be a criminal offence as well as being a breach of these Online Reporting Terms. 7.7 You must not do anything which may impair or damage the Service or the reputation of the Service. 7.8 Where you are aware of any discrepancies of Intellectual Property Rights subsisting in the details displayed in the Website, you shall inform us immediately.
USAGE OF THE SERVICE. 6.1. For the duration of the Agreement, RECRUITZ grants to the Client a limited license to use the functionalities made available to the Client through the Service. 6.2. In using the Services, the Client will observe all applicable and relevant statutory provisions and regulations, as well as the rules of conduct that are generally accepted in the sector. 6.3. The Service, any parts or specific functionalities thereof may only be accessible after registration. In case registration is needed, the Client must secure access to its account using username and password against third parties. In particular, the Client must keep the password strictly confidential. RECRUITZ may assume that all actions undertaken from the Client’s account after logging in its username and password are authorized and supervised by the Client. This means the Client is solely liable for these actions. In the event of loss, abuse or involuntary disclosure of this information, the Client will immediately inform RECRUITZ accordingly.

  • Use of the Service 11.1 When using the Service you must comply with: (a) our CRA, including clause 4 of the General Terms, and this clause 11; and (b) any rules, including any acceptable use conditions, imposed by any third party whose content or services you access using the Service or whose Network on which your data transmits. 11.2 Any use of the Service at the Premises is your responsibility. The terms of our CRA apply to you and also to anyone else who uses the Service (regardless of whether you give them permission to do so or not). 11.3 You must ensure that any software you use in relation to the Service is properly licensed. 11.4 The use of a Local Area Network (LAN) for personal use is permitted, however the set-up and configuration of a LAN connected to the modem is not supported by customer service. 11.5 All IP addresses provided by us for your use remain our property. Most Services include a dynamic IP address. A new IP address is usually allocated whenever the computer and modem are rebooted. The IP address remains until the next time the computer and modem are switched off. Where provided, you may configure your computer or modem to connect using a static IP address. 11.6 We may at any time adjust aspects of the Service for security or Network management reasons, including, without limitation: (a) deleting transitory data that has been stored on our servers for longer than 90 days; (b) deleting stored email messages that are older than 90 days; (c) rejecting any incoming email messages and attachments that exceed 30 Megabytes (including encapsulation); (d) delivering access and content via proxy servers; (e) limiting the number of addresses to whom an outgoing email can be sent; (f) refusing to accept incoming email messages to mailboxes that have exceeded the email storage limit; (g) managing the Network to prioritise certain types of Internet traffic over others; and (h) blocking or filtering specific Internet ports. 11.7 You are responsible for providing any security or privacy measures for your computer networks and any data stored on those networks or accessed through the Service. We will not be liable to you in respect of any loss, damage, costs or expenses incurred by you in connection with your failure to provide that security. 11.8 You may request additional users on the Service in accordance with the Pricing Schedule. 11.9 You must take reasonable steps to ensure that others do not gain unauthorised access to the Service through your account. We recommend that you do not disclose your password to others and that you change your password regularly. 11.10 We may monitor use of the Service to investigate a breach (or suspected breach) of the Acceptable Use Policy or upon the request of an authorised authority. 11.11 Where you provide your own wireless computer connection device, you are responsible for any loss caused by an unauthorised interception of the Service.

  • Use of the Services 1.1 We will make the Oracle services listed in Your order (the “Services”) available to You pursuant to this Agreement and Your order. Except as otherwise stated in this Agreement or Your order, You have the non- exclusive, worldwide, limited right to use the Services during the period defined in Your order, unless earlier terminated in accordance with this Agreement or Your order (the “Services Period”), solely for Your internal business operations. You may allow Your Users (as defined below) to use the Services for this purpose, and You are responsible for their compliance with this Agreement and Your order. 1.2 The Service Specifications describe and govern the Services. During the Services Period, we may update the Services and Service Specifications (with the exception of the Data Processing Agreement as described below) to reflect changes in, among other things, laws, regulations, rules, technology, industry practices, patterns of system use, and availability of Third Party Content (as defined below). Oracle updates to the Services or Service Specifications will not materially reduce the level of performance, functionality, security or availability of the Services during the Services Period of Your order. 1.3 You may not, and may not cause or permit others to: (a) use the Services to harass any person; cause damage or injury to any person or property; publish any material that is false, defamatory, harassing or obscene; violate privacy rights; promote bigotry, racism, hatred or harm; send unsolicited bulk e-mail, junk mail, spam or chain letters; infringe property rights; or otherwise violate applicable laws, ordinances or regulations; (b) perform or disclose any benchmarking or availability testing of the Services; (c) perform or disclose any performance or vulnerability testing of the Services without Oracle’s prior written approval, or perform or disclose network discovery, port and service identification, vulnerability scanning, password cracking or remote access testing of the Services; or (d) use the Services to perform cyber currency or crypto currency mining ((a) through (d) collectively, the “Acceptable Use Policy”). In addition to other rights that we have in this Agreement and Your order, we have the right to take remedial action if the Acceptable Use Policy is violated, and such remedial action may include removing or disabling access to material that violates the policy.

  • Scope of the Services UNOPS intends to retain the Contractor for the implementation of the Services, and the Contractor intends to provide the Services. The Contractor has represented to UNOPS that it has the appropriate experience, expertise, licences, and resources to undertake the Services and has agreed to undertake the Services in accordance with the Contract. In reliance on the Contractor’s representations UNOPS has entered into the Contract. The Contract sets out the terms and conditions upon which the Contractor will undertake the Services.

  • Description of the service 10.1.1 Automatic transfer service implies a transfer by the bank of the funds from the client’s account without further consent of the client, on the basis of fixed amount determined by the client in its application form or of information provided by the client’s creditor to the bank on the client’s debt. 10.1.2 The parties agree that the payment order created (generated) by the bank for the purposes of automatic transfer services shall have the legal force equal to the document having been printed on the paper and executed by the person(s) authorized to manage of the account. 10.1.3 The bank shall carry out the automatic transfer services in accordance with requirements and conditions stipulated in this agreement, the application on registration for automatic transfer service and the sources disseminated by the bank. 10.1.4 For the purposes of obtaining automatic transfer services the client shall apply to the bank with the application as per paragraph 1.2 of this agreement.

  • Provision of the Service Okta provides the Service to Customer under the Agreement. In connection with the Service, the parties anticipate that Okta may Process Customer Data that contains Personal Data relating to Data Subjects.
