The Client must Sample Clauses

The Client must. 7.1.1 provide Education Horizons with all necessary co-operation in relation to the Agreement, and all necessary access to such information as may be required in order to provide the Solution and Services; 7.1.2 conduct business with Education Horizons in a courteous and professional manner and in accordance with any protocols and procedures set out in the Agreement; 7.1.3 comply with all applicable laws and regulations with respect to its activities under the Agreement, including the Privacy Laws; 7.1.4 ensure that its Authorised Users: 7.1.4.1 are properly trained in the use and application of the Solution; and 7.1.4.2 use the Solution in accordance with the terms and conditions of the Agreement and the Associated Documentation; 7.1.5 ensure that the Solution is used in accordance with this Agreement, including the Subscription Metrics and the Associated Documentation; 7.1.6 provide on request all information as may be required by Education Horizons to determine the Subscription Metrics that may be required to calculate the Subscription Fees from time to time; 7.1.7 obtain and maintain all necessary licences, consents and permissions necessary for Education Horizons to perform its obligations under the Agreement, including providing the Solution and Services to the Client; 7.1.8 document and promptly report all errors in or malfunctions (including Bugs) of the Solution to Education Horizons; 7.1.9 use all reasonable endeavours to complete procedures for the rectification of errors or malfunctions in the Solution within a reasonable time after such procedures are notified to it by Education Horizons; 7.1.10 protect the Solution from access, use, damage or destruction by any third party, including by implementing and maintaining up-to-date software to protect against viruses and other Harmful Code and appropriate information security controls on all Equipment; 7.1.11 provide all information required by Education Horizons to open a support request; 7.1.12 once a support request has been submitted, make Personnel available, as appropriate, to work with Education Horizons to ensure that the scope of the support request is fully understood and that, if applicable, site-testing can be undertaken in a timely manner; 7.1.13 provide all necessary and requested documentation, information, and knowledge capital to Education Horizons as appropriate in respect of a support request; 7.1.14 ensure that its Equipment and any other hardware, software and infrastructure co...
The Client must. 3.3. Always include an attribution to FHP for the creation and ownership of the Images when the Images will be featured in publications, press releases, advertising or websites, for any purpose outside of the promotion and sale of a subject property. Attribution to FHP is not required for Images used for the purpose of advertising a subject property in the real estate section(s) of a newspaper, in a real estate publication, listing the subject property with the multiple listing service (MLS) or promotion the subject property on social media. The Client should always err on the side of caution when attributing the creation and ownership of an image to FHP and in the event the Client is uncertain whether an Image should or should not be attributed to FHP, contact FHP directly for guidance and direction regarding attribution.
The Client must. (a) give the engineer access to the Site during the Service Calendar for purpose of providing the Service; (b) provide suitable workstation facilities on the Site as may be reasonably required by the engineer, including, but not limited to desk, telephone, internet access and VPN access; and (c) provide a safe working environment for the engineer.
The Client must. (a) comply with all reasonable directions regarding access to, and use of, the ASCORA Service provided to the Client from time to time by ASC including any procedures imposed by ASC to prevent unauthorised access to the ASCORA Service; and (b) permit ASC, or its agent, at all reasonable times, and at ASC’s expense, to verify that the Client’s use of the ASCORA Service is within the terms of this Agreement.
The Client must. 4.1.4.1 Notify Acolyte without delay of any offer of an Engagement which it wishes to make to a Candidate and provide the relevant terms of such offer; 4.1.4.2 Notify Acolyte without delay upon the acceptance of an offer of Engagement by a Candidate; and 4.1.4.3 Provide details to Acolyte of the Remuneration agreed with the Candidate and, if requested by ▇▇▇▇▇▇▇, a copy of the Candidate’s contract of employment
The Client must. (a) keep an up to date copy of configuration files or other relevant information for all Configuration Items and provide a copy to NTT when requested; (b) keep an up-to-date copy of any Software and provide a copy to NTT when requested; (c) provide NTT with access to the Site and the Configuration Items where and when needed in relation to an Incident or Request; and (d) advise NTT of changes to any of the Client’s nominated escalation contacts within 48 hours of such changes.
The Client must. (a) log urgent Configuration MACDs with the Service Desk by telephone only; (b) advise NTT of the nominated Client contacts with the authority to request Configuration MACDs; (c) pay for any Service Units in advance; (d) assess and accept all risks associated with a proposed Configuration MACD; (e) perform any precautionary or preliminary work prior to implementation of the relevant Configuration MACD task; (f) pre-approve all Configuration MACD tasks; (g) advise NTT of the urgency level of any Configuration MACD tasks; (h) accept that limitations caused by third party manufacturers may affect any Configuration MACD task commencement and delivery t ▇▇▇▇; and (i) arrange freight and insurance, as well as other internal Client change management controls and approvals, if required.
The Client must. 2.2.1. provide the Broker with all the necessary documents and information provided for by the Legislation and the Broker's internal documents for provision of Services hereunder; 2.2.2. if there are objections to statements of the Personal Account or other documents provided by the Broker, notify the Broker about them no later than 3 (three) business days from the moment when these documents, according to the terms of the Agreement, are considered provided by the Broker, by providing a reasoned written justification; otherwise, these documents shall be deemed accepted by the Client; 2.2.3. ensure sufficient quantity of securities and other financial instruments, including cash necessary to conclude a transaction and make settlements on it, on the Personal Account opened with the Broker; 2.2.4. pay fee to the Broker in a timely and full manner in the amount established by this Agreement, and reimburse for expenses incurred by the Broker as a result of provision of Services to the Client, except for the cases when such expenses occurred through the Broker's fault; 2.2.5. in a timely and full manner pay the Broker the fee amount, reimburse for expenses incurred by the Broker, amount of forfeits recovered from the Broker on the basis of internal documents of the trading authority, and expenses incurred by the Broker if the Client refuses to complete a transaction concluded by the Broker, subject to good faith fulfillment of obligations by the Broker; 2.2.6. if the Client has accounts receivable, the duration of which has exceeded 180 (one hundred and eighty) calendar days, while he has securities on his Personal Account, the Client must, at the Broker's first demand, fully repay the accounts receivable, including forfeit, penalties, punitive damages, expenses actually incurred by the Broker, and then submit an order to write off the securities to the accounting system of another nominee holder within 10 (ten) calendar days from the date of receipt of such a demand. 2.2.7. immediately notify the Broker in writing in case of changes in the Client's information, and in case of amendment and (or) supplement of documents provided by the Client at the time of conclusion of the Agreement, in one of the ways stipulated by Section 5 hereof, and then submit an order to amend the details within 10 (ten) calendar days from the moment of occurrence of such amendments, with provision/update of the documents; 2.2.8. sign the register of Client requests for the period of one...
The Client must. (a) procure and activate the licence using the information provided by NTT, or the Client can request that licence activation be performed as Configuration MACDs; and (b) provide the initial information required to set up the Client's l icence renewal calendar, unless it is agreed that NTT will gather the information as part of the Assessment Service Element.
The Client must. (a) notify NTT of outages scheduled to occur on its network by raising a Service Request or using the online form on the Service Portal; and (b) if the change window is scheduled for less than four hours in advance, notify NTT by telephone.
