Additional Consulting Services. Oversight Servicer agrees to perform such additional consulting services related to the Loan Servicing as may be reasonably requested from time-to-time by Owner, subject to mutual agreement on an appropriate statement of work and additional fees for such services.
Additional Consulting Services. During the term of this Agreement, Licensor shall provide Licensee with various business and technical consulting services as may be requested by Licensee. Such services shall be provided subject to the following terms and conditions.
A. Licensee shall be entitled to order services to be provided by Licensor and Glasgal (or its subsidiaries) under the terms of this Agreement. This Agreement includes the ability to require the services of any Licensor or Glasgal "without limitations" (or its subsidiaries) personnel. Such services shall be provided in a professional and workmanlike manner.
B. Unless otherwise cancelled in writing by Licensee, Licensee agrees to pay Licensor $100,000 as a refundable Service Retainer Fee one week after the beginning of each two month period beginning on the Effective Date (the "Service Period") for all maintenance, installation, training, modification, support and other services to be provided by Licensor that are not being provided by Licensor pursuant to Exhibit "B". In the event that in any two month Service Period the fees for the actual services provided by Licensor total less than $100,000, Licensee shall subtract the remaining balance of the Service Retainer Fee and shall pay Licensor the difference as the Minimum Service Fee for the forthcoming Service Period. If Licensee requests services during the first year after the execution date of this Agreement in excess of $150,000 each Service Period, after deducting any unused balance remaining from prior Service Periods, which by year end is in excess of $900,000 (at the Exhibit D rates) all such excess requested services will be provided by Licensor at the then current rate charged to a majority of its customers. Licensor may charge for such excess services each Service Period, subject to a year end reconciliation. To the extent total services for the year (at the Exhibit D rates) are less than $900,000, Licensor shall immediately refund any payments made by Licensee in excess thereof. After such year, Licensor may charge for services requested by Licensee in excess of $600,000 ($150,000 each Service Period), at its then current rates charged to a majority of its customers, again subject to an annual reconciliation and otherwise as set forth immediately above.
C. Licensee agrees to pay all reasonable out-of-pocket expenses. Licensee shall have the option to book travel arrangements for Licensor and/or Glasgal (or its subsidiaries) personnel.

Additional Consulting Services. Customer may purchase additional Consulting Services beyond the scope identified in the deployment description(s) for the initial deployment of subscribed to Cloud Services by requesting such services in accordance with the terms of the Consulting Supplement.
Additional Consulting Services. The Director may request that Contractor provide additional consulting services at any time during the term of this Agreement, if there are sufficient funds allocated to pay for these additional services. If Contractor and City agree on the scope of the additional consulting services requested, then Contractor shall provide the additional consulting services on a time and materials basis as set forth in Exhibit “E” Compensation, subject to the allocation of funds.

During the Term, Nuance will provide to MedQuist, upon MedQuist’s request from time to time, additional consulting/development/training services (using the hourly rates set forth in SCHEDULE C) (“Additional Consulting Services”) subject to the mutual agreement of Nuance and MedQuist.

Customer may request that RPC perform additional Services as described in Exhibit B hereto, at any time during the term of this Agreement by providing RPC with a written work request ("Work Request"). Each Work Request shall describe the requested services to be completed and, if applicable, the requested date of completion. All Work Requests are subject to written acceptance by RPC. Unless otherwise agreed to by the parties, services performed under Work Requests shall be charged at RPC's standard consulting service fee rate as set forth in Exhibit C, as modified from time to time pursuant to the Agreement.

Depending on the personnel assigned to perform the work, standard hourly rates range from $ per hour to a maximum rate of $ per hour, approved by the Director and subject to the allocation of funds.

Upon Customer’s request and Skyline’s agreement, Skyline will provide professional services to Customer as set forth in a separate statement of work signed by both parties. Customer will pay Skyline all applicable Fees for such professional services and will reimburse Skyline for the following costs and expenses: reasonable travel, room and board and per diem expenses incurred by Skyline when providing such professional services on-site at Customer’s facility.
Additional Consulting Services. CD&R Manager hereby agrees, during the term of this Agreement, to provide the members of the Company Group with the Additional Consulting Services as may reasonably be requested from time to time by the board of directors (the “Board”) of the Company and agreed to by CD&R Manager.

The Additional Consulting Services shall be separate from, and compensated independently of, the services currently being provided under the Consulting Agreement.
1.2 As consideration for the Additional Consulting Services to be provided by Himmah under SECTION 1.1 hereof, Company will pay Himmah a commission fee equal to ten percent (10%) of the net sales of products utilizing the Original ProTerra Technologies (the "INITIAL COMMISSION RATE") until such time that the commission fee paid to Himmah at the Initial Commission Rate equals or exceeds, in the aggregate, Two Million Five Hundred Thousand Dollars ($2,500,000), and thereafter, Company will pay Himmah a commission fee equal to eight percent (8%) of the net sales of products utilizing the Original ProTerra Technologies (the "SECONDARY COMMISSION RATE") until such time that the commission fee paid to Himmah at the Secondary Commission Rate equals Three Million Two Hundred Thousand ($3,200,000). Payment of the commission fees due hereunder (the "COMMISSION FEES") shall be made on a quarterly basis, on the 15th day of each month with respect to net sales received by Company in the immediately prior completed month, if any.
