BREACHES BY PRODUCER. ‌ It shall be considered a breach of this Agreement should the Producer: (A) Breach an individual contract of employment or any part thereof; (B) Breach or fail to abide by or conform to any rule which is a part of the employment contract of any Actor; (C) Make any false statement in connection with any employment or security agreement; (D) Employ or have employed any Actor under any form of contract other than a standard form; (E) Be in default as to any employment contract with any Actor, or breach any such employment contract, past or present; (F) In the future, breach any such employment contract; (G) Fail to give or deposit security at the time and in the form and amount required by Equity; or (H) Otherwise breach or fail to live up to any contract of employment or Equity rule. (I) Should any situation arise in which, because of the act of the Producer or the Producer's fault or default, the Actor is released from his obligation to work, the Producer agrees to pay the Actor, as liquidated damages, a sum equal to the Actor's contractual salary not to exceed one week's standard minimum salary under a Weekly Contract. This provision shall apply regardless of whether an Actor is employed under a Weekly or Per Performance Contract. In addition thereto, Equity or the Actor, Equity consenting, may terminate the Actor's employment and the Actor shall be released from his obligation to render services to the Producer. The Producer agrees to pay the Actor in full for all services rendered by the Actor plus any other sums to which the Actor may be entitled by contract or by this Agreement. Disputes as to the applicability of the foregoing paragraph shall be subject to the arbitration clause of this Agreement and neither Equity nor the Actor may finally determine any questions of violation or breach on the part of the Producer, except as to the violations of (D) and (G) above. In the event of the Producer's breach of (D) or (G) above, Equity may intervene, without penalty to itself, and require the Actor to perform or rehearse or not perform or rehearse under such terms and conditions as Equity may consider just and equitable.
BREACHES BY PRODUCER. If the Producer disagrees with Equity’s consent, the Producer may submit the matter forthwith to expeditious arbitration in accordance with Rule 4, ARBITRATION AND GRIEVANCE.
BREACHES BY PRODUCER. (A) Should the Producer be in breach of any of the Producer’s obligations under this Agreement, including but not limited to: (1) Breaching an individual contract of employment, or failing to abide by any rule which is part of said contract, or being in default as to any such contract; or (2) Making any false statement in connection with any employment agreement or regarding security, or failing to deposit security at the time and in the form and amount required by Equity; or (3) Employing any Actor under any form of contract other than a standard Equity form. Should any situation arise where, because of the act of the Producer, or the Producer's fault or default, the Actor is released from the Actor's obligation to work, then, in any of said events, the Actor may, Equity consenting, forthwith terminate the Actor's employment and be released from any obligation to render services to the Producer. (B) If a breach occurs as set forth in Paragraph (A) above, the Producer shall pay the Actor forthwith, in full, for all services rendered by the Actor, plus any other sums to which the Actor may be entitled by contract or by Equity Rules which have not yet been paid to the Actor, and for any damages that may arise under contractual law and also, as liquidated damages, no present basis of calculation existing, a sum equal to two weeks' contractual salary. Against said sum equal to two weeks' salary, no offset shall be allowed the Producer for earnings of the Actor in a new or subsequent engagement. These provisions shall apply to each season or period of employment contracted for. Disputes as to the applicability of the foregoing paragraph shall be subject to arbitration and neither Equity nor the Actor may finally determine any question of violation or breach on the part of the Producer, except as to violations of Paragraphs (A)(2) and
BREACHES BY PRODUCER a) In addition to any other remedies available in this agreement, the Producer must pay each Actor or Stage Manager affected a breach penalty payment of two weekscontractual salary or payment for 16 performances prorated, whichever is greater, as liquidated damages, if no present basis of calculation exists, should the Producer: (1) Breach an individual contract of employment, or any part thereof; or (2) Breach or fail to abide by or conform to any Rule which is a part of the employment contract of any Actor or Stage Manager; or (3) Make any false statement in connection with any employment agreement or regarding security; or (4) Employ or have employed any Actor or Stage Manager under any form of contract other than a Standard Form; or (5) Be in default as to any employment contract with any Actor or Stage Manager, or breach any such employment contract; or (6) Fail to deposit security at the time and in the form and amount required by Equity; or (7) Otherwise breach or fail to live up to any contract of employment or Equity Rule. b) In the event of a Producer’s breach as listed under section a), Equity consenting, an Actor or Stage Manager is released from the obligation to render services to the Producer and may terminate their employment. The Producer will pay the Actor or Stage Manager in full for all services rendered by them, plus any other sums to which they may be entitled by contract, in addition to a breach penalty payment as listed above. c) In the event of the Producer’s breach of a)(4) & (6) above, Equity may intervene, without penalty to itself and require any Actor or Stage Manager to not perform or rehearse until Equity determines the breach is adequately rectified.

  • Product Warranty and Product Liability Schedule 3.20 contains true, correct and complete copies of each of Company's and the Subsidiaries' standard product warranty or warranties (as hereinafter defined) in effect as of the date of this Agreement. Schedule 3.20 sets forth a true, correct and complete list of customer complaints for each of the four (4) preceding fiscal years. Schedule 3.20 contains a description of all product liability claims and similar Litigation relating to products manufactured or sold, or services rendered, which are presently pending or which, to VENA's knowledge, are threatened (whether or not covered by insurance). There are no defects in design, construction or manufacture of Products manufactured since January 1, 2000 which would materially adversely affect performance or create an unusual risk of injury to persons or property. None of the Products manufactured since January 1, 2000 has been the subject of any replacement, field fix, retrofit, modification or recall campaign by Company or any of the Subsidiaries and, to VENA's knowledge, no facts or conditions exist which could reasonably be expected to result in such a recall campaign. The Products have been designed and manufactured so as to meet and comply with all publicly available governmental standards and specifications in effect when they were designed or manufactured. The Products manufactured since January 1, 2000 have received all governmental approvals necessary to allow their sale and use. None of the Products manufactured, installed, fabricated, sold, supplied, produced, distributed, released, marketed or disposed of within Mexico, in each case prior to the Closing Date, by Company or any of the Subsidiaries contains or has contained or includes or has included asbestos in any manner or respect; provided, however, that VENA makes no representation or warranty with respect to (i) any claims alleging exposure to Products that contain or include, or have contained or included, asbestos that are brought in any jurisdiction other than Mexico and (ii) the subsequent manufacture, installation, fabrication, sale, supply, production, distribution, release, marketing, disposal or other use of the Products, or any exposure in connection therewith, outside of Mexico by any third parties.   • Marking of Licensed Products To the extent commercially feasible and consistent with prevailing business practices, Company shall ▇▇▇▇, and shall cause its Affiliates and Sublicensees to ▇▇▇▇, all Licensed Products that are manufactured or sold under this Agreement with the number of each issued patent under the Patent Rights that applies to such Licensed Product.

  • AUDIT OF LICENSED PRODUCT USAGE Contractor shall have the right to periodically audit, no more than annually, at Contractor’s expense, use of licensed Product at any site where a copy of the Product resides provided that: (i) Contractor gives Licensee(s) at least thirty (30) days advance written notice, (ii) such audit is conducted during such party’s normal business hours, (iii) the audit is conducted by an independent auditor chosen on mutual agreement of the parties. Contractor shall recommend a minimum of three (3) auditing/accounting firms from which the Licensee will select one (1). In no case shall the Business Software Alliance (BSA), Software Publishers Association (SPA), Software and Industry Information Association (SIIA) or Federation Against Software Theft (FAST) be used directly or indirectly to conduct audits, or be recommended by Contractor; (iv) Contractor and Licensee are each entitled to designate a representative who shall be entitled to participate, and who shall mutually agree on audit format, and simultaneously review all information obtained by the audit. Such representatives also shall be entitled to copies of all reports, data or information obtained from the audit; and (v) if the audit shows that such party is not in compliance, Licensee shall be required to purchase additional licenses or capacities necessary to bring it into compliance and shall pay for the unlicensed capacity at the NYS Net Price in effect at time of audit, or if none, then at the Contractor’s U.S. Commercial list price. Once such additional licenses or capacities are purchased, Licensee shall be deemed to have been in compliance retroactively, and Licensee shall have no further liability of any kind for the unauthorized use of the software.

  • Product Warranties Except as set forth in Schedule 3.19 and for warranties under Applicable Law, (a) there are no warranties express or implied, written or oral, with respect to the products of the Business and (b) there are no pending or threatened claims with respect to any such warranty, and neither Seller nor any Transferred Subsidiary has any liability with respect to any such warranty, whether known or unknown, absolute, accrued, contingent or otherwise and whether due or to become due.
