Business Procedures. All information concerning or relating to the way the Company and its Affiliates conduct their business, which is not generally known to the public or within the industry or trade in which the Company or its Affiliates compete (such as Company contracts, internal business procedures, controls, plans, licensing techniques and practices, supplier, subcontractor and prime contractor names and contacts and other vendor information, computer system passwords and other computer security controls, financial information, distributor information, and employee data) and the physical embodiments of such information (such as check lists, samples, service and operational manuals, contracts, proposals, printouts, correspondence, forms, listings, ledgers, financial statements, financial reports, financial and operational analyses, financial and operational studies, management reports of every kind, databases, employment or personnel records, and any other written or machine-readable expression of such information as are filed in any tangible media).
Business Procedures. All information concerning or relating to the way Company conducts its business which is not generally known to the public or within the Internet industry (such as internal business procedures, controls, internal telephone numbers, plans, licensing techniques and practices, supplier, subcontractor, consultant, and prime contractor names and contracts and other vendor information, computer system passwords and other computer security controls, financial information, distributor information, and employee data) and the physical embodiments of such information (such as check lists, samples, services and operational manuals, contracts, proposals, print-outs, correspondence, forms, listings, ledgers, financial statements, financial reports, financial and operational analyses, financial and operational studies, management reports of every kind, databases, personnel records pertaining to employees other than myself, and any other written or machine-readable expressions of such information as are fixed in any tangible media).
Business Procedures. Internal business procedures and business plans, including analytical methods and procedures, licensing techniques, manufacturing information and procedures such as formulations, processes and equipment, technical and engineering data, vendor names, other vendor information, purchasing information, financial information, service and operational manuals and documentation therefor, ideas for new products and services and other such information which relates to the way the Company conducts its business and which is not generally known to the public.
Business Procedures. Subject always to such policies as the Board of Directors shall adopt from time to time, the management of the Agency shall have the authority to:
(a) determine what risks, transactions and persons are eligible for support by the Agency;
(b) set the terms and conditions of policies of insurance, coinsurance and reinsurance or contracts of guarantee issued or supported by the Agency;
(c) establish the rates of premiums, fees and other charges, if any, applicable to each policy of insurance, coinsurance and reinsurance, and each contract of guarantee, issued or supported by the Agency; and
(d) bind the Agency under contracts of insurance, coinsurance, reinsurance and contracts of guarantee and to deal with all matters relating to claims under such contracts.

All information concerning or relating to the way the Company conducts its business and which is not generally known to the public (such as internal business procedures, licensing techniques and practices, supplier names and other vendor information, financial information, distributor information and employee data) and the physical embodiments of such information.
Business Procedures a) Unless specifically agreed otherwise, in writing, by Us and You, all business placed by You with Us will be billed by Us and the following procedure will apply:
i) The business submitted by You must comply with Our underwriting and administrative rules which rules are subject to change by Us in Our sole discretion and will be posted on the Agent Portal as it may be modified or amended from time to time.
ii) Upon Your determination that the business meets Our underwriting and administrative rules, the completed application together with initial down payment, as applicable, without deduction of commission shall be submitted in accordance with Our policies and procedures as set forth on the Agent Portal.
iii) Unless specifically agreed otherwise, in writing, by Us and You, we will be responsible for all premium billing and collection. In the event You collect any premiums on Our business, except down payments, other than as agreed in writing by Us and You, You will promptly account therefor and transmit to Us, as directed by Us within two (2) business days of receipt, the full amount so collected without making any deduction for any purpose.
iv) Unless agreed otherwise by You and Us, all applications, including down payments, and all other materials required by law and/or by Us to effectuate, select, elect, reject or change coverage(s) with Us, shall be submitted to Us by You within five (5) business days of receipt by You.
b) You shall keep full and accurate records of the business transacted by You under this Agreement and shall make Your records relating to Our business, including but not limited to financial and policy records, available to Us for inspection and audit. In addition, You shall forward to Us such reports of said business as We may reasonably prescribe from time to time. The parties agree that, following reasonable advance written notice to You, We may review, inspect and audit the records relating to Our business so maintained by You, in person at an office of Yours during ordinary business hours or at such place as We and You elect. Any review, inspection or audit conducted by Us at a site other than an office of You, shall be accomplished by Your sending the requested records to Us, via mail, facsimile or the internet, or such other manner of delivery, as We may direct from time to time. Any extraordinary costs of delivery will be borne by Us upon Our prior approval.

All information which is not publicly available or generally known in the industry or trade in which Company or its Affiliates compete pertaining to Company’s and its Affiliates’ marketing plans and strategies; forecasts and projections; marketing practices, procedures and policies; goals and objectives; quoting practices, procedures and policies; and customer data including the customer list, contracts, representatives, requirements and needs, specifications, data provided by or about prospective customers, and the physical embodiments of such information. - BUSINESS VENTURES. All information which is not publicly available or generally known in the industry or trade in which Company or its Affiliates compete concerning new product development, negotiations for new business ventures, future business plans, and similar information and the physical embodiments of such information.
Business Procedures. Buyer and Seller discuss and negotiate final terms and conditions on Sales and Purchase Agreement.
1) Buyer confirms Draft contract for Seller’s review.
2) Seller initials on every page, prints, signs, and seals and returns the contract to the buyer for buyer’s signature and seal (with amendments if any).
3) Buyer counters sign and seals the contract and sends via E–mail or Fax to seller.
4) The Buyer issues the Transferable Irrevocable Confirmed Documentary LC 100% at Sight via MT 700/701 for the monthly cargo value within 5 (Five) banking days after receipt of Proforma Invoice. This DLC must add payable within five (5) banking days of Buyer’s Bank receives Original Shipping Documents from Seller’s Bank. On second delivery and onwards, the Buyer shall issue the DLC within eight (8) banking days upon receipt of seller’s documents duly signed by the authorized persons which should include: Certificate of Insurance, Commercial Invoice, Original CCIC report from the loading port containing loading details of quantity and quality, B/L date and any other relevant documents. The documents will be e-mailed directly to the Buyer’s office promptly after completion of loading. All documents from the third party accepted by the Buyer. This action and cycle for forwarding of loading port information/documents and issue of DLC will continue until completion of the contracted quantity. The CCIC inspection charges will be borne by the seller.
5) The Seller will provide the Buyer with Scanned copies of the following documents for shipment:
1. A full set of 3/3 originals plus 3 N/N copies of Ocean ▇▇▇▇ of Lading made out “Clean on Board” marked “Freight Pre – Paid”. The B/L to be signed in original by the ship’s Master and “bank” issued or endorsed for the destination, identification of the loaded cargo with quantity expressed in Cartons and Metric Tons.
2. Original quantity and quality certificates plus two (2) copies as issued at loading port by an independent Surveyor Company SGS or Bureau Veritas (BV).
3. Certificate of origin plus two (2) copies countersigned by a local chamber of commerce.
4. Original signed commercial invoice plus two (2) copies based on the delivered quantity/quality as determined by clause 9.3 of this contract.
5. Original Packing list and 2 copies showing Gross/Net. TEC/PAP/ XXX/T2C545454001/2020 24TH September 2020 Chicken Parts Place (CIF) Any port of Mainland, China

4) The Buyer issues the Irrevocable, Confirmed, Transferable, Documentary LC 100% at Sight (MT 700) for the Trial and after for monthly cargo value within 5 (Five) banking days after receipt of Proforma Invoice. This Documentary LC must be payable within five (5) banking days of Buyer’s Bank receives. Shipping Documents.
5) On second delivery and onwards, the Buyer shall issue the Documentary LC within eight (8) banking days upon receipt of seller’s Pro-forma Invoice. All documents from the third party accepted by the Buyer.
6) The Seller will provide the Buyer with the following documents for shipment:
1. A Full Set, Ocean Bill of Lading, Clean on Board, Made Out to Order of Applicant, Marked ‘Freight Prepaid’.
2. Original quantity and quality certificates plus two (2) copies as issued at loading port by an independent Surveyor Company CCIC / SGS / Bureau Veritas (BV).
3. Certificate of origin plus two (2) copies countersigned issued by a local chamber of commerce.
4. Original signed commercial invoice plus two (2) copies based on the delivered quantity/quality as determined by clause 9.3 of this contract.
5. Original Packing list and 2 copies showing Gross/Net.
6. Full set, (including one original and one copy) of insurance policy for 110% of the invoice value against all risk (Institute Cargo Clause-A).
7. Veterinary Health Certificate in 1 original and 2 copies
8. Certificate of Export Declaration by Seller / Producer in 1 original and 2 copies.
Business Procedures. Internal business procedures and business plans, including analytical methods and procedures, licensing techniques, processes and equipment, technical and engineering data, vendor names, other vendor information, purchasing information, financial information (including Company fees and rates for services and other billing or collection related information), service and operational manuals and documentation therefor, ideas for new services and other such information which relates to the way Company conducts its business and which is not generally known to the public or within the industries or trades in which Company competes, except for those management techniques and tools introduced by Executive to Company (which shall be identified from time to time by letter from Executive to Company or otherwise, subject to Company's approval thereof).
