Client Dependencies. Without limiting the generality of Section 1 above, Dependencies on the Client for the delivery of the Services (“Client Dependencies”) include the following: (a) All Instructions from the Client are complete, validated and authenticated in accordance with procedures in place from time to time between the Client and Citi, and Instructions that are amended or cancelled by the Client are done so in accordance with procedures agreed from time to time between the Client and Citi. (b) The Client responding to requests for Instructions promptly. (c) The communications systems operated by the Client in respect of activities that interface with the Services remaining operational in all material respects. (d) The authority, accuracy, truth and completeness of any information or data provided by an Authorized Person of the Client that is reasonably requested by Citi or is otherwise provided to Citi in connection with the provision of the Services. (e) The validity and enforceability of all relevant Third Party Contracts and the Client remaining in compliance with its obligations thereunder and taking all commercially reasonable steps to enforce the terms of such Third Party Contracts, to the extent that such validity, enforceability and compliance have an impact on the ability of Citi to provide the Services. (f) In particular, for certain Services, the following dependencies will also apply: (i) Where the Client has to provide information to allow pricing functions to be performed (e.g. non-market or new issue prices), this is done by the applicable cut-off time. (ii) The Client providing required tax and capital gains tax data by the applicable cut-off times. (iii) The Client providing Citi with reasonable assistance and cooperation requested by Citi in connection with the management and resolution of discrepancies requiring escalation between the Parties. (iv) The Client informing Citi on a timely basis of any modification to, or replacement of, any agreement to which it is a party to the extent that such change is relevant in any material respect to the provision of the Services. (g) If Citi from time to time identifies a matter not listed in Section 2: (i) that can reasonably only be performed by the Client or its agents; and (ii) upon which Citi’s delivery of the Services is dependent, it shall notify the Client in writing and the Parties shall meet and seek to agree in good faith the inclusion of such matter in the list in Section 2 of this Schedule 3.
Client Dependencies. In connection with ASA’s provision of the SERVICES, PALMSOURCE shall perform those tasks and fulfill those responsibilities assigned to PALMSOURCE in the applicable SOW (“CLIENT RESPONSIBILITIES”). PALMSOURCE understands that ASA’s performance, and ASA’s completion of the DELIVERABLES by the TARGET COMPLETION DATE, may be dependent on PALMSOURCE’s timely and effective performance of certain CLIENT RESPONSIBILITIES hereunder and timely decisions and approvals by PALMSOURCE. ASA shall be relieved of its obligations hereunder to the extent that they are dependent on timely performance of the CLIENT RESPONSIBILITIES or other PALMSOURCE decisions and PALMSOURCE fails to timely perform such CLIENT RESPONSIBILITIES or make such decisions; for each day of delay attributable to PALMSOURCE, the TARGET COMPLETION DATE associated with such CLIENT RESPONSIBILITIES shall, upon written notice to PALMSOURCE, be advanced one day for all purposes of this AGREEMENT, including, without limitation, Section 7.1. The remedy set forth in the preceding sentence shall be ASA’s sole and exclusive remedy in the event of a breach by PALMSOURCE of its obligations under the first sentence of this Section 4.1.

Client Dependencies. The Client acknowledges that Delaware's performance is dependent on the Client's performance of the responsibilities identified as being those of the Client set out in this Agreement and/or as may be set out or referred to in any Statement of Work and on timely decisions and approvals by the Client. In addition to its other obligations under this Agreement and/or any Statement of Work, the Client shall perform the following Dependencies in a timely manner at no charge or cost to Delaware. Where reasonably required by Delaware, the Client shall provide: 6.2.1 reasonable access to office facilities including space, communications/phone and office applications; 6.2.2 remote access to the Client’s systems and development environments as necessary to provide the Services; 6.2.3 approval to remote working, where this does not adversely impact the Deliverables; 6.2.4 access to appropriately skilled and qualified Client Personnel (including senior management and potential users of the Services and/or Deliverables): 6.2.4.1 who have the aptitude, management skills and appropriate business understanding to identify requirements and assess recommended solutions; and 6.2.4.2 to meet any staffing requirements set out in the relevant Statement of Work and/or as otherwise agreed with Delaware as being reasonably required to liaise with Delaware Consultants in relation to the performance of each Party’s obligations under this Agreement and/or any Statement of Work.
