The Client Restrictions clause defines specific limitations or obligations imposed on the client within an agreement. Typically, this clause may restrict the client from using certain information, accessing particular resources, or engaging in activities that could conflict with the provider’s interests, such as sharing confidential data with third parties or using services for unauthorized purposes. Its core practical function is to protect the provider’s business interests and intellectual property by clearly outlining what the client can and cannot do, thereby reducing the risk of misuse or legal disputes.
Client Restrictions. Minors cannot use our services. Designated accounts may be held for minors but must be operated by a person over 18 years of age. We can manage a range of Trustee arrangements, including Bare Trusts.
Client Restrictions. 10.1. The Client must not make any communication with Talent:
10.1.1. that is not directly facilitated by Pickstar;
10.1.2. prior to confirmation of an Engagement; or
10.1.3. for reasons other than to confirm the material terms or deliverables of any or all parts of anthe Engagement;
10.2. The Client must not communicate with Talent or their agent/manager or representative during or following an Engagement, for the purposes of organising a future commercial engagement (unless that new potential future engagement is facilitated solely through Pickstar on the Terms of this Agreement); in the event this occurs Pickstar retains the right to charge a commission fee to the Client of up to 25% for each and all future Engagements between the Talent and Client; and which the Client will be responsible to pay in full within 7 days of receiving an invoice from Pickstar for each Engagement.
10.3. The Client agrees to immediately notify Pickstar if it is approached, directly or indirectly, to arrange a future engagement with the Talent by any party other than Pickstar and that it will advise the approaching party that any and all future Engagement with the Talent, their management/agency or representative will be through the Pickstar Website.
10.4. ato The Client must not access and/or engage in any use of the Account or the Website itself:
10.4.1. in any manner that abuses, seeks to reverse engineer or materially disrupts Pickstar’ networks, security systems or Website; or
10.4.2. to communicate to a Client in a manner that is not in accordance with this Agreement or otherwise is threatening, deemed as harassment, indecent, obscene, slanderous, or unlawful in any way;
10.5. use the Website for fraudulent or illegal purposes;
10.6. make any representations with respect to (or on behalf of) Pickstar or this Agreement;
10.7. use web-accelerated browsers or products (including but not limited to NetJet, NetSonic, MSIECrawler and Teleport-Pro), or other applications that are capable of copying large portions of text, information, data, graphics and all other protectable intellectual property contained on and available through, the Website (‘Protected Content’);
10.8. use robots and crawlers, or similar technology on the Website;
10.9. use any device, software or routine or the like to interfere or attempt to interfere with the Website functionality;

Client Restrictions. Client agrees not to: (a) use any robot, spider, scraper, or other similar automated data gathering or extraction tools, program, algorithm or methodology to search, access, acquire, copy or monitor any portion of the Services,
Client Restrictions. 6.1. Except to the extent required by Law, Client must not and must ensure that any Administrators do not:
(a) without the prior written consent of IDVerse, access or use the whole or any part of the Product or Services, except as expressly authorised by this Licence Agreement;
(b) copy or replicate, or directly or indirectly allow or cause a third-party to copy or replicate, the whole or part of any of the Product or the Associated Documentation except and strictly only to the extent such copying is necessary for the normal use of the Product;
(c) remove or obscure any proprietary notice (including any copyright, trademark, service mark, or tagline) or other notices contained in the Product or the Associated Documentation;
(d) circumvent any mechanisms in the Product intended to limit Client’s, an Administrator’s or a User’s (as applicable) use of or access to areas within or components of the Product;
(e) sub-licence, rent, sell, lease, distribute, exploit, commercialise or otherwise transfer to a third party the Product, Associated Documentation or any data or results provided to you except as expressly permitted under this Licence Agreement or except to regulatory bodies for the limited purpose to demonstrate Your compliance with Laws;
(f) vary, alter, modify, interfere with, reverse disassemble, decompile or reverse engineer, create derivative works, or otherwise seek to obtain or derive the source code from any part of the Product (or directly cause or permit any other person to do so), provided that IDVerse, on request and only if IDVerse is required to under the relevant jurisdiction, provides full and comprehensive details of how to make the Product interoperable with other software;
(g) use all or any of the Services, Product, Client Data, User Data or any data or results provided to You to train, improve or test (directly or indirectly, and either by Yourself or through a third party) any machine learning or artificial intelligence technology or process;
(h) combine the Product with any other software (including open-source software), where the combined software is subject to the GNU General Public Licence or any other licence that requires the combined software or the Product and its source- code to be made freely available; or
(i) conduct any penetration testing, performance testing or any form of load, volume or capacity testing (including denial of service testing) without first obtaining the prior written consent of IDVerse.

Client Restrictions. Client may only use the SAAS for its own lawful, internal business purposes. Additionally, Client shall not, and shall not permit any Users to:
(a) use the SAAS in violation of applicable laws, the legal right of any third party (including intellectual property rights or privacy rights), or this Agreement;
(b) use the SAAS to transmit, store or publish any content that is obscene, libelous, threatening or unlawful;
(c) provide, license, sublicense, sell, resell, distribute, rent, lease, lend, time-share, or otherwise commercially exploit or make available the SAAS to anyone other than an Authorized User, as expressly permitted herein;
(d) modify or create any derivative works based upon the SAAS;
(e) copy, reverse engineer, reverse assemble, decompile or otherwise attempt to derive source code from the SAAS or any part thereof (except to the extent that such restriction is not permitted under applicable law); make the SAAS available to any unauthorized entities, including without limitation, SAAS competitors; or
(f) interfere with or disrupt the integrity or performance of the SAAS , ▇▇▇▇’s computer systems or SAAS’s business operations; or
(g) remove or modify any proprietary notice or labels associated with any part of the SAAS.Should unexpected or inappropriate use of the SAAS (e.g., extraordinary bandwidth usage; uploaded files that contain malicious content, etc.) occur, SAAS may take steps necessary to remedy the issue, including without limitation, suspension or denial of access or suspension or inactivation of an Authorized User account.

Client shall not (a) make the Hosting Services available to anyone other than its authorized users, (b) sell, resell, rent or lease the Hosting Services, (c) use the Hosting Services to store or transmit infringing, libellous, or otherwise unlawful material, or to store or transmit material in violation of third-party privacy rights, (d) use the Hosting Services to store or transmit malware or other malicious code, (e) interfere with or disrupt the integrity or performance of the Hosting Services or third-party data contained therein, or (f) attempt to gain unauthorized access to the Hosting Services or their related systems or networks.
