Coordination of Operations. The Fund Company will cause appropriate personnel to be made available, as may be reasonably requested by FTC, to consult with FTC in coordinating operations pursuant to this Agreement.

The Transmission Customer shall furnish the Transmission Provider with generator annual maintenance schedules, advise the Transmission Provider if its Network Resource is capable of participation in system restoration and/or if it has black start capability. The Transmission Provider reserves the right to specify turbine and/or generator control (e.g., droop) settings as determined by the System Impact or Facilities Study or subsequent studies. The Transmission Customer agrees to comply with such specifications by the Transmission Provider at the Transmission Customer's expense. If the generator is not dispatchable by the Transmission Provider, the Transmission Customer shall notify the Transmission Provider at least 48 hours in advance of its intent to take its resource temporarily off-line and its intent to resume generation. In circumstances such as forced outages, the Transmission Customer shall notify the Transmission Provider as promptly as possible of the Network Resource's temporary interruption of generation and/or transmission.
Coordination of Operations. If a Party’s facilities are subject to PSCo’s functional control, the Parties will coordinate with the applicable functional directives from PSCo.
(a) Operation of Transmission and Distribution Systems shall be coordinated between City of Glenwood Springs and Transmission Provider, including the coordination of equipment outages, voltage levels, real and reactive power flow monitoring, and switching operations, which affect the PSCo’s Electric System, as required by the Tariff and this Agreement.
(b) If either City of Glenwood Springs or Transmission Provider operations are causing a condition on the interconnected electrical network where line loadings, equipment loadings, voltage levels or reactive flow significantly deviate from normal operating limits or can be expected to exceed emergency limits following a contingency, and reliability of the bulk power supply is threatened the Transmission Provider shall take immediate steps and make Reasonable Efforts to relieve, correct or control the condition. These steps include notifying other affected electric utility systems, as applicable, adjusting generation, changing schedules, initiating load relief measures, and taking such other reasonable action as may be required. Electrical equipment is to be operated within its normal rating established by the owning Party except for temporary conditions after a contingency has occurred.
(c) If either City of Glenwood Springs or Transmission Provider changes the normal operation of its system at the Point of Change in Ownership, the Parties shall consider any resulting benefits or adverse impacts to the reliability or transfer capability of the interconnected
(d) Each Party shall notify the Other as soon as practicable whenever:
(1) Problems with a Party’s facilities are detected that could result in mis-operation of interconnection protection or other interconnection equipment;
(2) The interconnection is opened by protective relay action;
(3) Interconnection equipment problems occur and result in an outage to a portion of PSCo’s Electric System;
(4) A Party intends to initiate switching to close the interconnection; or,
(5) A Party intends to initiate switching to open the interconnection.

The Company will timely notify FTC of any material changes in a fund or its sponsor. Material changes shall include, but not be limited to, the following: name changes, changes in CUSIP number, changes in underwriters, fund closures (either to new investors or permanently closed), changes in Blue Sky registration and implementation of short-term redemption rates. The Midwest ISO, as the NERC Reliability Coordinator, shall perform its functions in accordance with this Agreement, NERC and regional reliability policies and standards, Good Utility Practice, the Congestion Management Process Protocol, the TTC/ATC/AFC Protocol and the business practices, as developed and modified by the Parties for the term of the Agreement. The ▇▇▇▇ operating entities affected by this Agreement shall follow the instructions of Midwest ISO acting as the NERC Reliability Coordinator unless such actions would violate safety, equipment, or regulatory or statutory requirements.

Coordination of Operations. 3.1 PNM shall have the responsibility for operating the NNMTS and Path 48 in accordance with all applicable NERC and WECC reliability criteria, including adherence to the Accepted Path Ratings of Path 47 and Path 48, and:
3.1.1 Accepting EPE schedules, as applicable.
3.1.2 Accepting Parties’ and third-party schedules to EPE at the West Mesa 345 kV bus, as applicable.
3.1.3 Monitoring actual flows in the NNMTS.
3.1.4 Monitoring the impacts of facilities (generation/transmission) interconnected to the NNMTS that would unduly impact EPE’s West ▇▇▇▇- ▇▇▇▇▇▇ 345 kV line (“EP Line”) usage and the operation of the PST or any other NERC or WECC or EPE reliability criteria, and monitoring the output and impacts of PNM generating facilities interconnected to the EPE Balancing Area or the PNM Balancing Area to prevent the generation output from reaching a level that would unduly impact the reliability of, or exceed NERC or WECC reliability criteria for, any part of the PNM Balancing Area and/or the EPE Balancing Area.
3.1.5 It is the parties’ expectation that the need to address overload conditions on the PNM system would be addressed in the first instance through actions taken by PNM. If further action is required, then:
a. PNM may request the bypass of the PST or PST to not hold to firm schedules provided this is needed to mitigate ▇▇▇▇▇-▇▇▇▇▇▇▇ 115 kV line, Socorro-Elephant Butte 115 kV line or Elephant Butte-Frontier 115 kV line overloads and would not result in an adverse impact to the SNMTS. EPE will not unduly deny PNM’s request.
b. PNM may request the insertion or change in tap setting of the PST if scheduled flows from the Four Corners/San ▇▇▇▇ area to Albuquerque lead to (contingency) overloads in NNM and the PST can mitigate the overload condition, provided that such action would not result in an adverse impact to the flows and schedules in the SNMTS. Such insertion may not be possible if actual PST flows exceed the PST thermal rating. EPE will not unduly deny PNM’s request.
3.1.7 Notifying the Parties with NNM transmission rights of any required NNM curtailments.
3.1.8 Notifying EPE when the status of PNM’s series capacitors on 345kV NNMTS lines change or when other series capacitors on the NNMTS are installed or experience a change in status, this will support PST angle settings and may impact ▇▇▇▇▇▇ and/or ▇▇▇▇▇▇▇ PST settings.
3.1.9 Coordinating with EPE any NNMTS equipment maintenance which affects NNMIC when EPE’s PST is bypassed or out of service.

Coordination of Operations. The Contractor shall cooperate and coordinate fully with the County and County’s contractors and engineering and operations consultants during any Landfill-related construction or survey projects and/or ongoing operations, which may be undertaken during the Term of this Agreement. The County will provide advance notification to the Contractor of any construction projects to be implemented, and work with the Contractor to assure Landfill operations are coordinated with construction schedules and activity. The County will take reasonable measures to ensure that the Contractor’s operations are not unduly impacted by third party contractors or consultants.
