DUTIES AND OBLIGATIONS OF CLIENT. (a) Client shall furnish to Consultant such current information and data as necessary for Consultant to effectively complete the project defined in Schedule "A", and afford a sound basis its advice to the Client, and shall provide such current information on a regular basis. (b) Client shall be responsible for advising Consultant of any information or facts which would affect the accuracy of any prior data and information to Consultant.

DUTIES AND OBLIGATIONS OF CLIENT. (a) Client shall furnish to Consultant such current information and data as necessary for Consultant to understand and base its advise to the Client, and shall provide such current information on a regular basis, including at a minimum: i. Financial Information: Balance Sheet, Income Statement, Cash Flow Analysis and Sales Projections; Officers and Directors Resumes or Curriculum Vitae; and,

DUTIES AND OBLIGATIONS OF CLIENT. Client agrees to do the following (at its sole cost and expense) in connection with Legends’ performance of the Merchandise Services: A. Provide Legends with all reasonably-requested and/or necessary cooperation, access, information, and materials for Legends’ performance of the Merchandise Services, including, without limitation, the Marks, Embroidery Files, branding specifications, Member information (i.e., contact information, member number(s), and other membership details), and/or requirements set forth in Section XI(C); B. Generate awareness and drive traffic to the Online Store, including, but not limited to, the following: (1) cooperate with Legends with regard to a strategic marketing plan; (2) provide Legends with marketing assets and all available marketing support; (3) provide a navigation “shop” tab and other applicable promotional links on Client’s website homepage; and (4) market its Online Store, including, as applicable, via e-mail, social media, and on-site marketing and distribution; and C. Client acknowledges and agrees that Legends shall not be liable or deemed to be in breach of this Agreement should there be any failure and/or delay by Client in providing Legends and/or any Vendor with any of the foregoing in a timely, complete, and accurate manner.

DUTIES AND OBLIGATIONS OF CLIENT. (a) Client shall furnish to Consultant such current information and data as necessary for Consultant to understand end base its advice to the Client, and shall provide such current information on a regular basis, including at a. minimum (i) Financial Information Balance Sheet, Income Statement, Cash Flow Analysis and Sales Projections; Officers and Directors Resumes or Curriculum Vitae; and, (ii) Shareholder Information; Shareholder(s) List. Debenture or preferred Stock or Option or Warrant Agreements which may affect the number of shares to be issued or outstanding. (b) Client shall furnish Consultant with full and complete copies of all filings with all Federal and States securities Agencies. with full and complete copies of all Shareholder Reports and Communications whether or not prepared with assistance of Consultant, with all data and information supplied to any Analyst, Broker/Dealer, Market-Maker, or any other member of the Financial Community, Including specifically most recently filed Form 10 or Form l5c2(11) or Offering documents (such as 504, 505 fir 506) or Private Placement Documents. (c) Client will notify Consultant of any private or public offering of securities, including 6-8 or Regulation S or A, at least Ten (110) days prior to making such an offering during the term of this Consulting Agreement. (d) Client will notify Consultant in writing at least 30 days prior to any insider ailing of clients stock. (e) Client will not cause to be affected a change or split of the Client stock during the terms of this Agreement without prior written notice to Consultant. (f) Client shall be responsible for advising Consultant of any information or facts which would affect the accuracy of any prior data and information to Consultant so that Consultant.

DUTIES AND OBLIGATIONS OF CLIENT. A. Client agrees that all losses subject to this Agreement will be reported to Contractor, unless otherwise agreed with Client. Client will provide all information relevant to Client's losses to Contractor in order for Contractor to fulfill its duties and obligations as set out in this Agreement. B. Client agrees to compensate Contractor for Service Fees as outlined in Exhibit A (plus any applicable sales taxes or other applicable taxes) due and payable to ▇▇▇▇▇▇▇ ▇▇▇▇▇▇, ▇.▇. ▇▇▇ ▇▇▇▇, ▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇▇▇, within thirty (30) days of receipt of an adequately documented invoice. C. Client agrees to request dedicated adjusters, if required, within seventy-two (72) hours of the specific catastrophe date. D. Client agrees that Contractor will have the right to renegotiate the Service Fees in the event of statutory, regulatory or judicial changes that require additional activities not contemplated at the inception of this Agreement.

DUTIES AND OBLIGATIONS OF CLIENT. Delivery of the Services is predicated on Client and/or its designees (e.g., contractors, architects, engineers) providing all requested documentation. Client will also be responsible for any follow-up documentation requested, and that the actual completed project met or exceeded the requirements of the incentive. The parties recognize that achievement of these tax benefits requires cooperation from third party designees, the facilities and tax departments of Client. ETSI will facilitate this cooperation, provide expert tax advice throughout the process, and provide IRS audit documentation, verifying all submissions related to the Inflation Reduction Act, as needed, and providing any further calculations requested.

DUTIES AND OBLIGATIONS OF CLIENT. Client shall, at its own cost and expense, identify any of its participants that desire to be visited by a canine member of the PRAAT team, along with said canine’s PRAAT-certified owner/handler.

DUTIES AND OBLIGATIONS OF CLIENT a. Client agrees to promptly and timely provide any and all documentation requested by Consultant to perform the obligations as set forth herein b. Client agrees to cause its officers, directors and/or employees to attend all meetings, given reasonable and sufficient prior notice of time, place, and agenda, which may be scheduled by Consultant for the purpose of furthering the business of Client and carrying out Consultant’s duties as defined herein. c. Client agrees to promptly and timely transfer and convey any and all compensation to Consultant as provided herein.
