The Engineering Change Requests clause establishes a formal process for proposing, reviewing, and implementing modifications to the technical aspects of a project after the contract has been signed. Engineering Change Requests. Licensee will be responsible for providing all necessary information to properly assess any NRE or consulting work requested. Licensor will prepare an SOW based on the information provided, and any changes to an agreed work statement will require a written Engineering Change Request from Licensee. Licensor will determine what impact the ECR may have on the original estimates for the project.
Engineering Change Requests. NCR and Solectron are required to issue an RFC when requesting a change to a product, assembly, component or a process that is defined in NCR’s product specification. This includes but is not limited to requests resulting from cost reduction efforts, manufacturing problems, and supplier changes.
Engineering Change Requests. From time to time during or after the development of the [***] System, OEM may submit an engineering change request (“ECR”) requesting one or more Engineering Changes to the [***] System. Company shall respond in writing to any such ECR within twenty (20) days after receipt of the ECR. If Company initiates an Engineering Change pursuant to an ECR from OEM, Company shall notify OEM of the Engineering Change, which notification shall include, at a minimum: (i) the proposed change; (ii) any resulting change in price for the [***] System (provided that any increases in price shall not exceed the increase in Company’s actual manufacturing costs) or proposed non-recurring engineering charges (provided that any such charges shall not exceed the man-hours of the personnel directly assigned to perform the engineering changes, multiplied by the applicable standard labor rates of such personnel); and (iii) the amount of time required to implement such a change. If the proposed Engineering Change is not acceptable, OEM will notify Company of its rationale to support the objections within thirty (30) days and Company shall respond to such notification in writing within ten (10) days after receipt of such notification. Company will not initiate an Engineering Change without the prior written consent of OEM.
Engineering Change Requests. (a) Any ECRs will be charged separately to Fujitsu by Ross ▇▇ an itemized statement at the rate of $20,000 per man-month (or a pro rata charge for any fraction thereof) plus materials at cost and travel expenses, if any. If special CAD tools or other software or hardware applicable to the ECR must be acquired by Ross ▇▇▇ the implementation of the ECR, the purchase of any such tools or hardware shall be pre-approved by Fujitsu in writing and Fujitsu and Ross ▇▇▇l separately agree, in advance in writing, on an item by item basis, on the allocation of the cost of such tools or hardware (and any ownership or other rights of the Parties with respect thereto) between the Parties. (b) Ross ▇▇▇ll forward to Fujitsu invoices referencing this Agreement and setting forth the amount of charges attributable to ECRs and related expenses after Ross' ▇▇ceipt of Fujitsu's written notice of acceptance of the corresponding ECRs. Such invoices shall be forwarded by Ross ▇▇ Fujitsu by facsimile to the address set forth for notices in Section 14.11. Fujitsu shall pay any invoiced amounts by the twentieth (20th) day of the calendar month following the month in which Fujitsu receives the Ross ▇▇▇oice, provided that if such invoice is received after the twentieth (20th) day of any calendar month Fujitsu shall pay any invoiced amount by the twentieth (20th) day of the calendar month which is two months after the month in which Fujitsu receives the Ross ▇▇▇oice.
Engineering Change Requests. ECR") 9.1 The Supplier shall not alter any of the Goods except as directed in writing by the Customer but the Customer shall have the right, from time to time during the Term, by notice in writing to direct the Supplier to add or to omit, or otherwise vary, the Goods. The Supplier shall carry out such variations and be bound by the same conditions, so far as is applicable, as though the variations were stated in the Agreement. 9.2 Where the Supplier receives any such direction from the Customer which would occasion an amendment to the formula price set forth in section 5, the Supplier shall, as soon as practicable, and before implementing such ECR advise the Customer in writing to that effect, giving the amount of any such price change, ascertained and determined at the same method of pricing as that contained in the original and agreed quotation. The Supplier shall submit such statement to the Customer in the form attached as Attachment C. The parties shall negotiate in good faith to reach agreement on the amendment to the formula price. The parties shall also negotiate in good faith with regard to the coverage of certain costs incurred in connection with such ECR, including obsolete inventory, retooling costs, rework costs and technical file modifications. In the event that the parties cannot reach a mutually agreeable amendment in a reasonable period of time, then either party may request that the matter be resolved at the senior executive level. In such event, the Chief Executive Officer or Chief Operating Officer of the Customer and Supplier shall negotiate in good faith to reach a mutually agreeable amendment. The Supplier shall not implement the ECR before an agreement is reached by the Supplier and the Customer on the amended price and the coverage of certain costs (if any) as mentioned here above.

  • Engineering Changes Customer may request that Flextronics incorporate engineering changes into the Product by providing Flextronics with a description of the proposed engineering change sufficient to permit Flextronics to evaluate its feasibility and cost. Flextronics will proceed with engineering changes when the parties have agreed upon the changes to the Specifications, delivery schedule and Product pricing and the Customer has issued a purchase order for the implementation costs.

  • PRODUCT AND PRICING CHANGE REQUESTS Supplier may request Equipment, Product, or Service changes, additions, or deletions at any time. All requests must be made in writing by submitting a signed Sourcewell Price and Product Change Request Form to the assigned Sourcewell Supplier Development Administrator. This approved form is available from the assigned Sourcewell Supplier Development Administrator. At a minimum, the request must: • Identify the applicable Sourcewell contract number; • Clearly specify the requested change; • Provide sufficient detail to justify the requested change; • Individually list all Equipment, Products, or Services affected by the requested change, along with the requested change (e.g., addition, deletion, price change); and • Include a complete restatement of pricing documentation in Microsoft Excel with the effective date of the modified pricing, or product addition or deletion. The new pricing restatement must include all Equipment, Products, and Services offered, even for those items where pricing remains unchanged. A fully executed Sourcewell Price and Product Change Request Form will become an amendment to this Contract and will be incorporated by reference.

  • Staffing Changes The Director’s prior written approval is required for the Consultant to remove, replace or add to any of its staffing identified in Attachment B of an Approved Service Order.

  • Change Requests 4.1.1. Either party can request changes to the Service.

  • Term SOFR Conforming Changes In connection with the use or administration of Term SOFR, the Administrative Agent will have the right to make Conforming Changes from time to time and, notwithstanding anything to the contrary herein or in any other Loan Document, any amendments implementing such Conforming Changes will become effective without any further action or consent of any other party to this Agreement or any other Loan Document. The Administrative Agent will promptly notify the Borrower and the Lenders of the effectiveness of any Conforming Changes in connection with the use or administration of Term SOFR.
