The Department will have an irrevocable, fully paid-up limited license to use the Contractor’s Proprietary Software exclusively for purposes of operating the Department’s Pharmacy Point of Sale program, and for no other purpose. The Department shall hold the Contractor’s Proprietary Software confidential, and shall not disclose or make Contractor’s Proprietary Software available to any other person or entity, except any independent contractor hired by the Department for the purpose of assisting in the maintenance and support of the Contractor’s Proprietary Software. Such independent contractor shall be required to maintain the same degree of confidentiality concerning the Contractor’s Proprietary Software as the Department. The Department shall not:
(1) Copy the any of the Contractor’s Proprietary Software;
(2) Decompile, disassemble, or reverse engineer all or any portion of the Contractor’s Proprietary Software;
(3) Distribute, market, rent, lease or transfer to any third party any portion of the Contractor’s Proprietary Software.
