The Hosted Solution clause defines the terms under which a service provider delivers software or services to a customer via remote servers, rather than through on-premises installation. Typically, this clause outlines the provider’s responsibilities for maintaining, updating, and securing the hosted environment, and may specify user access rights, uptime commitments, and support provisions. Its core practical function is to clarify the scope and limitations of the hosted service, ensuring both parties understand their obligations and the nature of the solution being provided.
Hosted Solution a. Should the ATP include a Hosted Solution, We hereby grant You a worldwide, non-exclusive licence to use our Hosted Solution for your internal business purposes during the Term as stipulated by the ATP. This licence may only be used by your officers, employees, agents and subcontractors. You may not sub-license its right to access and use the Hosted Solution;
b. You must not conduct or request that any other person conduct any load testing on the Platform or Hosted Services .
c. For the avoidance of doubt, downtime caused directly or indirectly by any of the following shall not be considered a breach of this agreement: (a) a Force Majeure Event, (b) a fault or failure of the internet or any public telecommunications network, (c) a fault or failure of the Customer's computer systems or networks, (d) any breach by the Customer of this agreement; or (e) scheduled maintenance carried out in accordance with this agreement. We will use commercially reasonable efforts to mitigate downtime and ensure the security and integrity of Your Data all the while keeping You informed by email about the event and its resolution.
d. You must not use the Hosted Services in any way that causes, or may cause, damage to the Hosted Services or Platform or impairment of the availability or accessibility of the Hosted Services.
e. For the avoidance of doubt, You do not have rights to access the software code (including object code, intermediate code and source code) of the Platform, either during or after the Term.
f. We are continuously improving our Hosted Solutions and may apply updates from time to time. For updates or planned maintenance that may affect the availability of Your Hosted Solution, We will provide you with 72 hours notice. In the rare instance where an update is required within 72 hours, We will provide you with as much notice as possible for unplanned emergency updates.
Hosted Solution. All intellectual property rights associated with the Pro Materials remain the property of PayPal, or WorldPay UK Limited or HSBC Bank Plc (collectively the “Banks”) (as the case may be).
Hosted Solution. “Hosted Solution” means a configuration of a Host Web Site, Network, Software, Third Party Software and Hosting Services that Hyland provides for use by Customer under this Agreement.
Hosted Solution. Notwithstanding anything to the contrary contained herein, except for the limited license rights expressly provided under a fully paid Subscription, PortX and its suppliers have and will retain all right, title and interest in and to the Hosted Solution (including, without limitation, all patent, copyright, trademark, trade secret and other intellectual property rights) and all copies, modifications and derivative works thereof. End Customer acknowledges that it is obtaining only a limited license right to access and use (as the case may be) the Hosted Solution and that irrespective of any use of the words “purchase,” “sale,” or like terms hereunder no ownership rights are being conveyed to End Customer under this Agreement or otherwise. In addition, PortX will have a royalty-free, worldwide, irrevocable, perpetual license to use for any purpose any suggestions, enhancement requests, recommendations or other feedback provided by End Customer, including Users, relating to the Hosted Solution.
Hosted Solution. If Licensee purchased the Hosted Solution, the following additional terms and conditions shall apply:
(a) Upon the prior written request of Licensee, Panopto shall grant the Licensee access to the Licensed Products, for a period of thirty (30) days after termination of this Agreement, solely to allow Licensee to download all Licensee Content from the Licensed Products. Other than the foregoing, Panopto shall have no obligation to make the Licensee Content available to Licensee at any time following the Term of this Agreement, or to make the Licensee Content available, or for use with or in, in any third party service provider or in any format other than as it is maintained in the Licensed Products. Licensee acknowledges and agrees that following the Term of this Agreement, all Licensee Content will be removed from Panopto’s servers and will no longer be available for Licensee’s or Panopto’s use or access. Panopto shall be permitted to use Licensee Content provided or made available from Licensee as necessary to maintain and support the Hosted Solution provided to Licensee hereunder. Licensee shall be solely responsible for maintaining copies of the Licensee Content to the extent that Licensee deems necessary.
(b) Panopto will provide the Licensed Products in accordance with the standards attached hereto as Appendix C (which may be updated from time to time, upon prior notice to Licensee, and provided further, that such updates shall not materially affect the existing service levels).
Hosted Solution. For the Subscription Period, Crimson Tide shall use its reasonable endeavours to: (a) make the Hosted Solution available for ninety-nine per cent (99%) of the time (measured each calendar month), except during Maintenance; and (b) make Support available in accordance with the terms of this Contract. By providing fourteen (14) days’ written notice to the Customer (or such shorter period as is reasonable in the event of an emergency), Crimson Tide shall be entitled to provide Maintenance. During the provision of Maintenance, the Hosted Solution may be unavailable. Crimson Tide shall use its reasonable endeavours to ensure that the unavailability of the Hosted Solution during the provision of Maintenance will not exceed more than fourteen (14) days in any calendar year. Crimson Tide grants to the Customer a non-exclusive right during the Subscription Period to permit the Licensed Users to use the Hosted Solution with the Device Software solely for the Customer’s internal business purposes, subject to the terms of this Contract, and provided that the Customer does not: (a) sub-license access to, or use of, the Hosted Solution; and / or (b) permit third parties to use (whether directly, or as part of a managed service) the Hosted Solution. Crimson Tide shall, on or before the Start Date, provide the Customer with log-in user details and passwords for the Licensed Users to access the Hosted Solution. The Customer shall (and shall procure that Licensed Users shall) ensure that such log-in details and passwords are kept secure, and are protected from unauthorised disclosure and / or use. The Customer shall: (a) ensure that all Licensed Users comply with the terms of this Contract in respect of their use of the Hosted Solution; and (b) maintain an up-to-date list of all Licensed Users, and shall provide such list to Crimson Tide on request. The Customer agrees that the data storage size of the Hosted Database is subject to a reasonable storage limit (as determined by Crimson Tide). Crimson Tide reserves the right to charge the Customer for data storage capacity in excess of such reasonable storage limit at Crimson Tide’s then current standard rates.
Hosted Solution. (a) Throughout the Term, Google will provide searchable access to the Google Digital Copy for the CIC Universities, their patrons, researchers and staff via a website hosted by Google (the “Hosted Solution”). To the extent portions of the Google Digital Copy are or become in the public domain or, if in copyright, to the extent Google has obtained the written permission of the copyright holder, Google will (i) serve and display to users of the Hosted Solution full-sized digital images corresponding to those portions, and (ii) make available to users of the Hosted Solution full text of content for download. For all other portions of the Google Digital Copy, Google shall serve and display search results and text or content only to the extent permitted under applicable Copyright Laws.
(b) The Hosted Solution will be provided at no charge to the CIC or the CIC Universities.
(c) The design, layout, content, functions, features, reliability and performance of the Hosted Solutions will be determined by Google but substantially similar in quality and efficiency to that provided by Google to any Other Library.
(d) During the Term, a CIC University may report problems with the Hosted Solution to Google’s technical contact and the Parties will work to resolve such problems in a commercially reasonable time and manner.
Hosted Solution. You may acquire Appliances as the plat form for hosting your Value-Add Components as part of a Solution for Customers as further described below. For purposes of this Attachment, a “
Hosted Solution. Subject to payment of any applicable service fees, as well as the other terms and conditions of these Terms of Use, Omniboard hereby grants to you a nonexclusive and nontransferable license to: (i) remotely access the Hosted Service via the Internet; and (ii) use the Hosted Service for the Customer’s own internal business purposes solely in connection with monitoring and managing Devices within a Building (the “Authorized Purpose”) and in accordance with the Documentation.
Hosted Solution. RPM will provide access to the Software hosted by RPM on a platform of RPM’s choosing. The Customer’s Users will be located at branches or customer sites with reasonable network access. Customers will access the Hosted Solution using the internal company network or over a secure internet connection.
