Institutional Requirements. Any medical institution undertaking the management of morbidly obese, super obese, and super-super obese patients with laparoscopically adjustable gastric banding (LAGB) and/or procedures requiring stapling of the stomach and the gut, such as sleeve gastrectomy, roux-en-y gastric bypass (RYGBP) and biliopancreatic diversion (BPD)/duodenal switch (DS)* or revision cases should, apart from points described in guidelines for PBIs, ensure that they fulfil the following additional conditions: 1. Ensure that the director of bariatric surgery has at least five years’ experience in the field and is capable of performing advanced bariatric procedures successfully. 2. Have comprehensive and full in-house consultative services required for the care of Bariatric surgical patients, including critical care services. 3. Have the complete range of necessary equipment, instruments, items of furniture, wheel chairs, operating room tables, beds, radiology facilities such as CT scan and other facilities specially designed and suitable for morbidly and super obese patients. 4. Have a written informed consent process that informs each patient of the surgical procedure, the risk for complications and mortality rate, alternative treatments, the possibility of failure to lose weight and his/her right to refuse treatment. 5. Maintain details of the treatment and outcome of each patient in a digital database. 6. Provide all necessary assistance and advise the staff to attend relevant meetings, subscribe to international journals and become members of a national Bariatric Society. 7. Institutional Requirements. As the position of Resident Physician involves a combination of supervised, progressively more complex and independent patient evaluation and management functions and formal educational activities, the clinical competence of the Resident Physician is evaluated on a regular basis. The program maintains a confidential record of the evaluations. The position of Resident Physician entails provision of care commensurate with the Residents Physician's level of advancement and competence, under the general supervision of appropriately privileged attending teaching staff. These functions and responsibilities shall include but not be limited to the following: The Resident Physician participates in safe, effective and compassionate patient care, which includes such functions as the initial evaluation of the patient, the ordering of diagnostic tests, interpretation of results, performance of specific procedures, ongoing therapeutic management of patients, emergency management and consultations. And following structured handoff and transitions of care protocol that facilitates both continuity of care and patient safety. Residents will play an active role with system improvement processes, promoting patient safety and enhancing the quality of patient safety. The Resident Physician develops an understanding of healthcare disparities, ethical, socioeconomic and medical/legal issues that affect graduate medical education and how to incorporate cost awareness and risk benefit analysis in the provision of patient care; i.e., the Resident Physician shall be required to use EPIC or the current medical records system utilized by ▇▇▇▇▇▇ Medical Center in all clinical areas/units.   • Additional Requirements As a condition precedent to the execution and Delivery, the registration of issuance, transfer, split-up, combination or surrender, of any ADS, the delivery of any distribution thereon, or the withdrawal of any Deposited Property, the Depositary or the Custodian may require (i) payment from the depositor of Shares or presenter of ADSs or of an ADR of a sum sufficient to reimburse it for any tax or other governmental charge and any stock transfer or registration fee with respect thereto (including any such tax or charge and fee with respect to Shares being deposited or withdrawn) and payment of any applicable fees and charges of the Depositary as provided in Section 5.9 and Exhibit B, (ii) the production of proof reasonably satisfactory to it as to the identity and genuineness of any signature or any other matter contemplated by Section 3.1, and (iii) compliance with (A) any laws or governmental regulations relating to the execution and Delivery of ADRs or ADSs or to the withdrawal of Deposited Securities and (B) such reasonable regulations as the Depositary and the Company may establish consistent with the provisions of the representative ADR, if applicable, the Deposit Agreement and applicable law.

Borrower may contest in good faith any such law, ordinance, or regulation and withhold compliance during any proceeding, including appropriate appeals, so long as Borrower has notified Lender in writing prior to doing so and so long as, in Lender’s sole opinion, Lender’s interests in the Collateral are not jeopardized. Lender may require Borrower to post adequate security or a surety bond, reasonably satisfactory to Lender, to protect Lender’s interest.

  • Governmental Requirements The Provider warrants and represents that it will comply with all governmental ordinances, laws and regulations.
