Job Description and Duties. 5.1 Your main tasks and responsibilities are set out in the written job description at Schedule I. The Company reserves the right to require you to change your job title and/or job description and/or reporting structure or to require you to perform a different job or different or additional duties consistent with your status and any such change will not constitute a change of the terms and conditions of your employment.
5.2 You must perform your job to the best of your ability and to comply with any duties implied by law.
5.3 During the Appointment you shall:
5.3.1 unless prevented by Incapacity, devote substantially the whole of your time, attention and abilities to the business of the Company and any Group Company of which you are an officer or consultant;
5.3.2 diligently exercise such powers and perform such duties as may from time to time be assigned to you by the Company together with such person or persons as the Company may appoint to act jointly with you;
5.3.3 comply with all reasonable and lawful directions given to you by the Company;
5.3.4 promptly make such reports to your Manager in connection with the affairs of any Group Company on such matters and at such times as are reasonably required;
5.3.5 report your own wrongdoing and any wrongdoing or proposed wrongdoing of any other employee or director of any Group Company to your Manager immediately on becoming aware of it;
5.3.6 use your best endeavours to promote, protect, develop and extend the business of any Group Company; and
5.3.7 consent to the Company monitoring and recording any use that you make of the Company’s electronic communications systems for the purpose of ensuring that the Company’s rules are being complied with and for legitimate business purposes.
5.4 You shall comply with the Company’s anti-corruption and bribery policy and related procedures at all times.
5.5 You shall comply with any rules, policies and procedures set out in the Staff Handbook. The Staff Handbook does not form part of this Contract and the Company may amend it at any time. To the extent that there is any conflict between the terms of this Contract and the Staff Handbook, this Contract shall prevail.
5.6 All documents, manuals, hardware and software provided for your use by the Company, and any data or documents (including copies) produced, maintained or stored on the Company’s computer systems or other electronic equipment (including mobile phones), remain the property of the Company.

Employee shall perform such work as may be required of Employee by Company in accordance with the job description, as well as the instructions, directions and control of Company and at such reasonable time and places as Company may determine. 4.2 The Executive will:

4.2.4 behave at all times in a fit and proper manner consistent with the high profile and good reputation of the Company and do nothing which may damage such profile or reputation or bring the Company or any Group Company into disrepute; and
4.2.5 at all times exercise reasonable care and skill in the performance of his duties.
4.3 The Executive will not, without the prior written consent of the Board or the chief executive officer of the Holding Company in the U.S. (CEO):
4.3.1 incur on behalf of the Company or any Group Company any capital expenditure in excess of (pound)25,000 (twenty five thousand pounds) or such other sum as may be authorised from time to time by resolution of the Board or as directed by the CEO;
4.3.2 enter into on behalf of the Company or any Group Company any commitment contract or arrangement which is otherwise than in the normal course of business or is outside the scope of his normal duties or is of an unusual or onerous or long-term nature unless already contained in an approved business plan; or
4.3.3 engage any person on terms which vary from those established from time to time by resolution of the Board unless already contained in an approved business plan.
4.4 The whole of the Executive's working time, attention and abilities will be devoted to the business and affairs of the Company and of any relevant Group Company.

b. Help principals if needed, to select and assign mentor teachers to resident educators.
c. Remind and provide notice to mentors and resident educators of the opportunity to attend mentor and resident educator training.
d. Guide resident educators in future years of the Resident Educator program by coordinating their participation through district cohort groups.
e. Help to provide necessary resources for support and professional development to both resident educators and mentors when needed.
f. Facilitate and check progress assessments for the resident educator to verify they are meeting the summative assessment requirements for the program.
g. Be an "in-between" person for the resident educator and/or mentor if issues arise and be able to provide guidance for both individuals, through the ODE resident educator recommendations and guidelines.
h. Send out Mentor applications to all teachers
i. Screen and pre-approve applicants.
j. Maintain an up to date list of pre-approved mentors and trained mentors.

4.3.1 enter into commitments, contracts or arrangements which are outside the ordinary course of business;
4.3.2 purchase, charge, encumber or sell property or building equipment;
4.3.3 make one-off purchases exceeding the amount of £75,000 (Seventy Five Thousand pounds).
4.3.4 appoint agents or appoint or dismiss employees earning the equivalent of £50,000 (fifty thousand pounds) or more per annum;
4.3.5 enter guarantees or other securities or enter into long-term obligations, with the exception of entering into purchasing and supply contracts;
4.3.6 agree, alter or terminate leasing, renting, licensing or similar long-term contracts, which bind the Company or any Group Company for more than two years or whereby capital expenditure of more than £75,000 (seventy five thousand pounds) is incurred;
4.3.7 purchase, alter, sell, or give up participation of or in other companies;
4.3.8 invest or allocate monies other than in accordance with the annual finance budget;
4.3.9 set up companies or purchase options or rights of pre-emption in shares in return for payment;
4.3.10 reach settlements or issue claims if they exceed £20,000 (twenty thousand pounds) in any individual case;
