KNOWLEDGE REQUIRED Sample Clauses
The "Knowledge Required" clause defines the level or type of knowledge that a party is expected to possess or exercise in relation to the agreement. Typically, this clause clarifies whether a party is held to actual knowledge, constructive knowledge, or knowledge that could reasonably be expected given their role or expertise. For example, it may specify that a party is only responsible for facts they actually know, or for information they should have discovered through reasonable inquiry. The core function of this clause is to set clear expectations and boundaries regarding what information a party is accountable for, thereby reducing disputes over whether a party should have been aware of certain facts or circumstances.
