Mitigation Clause Samples

A Mitigation clause requires a party who suffers a loss or damage to take reasonable steps to minimize the impact of that loss. In practice, this means that if a party is harmed by a breach of contract or other adverse event, they cannot simply allow the damages to accumulate without attempting to reduce them, such as by seeking alternative suppliers or services. The core function of this clause is to prevent unnecessary or avoidable losses and to ensure that the responsible party is not held liable for damages that could have been reasonably prevented.
