OBLIGATION OF BIDDER. A. By submission of a Bid, each Bidder warrants that Bidder has inspected the site and has read and is thoroughly familiar with the Contract Documents (including all addenda). The failure or omission of any Bidder to examine any form, instrument or document shall in no way relieve any Bidder from any obligation in respect to the Bid. B. Special attention is directed to Article 2 and Article 4, “Insurance” contained at pages 00700-3 through 00700-5 in the General Conditions. The Owner requires (1) “Worker’s Compensation and Employer’s Liability Insurance,” (2) “Commercial General and Umbrella Liability Insurance,” (3) “Business Auto and Umbrella Liability Insurance,” and (4) “Materials and Floater” Insurance. For each of the required policies, the Owner requires a certificate of insurance at least quarterly, a copy of the endorsement of the insurance company showing the Owner as an additional insured, and a copy of the insurance policy declaration and any necessary endorsements. C. Attention is further directed to Paragraph 6 of 00500, Contract Agreement and Article 9 of 00700, General Conditions regarding assignments. Prior written consent of the Owner is required for any assignment of any portion of this Contract, including any assignment due to “buyout” of Bidder or other acquisition of Bidder where the Bidder is a corporation or where Bidder is 50 percent or more owned by a corporation, firm, or person.

OBLIGATION OF BIDDER. At the time of the opening of bids, each Bidder will be presumed to have inspected the site and the conditions relating to construction of the Project, and to have read and become thoroughly familiar with the plans and Contract documents, including all addenda. The failure or omission of any Bidder to visit the site or to examine any form, instrument or document shall in no way relieve any Bidder from any obligation with respect to his bid.
OBLIGATION OF BIDDER. Bidder shall ensure that Bidco duly performs, satisfies and discharges on a timely basis each of the covenants, obligations and liabilities applicable to Bidco under this Agreement, and Bidder shall be jointly and severally liable with Bidco for the due and timely performance and satisfaction of each of said covenants, obligations and liabilities.
OBLIGATION OF BIDDER. By submitting a bid, the Bidder covenants and agrees that he has satisfied himself, from his own investigation of the conditions to be met, that he fully understands his obligation and that he will not make any claim for, or have right to cancellation or relief from the Agreement because of any misunderstanding or lack of information. At the time of the signing of the Agreement, the Lessor shall certify that: i. The Lessor has knowledge and experience in financial and business matters that renders it capable of evaluating the merits and risks of investment in the Agreement and has received such information as it has deemed necessary to make such evaluation, and ii. The Lessor is able to bear the economic risk of investment in the Agreement. The Commonwealth has not prepared an official statement or other offering materials in connection with this Invitation for Bids or the Master Lease Agreement and does not intend to prepare such materials. The Commonwealth shall be under no obligation to provide any legal opinions or other representations, except those described herein. No Bidder may undertake any public offering of the Agreement or any Appendix thereto or any interest or certificates therein, except as provided in the Agreement.
OBLIGATION OF BIDDER. 1.5.1 Each bidder shall be presumed to have examined the bid and to be thoroughly familiar with all specifications and requirements of this bid. The failure to or omission to examine any form, instrument or document shall in no way relieve bidder from any obligation in respect to this bid. The bid will be considered an acknowledgment on the part of the bidder of familiarity with all such conditions.
OBLIGATION OF BIDDER. At the time of the opening of Bids, each Bidder will be presumed to have visited and inspected the site in sufficient detail to fully acquaint itself with the site, local conditions, surface and subsurface, to have read and be thoroughly familiar with the Contract Documents (including all addenda). The failure or omission of any Bidder to examine any form, instrument, or document to which mention is made, or to which reference is made, in the plans or Contract Documents, or Bidder’s failure to sufficiently examine the site, or Bidder’s failure to be aware of applicable laws, statutes, ordinances, rules or regulations, whether local, State or Federal, in no way will relieve any Bidder from any obligation in respect to the Bid or from the obligations to be assumed under the Contract.
OBLIGATION OF BIDDER. The bidder must become fully aware of the City’s requirements for the operation of the Café service. Failure to do so will not relieve a successful bidder of its obligation to carry out the provisions of the Café lease agreement and to manage the Café in a manner consistent with those provisions. The bidder must be familiar and comply with all federal, state and local laws, ordinances, rules, and regulations that affect in any manner the operation of the assigned areas. The bidder must have all current licenses and/or permits (local, county, State, or Federal) required to operate a café service. Bidders will be held responsible for having examined the details of the Café lease agreement and thoroughly examine the facilities to be leased. The bidder will use its personal knowledge and experience or professional advice as to the character of the services required and any other conditions surrounding and affecting the proposed type of operation. The submittal of a bid will be construed as evidence that all bidder obligations have been satisfied and no subsequent allowance will be made in this regard.

  • Obligation of Confidentiality The parties agree to hold all Confidential Information in strict confidence and not to copy, reproduce, sell, transfer, or otherwise dispose of, give or disclose such Confidential Information to third parties other than employees, agents, or subcontractors of a party who have a need to know in connection with this Contract or to use such Confidential Information for any purposes whatsoever other than the performance of this Contract. The parties agree to advise and require their respective employees, agents, and subcontractors of their obligations to keep all Confidential Information confidential. Disclosure to a subcontractor is permissible where: (a) use of a subcontractor is authorized under this Contract; (b) the disclosure is necessary or otherwise naturally occurs in connection with work that is within the subcontractor's responsibilities; and (c) Contractor obligates the subcontractor in a written contract to maintain the State's Confidential Information in confidence. At the State's request, any employee of Contractor or any subcontractor may be required to execute a separate agreement to be bound by the provisions of this Section.

  • OBLIGATION TO SERVE As between the Parties, Competitive Supplier has the sole obligation to obtain sources of supply, whether from generating facilities owned or controlled by its affiliates, through bilateral transactions, or the market, as may be necessary to provide All-Requirements Power Supply for all of the Participating Consumers under the Program. Competitive Supplier, except as explicitly limited by the terms included in Exhibit A, shall be obligated to accept all Participating Consumers, regardless of their location or energy needs, subject to Competitive Supplier’s standard credit policies (to the extent permitted by law), Article 5.5 hereof, Exhibit A hereof and the terms of any approval or other order of the Department with respect to this ESA.
