Operation of System. The department shall have the right to operate all equipments, if in operating condition, whether or not such equipments have been accepted as complete and satisfactory. Repairs and alterations shall be made by the firm at such times as directed by the Engineer – in – charge, free of charge.
Operation of System. 10.1.1 The SABRE System and the System shall be operated by Customer or solely for the purposes and functions expressly permitted by this Agreement and in strict accordance with the Instructions. Customer shall not in any way utilize the System for the direct or indirect purpose of bypassing or circumventing the SABRE System in communicating in any way with Participants. Any violation of this provision will be deemed an Event of Default under Article 0.
10.1.2 Customer may use the System to transmit and receive Non-SABRE Traffic only from those systems or networks approved in writing by TSG. Customer acknowledges that in cases of communications capacity limits being reached, data transmission through the System with the SABRE System will be given priority over any Non-SABRE Traffic.
10.1.3 Customer shall access the SABRE System only through the System, an ISP or another system or device authorized in writing by TSG.
10.1.4 Customer shall take all precautions necessary to prevent unauthorized operation or misuse of the SABRE System or the System, including without limitation, speculative booking, shell bookings, reservation of space in anticipation of demand, or improper record or access. In the event of misuse of the SABRE System or the System, TSG reserves the right, in addition to all rights under the Agreement, to immediately terminate the Agreement.
10.1.5 Customer shall not enter any Prohibited Segments into the SABRE System. Prohibited Segments so entered shall not be calculated in determining productivity levels under the Agreement. All Travel Services Segments shall be removed from the SABRE System should corresponding space be canceled direct via telephone with the transporting carrier.
Operation of System. Customer shall bear sole responsibility for the supervision, management, and control of the operation of the Computer System, including: (1) assuring proper machine environment, audit controls, and operating methods; (2) establishing adequate backup plans to apply in the event of a program or equipment malfunction; and (3) implementing sufficient procedures to satisfy the requirements for security and accuracy of input and output as well as restart and recovery to apply in the event of a program or equipment malfunction. Vendor shall advise Customer as to the feasibility of such procedures but shall not be responsible for their implementation or execution.

Operation of System. At all times continuously and efficiently operate the System, and maintain the System in good condition, repair and working order, all at reasonable cost. No free service of the System shall be allowed, and should the City or any of its agencies or instrumentalities make use of the services and facilities of the System, payment of the reasonable value shall be made by the City out of funds from sources other than the revenues of the System, unless made from surplus or excess Pledged Revenues as permitted in Section 16(b) of the Prior ▇▇▇▇ ▇▇▇▇ Ordinance.
Operation of System. The Child Find system will be cooperatively operated through Child Development Watch and Local Education Agencies. Public Awareness information is disseminated routinely to LEAs concerning services in Child Development Watch. Referrals are commonly made between Child Development Watch and LEAs. Potentially eligible infants and toddlers are referred to Central Intake in Child Development Watch. Upon referral, a family service coordinator is appointed to assist the family through the completion of the multi-disciplinary evaluation and assessment, and upon determination of eligibility, the development and implementation of the IFSP. Liaison staff from signatory agencies agrees to participate with the families in the interagency Child Development Watch team process through which Child Find is conducted and the service coordinator assigned. Any child believed to be potentially Part C eligible will have a multidisciplinary assessment provided as needed. Parents of these potentially eligible children will be requested to sign a Part C /CDW Consent Form. An IFSP will be developed and implemented for all eligible children. These activities are coordinated through the Child Development Watch interagency team. The makeup of the interagency teams is agreed upon by the agencies and corroborated through the shared allocation of positions and resources. The Part C Birth to Three Early Intervention System provides additional administrative and fiscal support. Existing obligations have been used as the basis for the following explanations of shared Part C responsibilities: The Division of Developmental Disabilities Services participates in all Child Development Watch activities including referrals, multidisciplinary assessments and service coordination for children particularly those with severe conditions. They also provide consultation in their area of expertise to other team members. The Department of Education participates with Child Development Watch in the hiring and supervision of liaisons between DOE, the schools and Child Development Watch to ensure that transition from CDW to Public School Programs is provided. These individuals will also serve as family service coordinators for some children in Child Development Watch. Operation of System. 10.1 What we may do to Operate the System
a. You agree that EnergyAustralia owns the System during the Term and has the exclusive right to Operate the System (including remotely) until the System Transfer Date.
b. We may need to physically attend the Premises during the Term to Operate the System. Where we do so:
i. we will use reasonable endeavours to give you at least 5 Business Days’ notice of the date we intend do so; and
ii. clause 8 will apply.
c. You agree that as part of Operating the System we may remotely access and control the System at any time until the System Transfer Date. For example, we may:
i. charge part or all of the Battery or discharge part or all of the Battery to the national electricity grid at any time; or
ii. preserve the capacity in the Battery so that it can be used for your household consumption at times determined by us or for performing our operations (such as VPP optimisation).
d. You acknowledge that you will be liable for any costs incurred in respect of any electricity imported from the national electricity grid to charge your Battery and this could result in your total energy consumption being higher than if you were not on the Solar Home Bundle Product.
e. We will, from time to time, remotely activate firmware upgrades to the System which may result in intermittent interruptions to the operation of the System for short periods (these upgrades will not affect your electricity supply).
f. We may disconnect, lock-out (including remotely) or uninstall the System in accordance with the terms of the System Contract. We may also disconnect or lock-out the System (including remotely) if it is faulty, for a reasonable period until we are able to fix it; if we are carrying out maintenance of the System; or if we deem it necessary for safety reasons.
g. In addition to the rights described in this clause we may as described in clause 18:
i. enrol your Battery in a VPP or use the System as part of any other program or trial that is consistent with this System Contract; and
ii. use the data from the System.
h. We may engage third party providers to do any of the activities we need to do to Operate the System on our behalf;
i. subject to your obligations under clause 10.2(i), we will use reasonable endeavours to maintain the System in a manner that does not void any manufacturer warranties that apply to the System under clause 14.2.

Operation of System. In the event of any termination of this Agreement, the City may: (i) direct the Company to operate the System on behalf of the City pursuant to the provisions of this Agreement and such additional terms and conditions as are equitable to the City and the Company, for a period of up to twelve (12) months; (ii) authorize any other Person to operate the System on behalf of the City; or (iii) order the Company to cease all construction and operational activities in a prompt and workmanlike manner.
