The Oversight Board clause establishes a designated group or committee responsible for supervising and guiding the implementation of an agreement or project. Oversight Board. Each party will designate up to three senior executives to --------------- participate in an oversight board. The oversight board will meet in person semi-annually to review the Parties' performance under this Agreement and to provide general advice and guidance with respect to the Alliance's business priorities and market opportunities. C. The Oversight Board shall receive monthly reports from the AAOA staff and the local advisory council.

Oversight Board. The Members listed on Schedule 6.4(h) attached hereto shall each be a member of the Oversight Board. The Oversight Board shall consist of nine (9) members who own nineteen (19) or more acres and the current Managers, and shall have the limited power to require any of the actions of the Manager listed on Schedule 6.4(h) (“Special Actions”) to be approved by the majority vote of the Members. The Manager shall provide notice (“Special Notice”) of a Special Action to the Oversight Board by email and shall list all of the pertinent information relating to the Special Action. Within three (3) days of receipt of the Special Notice, a super majority (75%) of the Oversight Board members must notify the Manager in writing of the request to require approval of the Special Action by the majority vote of the Members. If a super majority (75%) of the Oversight Board members do not notify the Manager in writing within three (3) days of receipt of the Special Notice, then the Manager is authorized to take the Special Action as outlined in the Special Notice. No member of the Oversight Board shall have more than one (1) vote per Special Action issue.
